RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN
RAFAEL APPROVING AND AUTHORIZING THE PUBLIC WORKS
DIRECTOR TO EXECUTE AN AMENDMENT TO THE JUNE 16, 2003
AGREEMENT WITH KIMLEY-HORN AND ASSOCIATES, INC. TO
EXPAND THE SCOPE OF WORK FOR THE THIRD STREET AND
UNION STREET IMPROVEMENTS PROJECT FOR A TOTAL
AMOUNT NOT TO EXCEED $ 97,711.00.
WHEREAS, the City Council adopted Resolution number 11340 on June
16, 2003 authorizing the Director of Public Works to enter in a professional services
agreement with Kimley-Horn and Associates to design the Third and Union Streets
intersection improvements; and
WHEREAS, due to the complexity of the project construction, and
required utility coordination and relocation, staff believes additional design work is
necessary to avoid construction delay and cost, and accordingly, the scope of services of
the original agreement must be expanded; and
WHEREAS, the additional cost of $20,711.00 for the additional design
and construction work for the Third and Union Streets intersection improvement project
will be allocated from City Traffic Mitigation Fee fund; and
WHEREAS, staff received a proposal from Kimley-Horn and Associates
Inc. for professional traffic and civil engineering services for the additional scope of work
in an amount not to exceed $20,711.00 ( Exhibit `B" to the Amendment); and
WHEREAS, staff has reviewed their proposal and found it to be complete
and within industry standards.
NOW, THEREFORE, BE IT RESOLVED that City Council of the City
of San Rafael hereby approves and authorizes the Director of Public Works to execute an
amendment to the agreement between Kimley- Horn and the City, expanding the scope of
professional design services under that Agreement for a total cost not to exceed
$97,711.00.

AMENDMENT TO AGREEMENT
FOR PROFESSIONAL SERVICES CONTRACT WITH KIMLEY-HORN
AND ASSOCIATES, INC. TO EXPAND THE SCOPE OF WORK FOR THE
THIRD STREET AND UNION STREET IMPROVEMENTS PROJECT
FOR A TOTAL AMOUNT NO TO EXCEED $97,711.00.
WHEREAS, KIMLEY-HORN AND ASSOCIATES, INC. ("CONTRACTOR'), a Civil and Traffic Engineering
Consultant , entered into an Agreement (dated June 16, 2003 ) with the City of San Rafael ("CITY") for civil and traffic
engineering consulting services to design and prepare plans and specifications for the Third and Union Traffic Signal and
Intersection Improvements; and
WHEREAS, CITY has determined that the need exists to expand the scope of CONTRACTOR's work under the
original agreement, in order to coordinate the complicated relocation of numerous utilities in the project area; and
WHEREAS, CONTRACTOR is willing and able to perform the additional scope of work required by the CITY
at an additional cost; and
WHEREAS, CONTRACTOR and CITY are agreeable to a revision in the existing agreement to increase the
scope of work and perform additional duties; and
NOW THEREFORE, CONTRACTOR and CI'I Y agree to amend their Agreement for Professional Services,
dated June 16, 2003, as follows:
Section 4 of the original agreement is amended to read as follows:
"4. COMPENSATION.
In consideration of the performance by CONTRACTOR of all the services set forth in this Agreement
and the amendment thereto, CITY agrees to compensate CONTRACTOR in a total amount not to
exceed $97,711.00."
2. Section 3 of the original agreement is amended to add the following sentence to the end of the section:
"CONTRACTOR also agrees to perform the additional services specified in the letter dated May 14,
2007, Exhibit `B" attached hereto and incorporated herein."
3. All other terms and conditions of the original Agreement not otherwise modified by this Amendment
shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Amendment to Agreement with Kimley-Hom as of
the 6`h day of August, 2007.

RE: Third Street and Union: Street Improvements Additional Services for Design
Modifications for the Fire Department Driveways on Union Street
Dear Nader:
Based on your request, Kimley-Horn and Associates, Inc. (Kimley-Horn) has prepared the
following scope of services and estimated fee for additional services related to modifications
requested by the City of San Rafael Fire Department.
Services provided for which additional fees are being requested include the following:
• Demolition of the southernmost of the two fire station driveways ("UN" 22+20).
The concrete driveway pad will be replaced by a cobble -style hardscape surface
to match the adjacent landscaping.
• Widening the northernmost of the two fire station driveways ("UN" 23+20). The
driveway will be widened by approximately 10' on the south side through the
existing concrete pad. The existing fire hydrant will be relocated south of the
new driveway. The existing hydrant assembly will be reused upon approval of
the fire department.
• Relocation of the existing fire hydrant on the northeast corner of Third Sheet and
Union Street to the intersection of Fourth Street and Union Street. The existing
hydrant assembly will be reused upon approval of the fire department.
• Installation of a temporary, wood -plank, sound wall along Union Street adjacent
to the fire station and addition of noise control requirements to the special
provisions.
Kirnley-Horn will update the Third Street and Union Street Improvement Project — Phase II
plans, specifications and estimates (PS&E) based on the modifications listed above. Due to
the duration of time between the beginning of project design and construction of the Phase II
improvements, we also request additional budget of $8,000 for utility coordination and
construction support services. This additional budget, which includes coordination of an
underground utility survey and completion of any design revisions based on the information
obtained, will be billed on a time and materials basis.
In addition, we have provided proposed scopes of service for completion of an underground
utility survey with utility mapping by California Utility Surveys, and a biddability and
constructability review by Harris & Associates, Inc (Harris). In addition, we have requested
Harris to provide a full cost proposal for construction management services and to train City

staff if desired. The City of San Rafael is expected to directly enter into contract with Harris
for the construction management services. Attached is a copy of the proposal from Harris.

PROPOSAL:
SUBJECT: THIRD AND UNION STREETS IN SAN RAFAEL (APPROX. 1200 LF.)
PROPOSED SCOPE OF WORK
Task 1. Utility Survey
To perform an underground utility survey using electronic instrumentation, to locate and mark all existing utilities
within the street 'Right of Ways", designated on the drawing provided. The field survey to cover back of walk to
back of walk, along the project alignment. All side streets will be surveyed to a minimum of 25 linear feet from the
face of curb of the main streets. All designated utilities to be marked on the site surface with spray paint. A single
color shall be used (`Pink" which is APWA color for temporary survey marking), so as not to conflict with utility
owner markings.
Electronic depth estimations will be shown, (accuracy to within 10%), where possible.
All manhole and catch basin structures to be opened and a record sheet provided for each. This record sheet to
include information on pipe sizes, pipe material, depth to flow -line of each pipe.
Task 2. Data Collection
To carry out a data collection survey by use of an EDM (Total Station) of all located utilities plus grade elevations at
least every 50 feet along the alignments. The client shall provide the control base plus City "Bench Marks" so as to
establish elevations.
Task 3. Drafting
Using collect data, produce an Auto-Cadd drawing file to clients layer system.
Cost menu of survey:
Task 1. 1200 linear feet @ the rate of $ 2.25 per LF $ 2,700.00
Task 2. 1200 linear feet @ the rate of $ 1.00 per LF $ 1,200.00
Task 3. 12 hours drafting @ the rate of $ 68.00 per hour $ 816.00
Not to exceed Price of $ 4.7165.00
The cost of any possible traffic control will be absorbed in the above fee.
