RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN
RAFAEL AUTHORIZING STAFF TO ENTER AN AGREEMENT, AS A
SOLE SOURCE PROCUREMENT, WITH MEDIA CONSULTANTS -
SYSTEMS INTEGRATORS (MCSi) FOR THE UPGRADE OF THE CITY
COUNCIL CHAMBER.
BE IT RESOLVED by the City Council of the City of San Rafael as follows:
WHEREAS, City Staff sent Requests for Qualifications for the audio-visual
upgrade of City Hall Council Chamber, to seven (7) design -build construction firms
experienced in the remodel and audio-visual upgrade of City Council Chambers; and,
WHEREAS, City staff received only one (1) response to the RFQ, that of Media
Consultants, Systems Integration (MCSi); and, after contacting all of the remaining firms,
City staff determined that no other firm was interested in bidding this particular project;
and,
WHEREAS, City staff determined that MSCI is the only Design-
Consultant/Contractor available, qualified, experienced and willing to perform the work
of designing and constructing the audio-visual upgrade to the City Hall Council Chamber;
and,
WHEREAS, in accordance with the provisions of San Rafael Municipal Code
section 11.50.090, the City may, without following the usual bidding procedures, enter
into an agreement for the design and construction of public works in circumstances where
limitations on the source or the scope and nature of the contract are such that no more
than one contractor is available to meet the technical specifications, quality
considerations or other valid considerations; and

WHEREAS, Staff have determined that, based upon the lack of interest and
responses from the other firms, and upon the availability and willingness of only one
firm to perform the work, the factual circumstances exist for the City to award the
contract for the Council Chamber upgrade without following the formal bidding
requirements of the Municipal Code;
NOW, THEREFORE, the City Council of the City of San Rafael does resolve
as follows:
1. The City Council finds that all of the facts stated in the recitals above are true
and correct and that said facts form the basis for the City Council's action
herein.
2. The City Council specifically finds that limitations on the source or the scope
and nature of the City Council Chamber upgrade are such that no more than
one contractor is available to meet the technical specifications, quality
considerations and other valid considerations, and that therefore the City
Council authorizes the Public Works Department to enter an agreement, in a
form to be approved by the City Attorney, not to exceed $120,000.00, with
MCSi for the City Hall Council Chambers audio-visual upgrade, without
recourse to the competitive bidding requirements of San Rafael Municipal
Code Chapter 11.50, pursuant to San Rafael Municipal Code section
11.50.090, in an amount not to exceed $120,000.00.
3. The City Council authorizes the Director of Public Works to take any and all
such actions and make any changes as may be necessary to accomplish the
purpose of this resolution.

the foregoing resolution was duly and regularly introduced and adopted at a regular
meeting of the Council of said City held on the 5th day of March, 2001, by the following
vote, to wit:
