A RESOLUTION OF THE CITY COUNCIL OF SAN RAFAEL
AUTHORIZING THE CITY MANAGER TO SIGN AN AMENDMENT TO THE
PROFESSIONAL SERVICES AGREEMENT WITH
BARBER AND GONZALES CONSULTING GROUP TO EXTEND THE TERM
OF THE AGREEMENT
WHEREAS, in June 1998, City Council agreed to a Memorandum of Understanding with
the Marin County Board of Supervisors, wherein the M.O.U. outlined a joint
planning process for the preparation of general plan amendment
recommendations for the San Rafael General Plan and the Marin
Countywide Plan; and
WHEREAS, the firm of Barber and Gonzales Consulting Group, having the experience
and expertise to perform facilitation services for the St. Vincent's/Silveira
planning project, was contracted with to assist the 14 -member Advisory
Task Force with the project; and,
WHEREAS, the work of the Task Force has been extended through spring 2000 so that
there may be time to complete the work as outlined, and the City and Barber
and Gonzales desire to jointly extend their contract so that the services of
Barber and Gonzales are available to the Task Force.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of San Rafael
that it hereby authorizes the City Manager to sign an amendment to the
Professional Services Agreement with Barber and Gonzales Consulting
Group to extend the term of the Agreement, as defined in Attachment A.

foregoing resolution was duly and regularly introduced and adopted at a regular meeting of
the Council of said City on the 22°d day of February, by the following vote, to wit:

AMENDMENT
PROFESSIONAL SERVICES AGREEMENT
This Amendment to the Professional Services Agreement is made and entered into this
22nd day of February, 2000, between the City of San Rafael, a Municipal Corporation
(hereinafter referred to as "CITY") and Barber & Gonzales Consulting Group, a sole
proprietorship (hereinafter referred to as "CONSULTANT").
WHEREAS, CITY and CONSULTANT entered into a Professional Services
Agreement dated October 19, 1998 to provide process and meeting
facilitation to the St. Vincent's/Silveira Advisory Task Force; and,
WHEREAS, CITY and CONSULTANT amended said Professional Services
Agreement on July 6, 1999 to extend the contract through the end of
December 1999; and,
WHEREAS, CITY desires to amend said Professional Services Agreement to extend
the contract for the expected duration of the work of the Task Force
through the end of May, 2000.
NOW, THEREFORE, it is agreed by and between CTTY'and CONSULTANT that
section 5, "Term of the Agreement," shall be amended to terminate the
agreement on June 1, 2000.
