HomeMy WebLinkAboutCC Resolution 10670 (Radio Tower Lease)RESOLUTION NO. 10670 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL AUTHORIZING THE FIRE CHIEF TO RENEW A LEASE AGREEMENT WITH THE STATE OF CALIFORNIA (SAN QUENTIN STATE PRISON) FOR THE MOUNTING AND INSTALLATION OF ANTENNAS AND RECEIVER ON THEIR RADIO TOWER (July 1, 2000 — June 30, 2005) WHEREAS, The State of California has installed a radio tower on property at San Quentin State Prison; and WHEREAS, The State of California has agreed to allow the Fire Department to install antennas and a receiver on the tower; and WHEREAS, The use of the tower will greatly enhance the reception capability of the Fire Department's radio system, especially the southeastern boundaries of the City; NOW, THEREFORE, BE IT RESOLVED that the City Council authorizes the Fire Chief to sign renewal of Lease Agreement with the State of California (San Quentin State Prison) for the use of the radio tower. Exhibits "A," 66$,11 4C," and "D" attached heretq, are hereby incorporated herein and made a part.herepf TERM 2. The .term .of this Leasg shall be for d period of five (5) years, commencing on July 1, 2000 and terminatinj on June 30, 2005, with such rights of termination as may be hereinafter expressly set forth. PENT 3. Effec&& July I, 2000, the monthly rental rate shall be ONE HUNDRED DOLLARS AND NOXENTS ($100.00), payable monthly, in advance. STATE offers and LESSEE accepts no assurance that the leased Premises or any other comparable space or facilities at the site described herein will be made available to LESSEE beyond the term stated above or as said term is reduced as provided herein. If LESSEE desires to continue occupancy at the said site beyond the specific term of this Lease, LESSEE may apply for a new Lease by submitting a Radio Vault Space Application to the Department of Corrections along with a non-refundable application fee, no later than 90 days prior to termination of Lease. If LESSEE's application provides for any change whatsoever in operation, equipment, antennas, frequencies, etc., LESSEE must notify STATE at least 180 calendar days for processing. If no changos are to be made, LESSEE must allow STATE at least 90 days for processing time. ' STATE may choose not to approve LESSEE's application and STATE's decision shall be $onsidered. Qnal. RENTAL 5. It is hereby mutually agreed that, notwithstanding the herein ADJUSTMENT ng anything to contr azy contained and in the event the costs to the SLATE to furtlish space, utilities and maintenance increase during the term hereof the monthly rental rate shall, at the option of the STATE, be adjusted to include such increase in costs, effective upon commencement of the ngxt following anniversary date of the Lease. STATE will give LESSEE written notice of said increase thirty (36) days prior to date when said increase shall become effective. FEE (U o R tI ATION 6. In addition to the annual rent shown above, any revision or renewal will require an E engineering fee to cover STATE's host of checking the compatibility of frequencies, and any subsequent an-sitb testing necessary to clear proposed LESSEE. The fee will bei at the current Telecommunications Enginge r rate. ADMINISTRATIVE FEE 7, The LESSEE has paid, at the time of the excrd fdn of this Lease, a one-time icharge of ONE THOUSAND DOLLARS AND NOf1Yl0's ($1,000,09) to cover the costs associated with the preparation and analysis of this Lease. Failure on the part of the LESSEE tQ cease -operations and vacate the Premises as provided herein shall be considered an abandonment by LESSEE in which case the STATE shall take the necessary steps to terminate the operation and occupancy provided LESSEE hereunder. Any equipment of LESSEE so removed by STATE shall become the property of the STATE for use or disposal as determined by the STATE. The parties hereto agree that either party may terminate this Lease at anytime during the term hereof by giving notice to the other party in writing ninety (90) days prior to the date when termination shall become effective. Notice must be given in accordance with the instructions contained in Paragraph 14 herein. USE 10. A. The leased Premises shall be used during the term hereof solely and only for the purpose of installing, maintaining, repairing and operating a voting receiver and related antennas as described in LESSEE's Radio Vault Application, State Form #TD -311, Exhibit `C", and all facilities necessary thereto and such other transmitting and receiving equipmdnt as STATE may from time to time consent to in writing and for no other purpose or purposes whatsoever. All leases shall comply with standards as shown in Exhibit "C". 13, LESSEE, shall at its sole cost and Expense, pomply with all of the requirements of all municipal, State and Federal authorities `clow in force, or which may be in force, pertaining to the Premises. C. LESSEE shall use the frequencies listed in Exhibits 13", 'IC" and "D" to transmit and receive. Any change of fregilency is not allowed unless LESSEE obtains written permission of the STATE. CANCELLATION 11. Any willful violation of the terms of this Lease or of the rules and regulations of CSP - SQ shall be grounds for immediate cancellation of this Lease and the removal of the LESSEE. _ _. If LESSEE's application is denied by STATE, the "hold .ow, period shall terminate 30 calendar days after the date STATE has trailed or otherwise sent notice of such denial. While in hold over status, STATE will increase the rental rates by multiplying the previous monthly Fent by fivd percent (5%). RECOVERY 6F 13.. .If action be brought by STATE for the recovery of any rent due under the provisions LEGAL FEES hereof or for any breach hereof, or to restrain the breach of any ag*ment contained herein, or f`or the recovery of po$session of said leased Premises, or to protect any right given to STATE against LESSEE, and it STATE shall prevail in such action, LESSEE shall pay to STATE such amol([It of all costs and expenses including attorney's fees in said action as the court shall determine to be reasonable, which shall be fixed by the court as part of the .costs of said action. NOTICES 14. RIGHT OF ENTRY 15. During continuance in force of this Lease, there shall be Ad is hereby expressly reserved to STATE and to any of its agencies, contractor agents, employees, representatives or licensees, the right at any .and all times, and any and all places, to temporarily enter upon said Premises for STATE purposes. The STATE reserves the right to occupy any and all parts of the Premises for STATE business. The STATE will notify LESSEE at least twenty-four (24) hours in advance of such occupation. Such abcupation by the STATE may require closure of the Premises for the LESSEE's purpose. In this event, the STATE is not obligated to provide a comparable location in which the LESSEE will operate during the temporary closure. CONDITION NOF 16. LESSEE accepts the Premises ,as being in good Order, condition and repair, unless otherwise specified herein, and agrees that on the last day of the term, or sooner termination of this Lease, to surrender up to STATE, the Premises With any appurtenances or improvements in the same condition as when received, reasonable pse and wear thereof and damage by act of God pxcept6d. MAIIMISESING 17, LESSEE a&ees to maintain said Premises in gornpliance with the Sanitation laws and regigatioiis Othe State of California, and in compliance with all other laws of the STATE, and the rules and regulations of4ff9P-SQ. LESSEE, at its oyvn cost and expense, shall maintain the Premises, improvements and landscaping thereon, in good repair and in compliance with all requirements of law. LESSEE shall take all §teps necessary to effectively protect the aforementioned improvements and landscaping from damage incident to LESSEE's use of said Premises and improvements, all without expense to STATE. Additionally, LESSEE shall designate in writing to STATE a representative who shall be responsible for the day-to-day operation and level of maintenance, cleanliness and order. EASEMENTS AND 19. This Lease is subject to all existing easements and rights of way. STATE further RIGHTS-OF-WAY reserves the right to grant additional public utility easements as may be necessary and LESSEE hereby consents to the granting of any such easement. The public utility will be requited to reimburse LESSEE for any damages caused by the construction work on the easement area. ALTERATIONS/ 20; LESSEE shall m REPAIRS ake Flo rep airsi changesn and/or alterations to the Premises without the prior written consent of the STATE: LESSEE further agrees that in no event shall STATE be required to perform any maintenance on or make repgirs or alterations to the [eased Premises of any nature whatsoever. LESSEE agrees to keep the teased Premises in good order and condition at his sole cost and expense. DISPOSITION'00 21. Upon termination of this -Leave for any cause; the LESSEE shall remo� a any and all IMPROVEMENTSequipmentand improvement. of -the LESSEE and restore the entire Premises to its condition prior to the execirtion of this Lease, except however, the STATE may approve, in writing, any deviation from this requirement. MEDICAL 22, No medical support will be pr$vided to LESSEE orLESSEE's employees by CSP -SQ or by'the STATE. PROHIhITED ITEMS 23, Since the Premises are situated on the grounds of CSP -SQ; the LESSEE will comply with all rules and regulations adopted by said Ins�it oon. No article, or material which the STATE considers as being contraband, shall be Orou t. on the Premises. Said rules prohibit, but are not. limited to: beer, alcoholic beverages, narcotics, the possession or use 9f firearms;;�,explosives qr dged weapons, or restricted controlled s►}b'stances. Any willfir[ viofatio of said nlles and regule6ris or of the terms of this Lease will be grounds for immediate cancellatibn of this Lease and removal of the LESSEE. HOLD HARMLESS 24, This Lease is, made upon 1* express condition that the State of California is to be free from tial liability 40d cWn}s for damages by reason of any injury to any person or persons, inciilding LESSEE, or property of any kind what$oever and to whomsoever belonging including LESSEE, from any cause or causes whatsoever while in, upon, or ib any way connected with thg Premises during the term of this Lease or any obqupancy hereunder, except those arising out of the sole negligence of the STATE. LESSEE agrees to defend; ini errinify and save harmless the State of California from all liability, loss, cost or obligation on account of or arising out of any such injury or loss, however occurring. LESSEE agrees to provide necessary Workers Compensation Insurance for all employees of LESSEE upon said Premises at LESSEE'S cost and expense. LESSEE shall furnish a Certificate of Insurance with the STATE's Lease Number indicated on the face of said certificate, issued to STATE with amounts of Commercial General Liability of at least $1,000,000 per occurrence and Fire Legal Liability of at least $500,000 naming the State of California, its officers, agents and employees as additional insureds. Said certificate of insurance shall be issued by an insurance company with a rating which is acceptable to the Department of General Services, Office of Risk Management. It is agreed that STATE shall not be liable for the payment of any premiums or assessments on the insurance coverage required by this paragraph. The Certificate of Insurance shall provide that the insurer will not cancel the insured's coverage without thirty (30) days prior written notice to STATE. LESSEE agrees that the insurance herein provided for shall be in effect at all times during the term of the Lease. In the event said insurance coverage expires at any time or times during the term of this Lease, LESSEE agrees to provide STATE, at least thirty (30) days prior to said expiration date, a new Certificate of Insurance, evidencing insurance coverage as provided for herein for not less than one �l) year. In the event LESSEE fails to keep in effect at all times, insurance coverage as herein provided, STATE may, in addition to any other remedies it may have, terminate this Lease upon the occurrence of such event. LOSSES 26. The STATE will not be responsible for lq$ses, or damage to personal property, equipment or material of the LESSEE. All losses shall he reported to fhg STATE immediately upon discovery. TAXES/ASSESSMENTS 27. LESSEE agrees to pay all lawful taxes, assessments, or charges which at any time may be levied upon ir}%rest in this agreement. In the performance of this Lease, the LESSEE shall not discriminate against any employee or applicant for ptnployment hediuse of race, color, creed, sex, national origin, ancestry, age, handicap or Religion. The LE$5EE will take action to ensure that applicants for employment and employees. are treated during employment without regard to their raco, color, creed, sex, natigna) origin, 6cestry, age, handicap or religion. Such action shall. include, but not be limited.to, the following: employment, upgrading, delxblion or transfer, recruitment or recruitment advertising; layoff or termination; rates of pity b>ther forms 6f compensation; and selection for training, including. apprent "I ip. The STATE may determine a willful violation of the Fair Employment Practices provision to have occurred upon the receipt of a final judgment having that effect from a court in an action to which LESSEE was a party, or upon receipt of a written notice from the Fair Employment Practices Commission that it has investigated and determined that the LESSEE has violated the Fair Employment Practices Act and has issued an order pursuant to the appropriate provisions of the Government Code. Nothing herein contained shall be construed as constituting the parties herein as partners. ENVIRONMENTAL 31. A. The LESSEE agrees to comply with all applicable Federal, State and local COMPLIANCE regulations pertaining to the use, storage and disposal of hazardous materials. The LESSEE *hall ipdemnify and hold harmless the STATE and its agents and representatives for any violation of hazardous materials la'w caused by LESSEE or LESSEE's representatives. Furthermore, LESSEE shall reimburse the STATE for any and all costs related to inviestigation, clean up and/or fines incurred by the STATE for environmental regulation tion-compliarice by the LESSEE or LESSEE's representative. If the LESSEE is 'required to prepare a Business Planlas specified by Health and Safety Code Section 255100 et seq., or a Hazardous Wagte Contingency Plan, as specified in 22 CCIt 66264.51 et seq., then a -copy -of the plan shall be submitted first to the thief of Plant Operations. C, If LESSEE of LESSEE'S representative generates any regulated hazardous wastes on the STATE's pr�pdrty, LESSEE agrees to dispose of such wastes in accordance with all applicable Federal, State and local regulations. Copies of all hazardous waste manifests or disposal certificates shall be submitted to the Chief of Plant Operations. D. Storage of hazardous Waste shall comply with 22 CCR 66264 et al., and all applicable fire regulations. The STATE or its representatiyes reserves the right to inspect all areas which are leased or Tented by LESSEE, for the purpose of 'verifying environmental compliance. F. The LESSEE shall provide copies. of Material Safety Data Sheets (MSDS) for all hazardous materiiils used oil STATE's property to the Chief of Plant Operations. G. Any violation in Federal, State or local environmental law deemed serious by the STATE will be grounds for termination of this Lease in accordance with applicable sections herein. Termination of Lease by either party or evacuation of leased property by LESSEE shall not relieve LESSEE of environmental or hazardous materials related liabilities incurred by the STATE during LESSEE's occupancy or incurred as a result of LESSEE's actions. The location of the Premises to be used by LESSEE for purpose of this Lease may be changed as required by the STATE in the event of circumstances arising to warrant such a change. LESSEE agrees to accept another location within the facility/Premises within which to operate under the same general provisions of this agreement. In the event that the new location is different either in square footage or acreage from the present location, then there shall be an adjustment in the rental rate on a proportionate square footage or acreage basis, either in greater or smaller, as the case may be. In the event the STATE is unable to relocate the LESSEE, the STATE upon reasonable notice may require the LESSEE to leave the STATE Premises. Reasonable notice is defined herein as to be at least thirty (30) days. PROTES TION OF 33. No dumping of refuse by LESSEE is perinitted in any area of the Premises, and LESSEE shall not corprnit or suffer to be committed any waste or nuisance upon the 'remises; and LESSEE agrees not to cut or remove any trees or brush thereon except as approved in writigg in advance by the S'T'ATE. LtS,SEE further agrees that LESSEE shall at all times exercise due diligence in the protection of the Premises against damage or destruction -by fire or other cause: SMOKING RESTRICTIONS 34. Smoking is not allowed in or upon the Premises. LESSEE is required t clean post signage at all entrances, exits, and other conspicuous lopalions notifying occupants that smoking is prohibited within the building, and within 15 feet of ahy entrance. The signs shall be in bold print and legible from a distance d25 feet. DESTRUCTION 35. If fire or other casualty totally destroys the -Premises, this Lease shall terminate, SUBLET 3¢. LESSEE shall not assign this Lease in any every and shall not sublet the leased Premises or any part thereof and wl ill not permit the use o the leased Premises by anyone other than the LESSEE without prior written consent of the STATS. MUTUAL CONSENT 37, t4otwithstanding anything herein contained to the contrary, this Lease may be terminated, and the provisions of thjs Lease mai' be altered, changed, or amended by mutual consent of the parties; h6wo.
