HomeMy WebLinkAboutCC Resolution 10700 (County Housing Workbook)RESOLUTION 10700 A RESOLUTION OF THE SAN RAFAEL CITY COUNCIL AUTHORIZING JOINT POWERS AGREEMENT WITH TF iE COUNTY OF MARIN AND CITY OF SAN RAFAEL WHEREIN THE CITY OF SAN RAFAEL AGREES TO PAY $8,000 TO THE COUNTY OF MARIN FOR REIMBURSEMENT OF CONSULTANT FEES FOR THE PREPARATION OF THE COUNTY HOUSING WORKBOOK. WHEREAS, in February, 2000, the Planning Directors of the cities and towns of Marin and Marin County initiated a collaborative process for Housing Element updates; and, WHEREAS, in March, 2000, Baird and Driskell Community Planning Consultants submitted a "Scope of Services" for this collaborative planning process; and WHEREAS, in April, 2000, the City of San Rafael's Community Development Department staff reviewed the "Scope of Services"; and WHEREAS, in May, 2000, the City of San Rafael's Community Development Department staff determined that a contract with Baird and Driskell to prepare a Marin County Housing Workbook of "best practices" would be beneficial for the update of the City's Housing Element; and WHEREAS, in July, 2000, the Marin County Community Development Agency offered to contract with Baird and Driskell Community Planning Services for the collaborative planning process, with an agreement with the other towns and cities that reimbursement would occur for each city's share; and WHEREAS, in August, 2000, it was determined that the City of San Rafael's portion for the preparation of the Marin County Housing Workbook is $8,000; and WHEREAS, in August, 2000, it was determined that the City of San Rafael would enter into an Agreement with the County of Marin by which the County would pay $8,000 to Baird and Driskell for the preparation of the County Housing Workbook. NOW THEREFORE BE IT RESOLVED, that the City Council of the City of San Rafael hereby approves a Joint Powers Agreement with the County of Marin wherein the City of San Rafael Agrees to pay $8,000 to the County of Marin for reimbursement of consultant fees for the preparation of the County Housing Workbook, the concepts of which will be incorporated into the Housing Element of the City's updated General Plan. The City Council of the City of San Rafael therefore authorizes the City Manager to sign the Joint Powers Agreement with the County of Marin. l - '9'1i11 rl f� OO I, JEANNE M. RECITALS WHEREAS, the CITY and the COUNTY have need of consulting services to assist in the preparation of their respective Housing Elements for the update of their respective General Plans; and, WHEREAS, the COUNTY has received a grant from Marin Community Foundation to retain a planning consultant to assist the COUNTY and the towns and cities within the County to develop and prepare Housing Elements for their respective General Plans; and, WHEREAS, the COUNTY has entered an agreement with Baird and Driskell Community Planning to prepare and develop the Housing Element for the COUNTY and for other towns and cities; and, WHEREAS, CITY wants to have COUNTY's consultant prepare a County Housing Element Workbook of "best practices" to assist CITY's General Plan Housing Element update; AGREEMENT NOW, THEREFORE, the parties hereby agree as follows: 1. PROJECT COORDINATION. A. CITY. The City Manager shall be the representative of the CITY for all purposes under this Agreement. The Community Development Director is hereby designated the PROJECT MANAGER for the CITY, and said PROJECT MANAGER shall supervise all aspects of the progress and execution of this Agreement. B. COUNTY. COUNTY shall assign a single PROJECT DIRECTOR to have overall responsibility for the progress and execution of this Agreement for COUNTY. Alex Hinds is hereby designated as the PROJECT DIRECTOR for COUNTY. 2. DUTIES OF COUNTY. COUNTY shall perform the duties and provide services as described in Exhibit "A" attached and incorporated herein. fG 010M0ImYe]06)91VA CITY shall pay the compensation as provided in Paragraph 4, and perform the duties as described in Exhibit "A" attached and incorporated herein. 4. COMPENSATION. For the full performance of the services described herein by CONTRACTOR, CITY shall pay CONTRACTOR as described in Exhibit "A. " attached and incorporated herein. COUNTY shall allow CITY to apply for all State reimbursable items associated with the preparation of the County Housing Workbook and shall provide to CITY a detailed accounting of consultant costs for reimbursable items, as it pertains to the CITY. 5. TERM OF AGREEMENT. The term of this Agreement shall commence on September 7, 2000 and shall end upon completion of the COUNTY's duties and services described in section 2. 6. TERMINATION. Either party may terminate this Agreement without cause upon thirty (30) days written notice mailed or personally delivered to the other party. Upon receipt of notice of termination, neither party shall incur additional obligations under any provision of this Agreement without the prior written consent of the other. Any and all CITY documents or materials provided to COUNTY or COUNTY's consultant and any and all of COUNTY's or COUNTY consultant's documents and materials prepared for or relating to the performance of its duties under this Agreement, shall be delivered to CITY as soon as possible, but not later than thirty (30) days after termination. 7. OWNERSHIP OF DOCUMENTS. The written documents and materials prepared by the COUNTY or COUNTY's consultant in connection with the performance of specific duties for CITY under this Agreement, shall be the sole property of CITY. CITY may use said property for any purpose, including projects not contemplated by this Agreement. 8. INSPECTION AND AUDIT. Upon reasonable notice, COUNTY shall make available to CITY, or its agent, for inspection and audit, all documents and materials maintained by COUNTY in connection with its, or its consultant's performance of duties under this Agreement. COUNTY shall fully cooperate with CITY or its agent in any such audit or inspection. 2 9. ASSIGNABILITY. The parties agree that they shall not assign or transfer any interest in this Agreement nor the performance of any of their respective obligations hereunder, without the prior written consent of the other party, and any attempt to so assign this Agreement or any rights, duties or obligations arising hereunder shall be void and of no effect. 10. INSURANCE. A. During the term of this Agreement, COUNTY shall require its consultant to maintain, at no expense to CITY, the following insurance policies: 1. A comprehensive general liability insurance policy in the minimum amount of one million ($1,000,000) dollars per occurrence for death, bodily injury, personal injury, or property damage; 2. An automobile liability (owned, non -owned, and hired vehicles) insurance policy in the minimum amount of one million ($1,000,000) dollars per occurrence; 3. If any licensed professional performs any of the services required to be performed under this Agreement, a professional liability insurance policy in the minimum amount of one million($ 1,000,000) dollars to cover any claims arising out of the Consultant's performance of services under this Agreement. B. COUNTY shall require its Consultant to maintain insurance which shall meet all of the following requirements: 1. The insurance shall be primary with respect to any insurance or coverage maintained by CITY and shall not call upon CITY's insurance or coverage for any contribution; 2. Except for professional liability insurance, the insurance policies shall be endorsed for contractual liability and personal injury; 3. Except for professional liability insurance, the insurance policies shall be specifically endorsed to include, among others, the CITY, its officers, agents, employees, and volunteers, as additionally named insureds under the policies. 4. The insurance policies shall provide that the insurance carrier shall not cancel, terminate or otherwise modify the terms and conditions of said insurance policies except upon thirty (30) days written notice to CITY. C. If it employs any person, COUNTY's Consultant shall maintain worker's compensation and employer's liability insurance, as required by the State Labor Code and other applicable laws and regulations. 3 11. INDEMNIFICATION. COUNTY shall require its Consultant to indemnify, release, defend and hold harmless CITY, its officers, agents, employees, and volunteers, against any claim, demand, suit, judgment, loss, liability or expense of any kind, including attorney's fees and administrative costs, arising out of or resulting in any way, in whole or in part, from any acts or omissions, intentional or negligent, of COUNTY's Consultant's officers, agents and employees in the performance of their duties and obligations under this Agreement. COUNTY shall indemnify, release, defend and hold harmless CITY, its officers, agents, employees, and volunteers, against any claim, demand, suit, judgment, loss, liability or expense of any kind, including attorney's fees and administrative costs, arising out of or resulting in any way, in whole or in part, from any acts or omissions, intentional or negligent, of COUNTY, its officers, agents and employees in the performance of their duties and obligations under this Agreement. CITY, shall indemnify, release, defend and hold harmless COUNTY, its officers, agents, employees, and volunteers, against any claim, demand, suit, judgment, loss, liability or expense of any kind, including attorney's fees and administrative costs, arising out of or resulting in any way, in whole or in part, from any acts or omissions, intentional or negligent, of CITY's officers, agents and employees in the performance of their duties and obligations under this Agreement. 12. NONDISCRIMINATION. COUNTY shall require that its Consultant not discriminate, in any way, against any person on the basis of age, sex, race, color, religion, ancestry, national origin or disability in connection with or related to the performance of its duties and obligations under this Agreement. 13. NOTICES. All notices and other communications required or permitted to be given under this Agreement, including any notice of change of address, shall be in writing and given by personal delivery, or deposited with the United States Postal Service, postage prepaid, addressed to the parties intended to be notified. Notice shall be deemed given as of the date of personal delivery, or if mailed, upon the date of deposit with the United States Postal Service. INDEPENDENT CONTRACTOR. For the purposes, and for the duration, of this Agreement, COUNTY, its officers, agents and employees shall act in the capacity of an Independent Contractor, and not as employees of the CITY. COUNTY and CITY expressly intend and agree that the status of COUNTY, its officers, agents and employees be that of an Independent Contractor and not that of an employee of CITY. 15. ENTIRE AGREEMENT -- AMENDMENTS. The terms and conditions of this Agreement, all exhibits attached, and all documents expressly incorporated by reference, represent the entire Agreement of the parties with respect to the subject matter of this Agreement. This written Agreement shall supersede any and all prior agreements, oral or written, regarding the subject matter between the parties. The terms and conditions of this Agreement shall not be altered or modified except by a written amendment to this Agreement signed by the parties. If any conflicts arise between the terms and conditions of this Agreement, and the terms and conditions of the attached exhibits or the documents expressly incorporated by reference, the terms and conditions of this Agreement shall control. 16. WAIVERS. The waiver by either party of any breach or violation of any term, covenant or condition of this Agreement, or of any ordinance, law or regulation, shall not be deemed to be a waiver of any other term, covenant, condition, ordinance, law or regulation, or of any subsequent breach or violation of the same or other term, covenant, condition, ordinance, law or regulation. The subsequent acceptance by either party of any fee, performance, or other consideration which may become due or owing under this Agreement, shall not be deemed to be a waiver of any preceding breach or violation by the other party of any term, condition, covenant of this Agreement or any applicable law, ordinance or regulation. 17. COSTS AND ATTORNEY'S FEES. The prevailing party in any action brought to enforce the terms and conditions of this Agreement, or arising out of the performance of this Agreement, may recover its reasonable costs (including claims administration) and attorney's fees expended in connection with such action. 5 18. There are three components or `Task Groups' to this project which are: 1. Housing Workbook — a tool kit that examines countywide housing issues, provides more detailed background analysis, and contains `best practices' (model policies, programs, and implementing tools) tailored to the County and each of the participating cities. 2. Draft Housing Elements — preparation of a Draft Housing Element for each participating jurisdiction which will be a `public review ready' document. 3. Final Housing Elements — carrying the Draft Element through the public review and adoption process. Task Groups 1 and 2 are an integral package which will be prepared by consultant Baird+Driskell for all participating jurisdictions. Cities and towns may optionally contract with Baird+Driskell Task Group 3, the Final Housing Element for an additional $5,000. The County will coordinate the contract for Task Group 1 by entering into a contract with Baird+Driskell for $90,000 of which the Marin Community Foundation grant provides $30,000. The County is contributing up to $20,000 for this effort with the remaining amount being divided between the participating cities and towns. Each participating jurisdiction will reimburse the County for their share of Task Group 1. The $73,200 Task Group 2 fee is also being divided among all participating jurisdictions with the understanding that each jurisdiction will execute a separate agreement with Baird+Driskell for their share of this amount. This letter serves to commit your jurisdiction to funding your share of the project as outlined below. Included would be countywide data on demographics, special housing needs (homeless, single -parent houeseholds, etc.), affordability, countywide governmental and non-governmental constraints, energy conservation opportunities, protection of existing housing, etc. The results of tasks 1.2 and 2.2 (see Preliminary Draft Housing Element tasks) would be reviewed with Marin County Planning Directors. This task (Task 1.3) would involve development of a methodology and criteria for the mapping and tabulation of potential sites (vacant and underdeveloped sites, as well as surplus public property), development of criteria to evaluate sites and to identify the best sites. Sub -tasks include: 1.3.1 Develop Methodology for Potential Housing Sites Inventory 1.3.2 Develop Criteria for Potential Affordable Housing Sites 1.3.3 Assist in coordination with Other Public Agencies/Groups 1.3.4 Prepare Draft and Final Report on Housing Opportunities Methods Time: Principal (76 hours); Assistant (20 hours) Cost: $8,800 Deliverable: Draft and Final Report on Housing Opportunities Methods Task 1.4 Develop "Issue Papers" on Housing Issues Specific to Marin County "Issue Papers" of about 2 to 4 pages in length would be prepared summarizing housing conditions and opportunities specific to Marin County. The number and topics would be determined in coordination with the Planning Directors Management Group (see Task 2.1 below). The intent of the "Issue Papers" is to provide more in-depth analysis of specific issues and then to package that information into an easy-to-use format for community discussions. The budget allows for the preparation of 12 "Issue Papers". Possible topics include: 1.4.1 "Design Issues and Density" Fact Sheet 1.4.2 "Examples of Successful Affordable Housing Projects" Fact Sheet 1.4.3 `Property Values" Fact Sheet 1.4.4 "Income and Salaries" Fact Sheet 1.4.5 "Mixed Use Housing" Fact Sheet 1.4.6 `Renovation and Rehabilitation of Existing Housing" Fact Sheet 1.4.7 "Second Units" Fact Sheet 1.4.8 "Senior Housing" Fact Sheet 1.4.9 "Housing Financing" Fact Sheet 1.4.10 "Fair Housing Laws" Fact Sheet 1.4.11 "Housing Programs" Fact Sheet 1.4.12 "Inclusionary Housing" Fact Sheet June,2000 Page 5 Marin County Housing Workbook and Jurisdiction Housing Elements Time: Principal (172 hours); Assistant (70 hours) Cost: $21,400 Deliverable: Fact Sheets (12) Task 1.5 Conduct Study Sessions with Housing Experts and Other Groups Study sessions would be conducted with experts in affordable housing, such as affordable housing providers as well as developers. The intent would be to develop and refine possible "best practices" and opportunities for providing affordable housing. A two-part approach could be used — a first study session involving a broader audience of participants and a second session involving affordable housing providerstpractitioners. Sub -tasks include: 1.5.1 Conduct Study Sessions (2) 1.5.2 Prepare Meetings Summary Time: Principal (24 hours); Assistant (6 hours) Cost: $2,760 Deliverable: Meeting Summary Memo Task 1.6 Identify "Best Practices" for Meeting Housing Needs A brainstorming session involving the Marin County Planning Directors would seek to draw upon the collective expertise and experience of each jurisdiction, and interweave the information from Task 1.5 meetings with housing experts and material provided by the consultant team, to identify opportunities for providing affordable housing and addressing housing issues in Marin County. Sub -tasks include: 1.6.1 Prepare "Best Practices" Options Memo 1.6.2 Meet with Planning Directors (see Task 2.1) 1.6.3 Prepare `Best Practices" Meeting Summary Memo Time: Principal (24 hours); Assistant (6 hours) Cost: $2,760 Deliverable: Meeting Summary Memo of `Best Practices" Task 1.7 Prepare Model Policies, Programs and Implementation Tools Based on data collected, analysis of current housing element, 'Best Practices" discussions and other sources, draft model policies, programs and implementation tools would be identified. The draft would be refined with the Marin County Planning Directors Management Group. Sub -tasks include: June, 2000 Page 6 Marin County Housing Workbook and Jurisdiction Housing Elements 2.3.1 Prepare Draft of Model Policies, Programs and Implementation Tools 2.3.2 Meet with Planning Directors (see Task 2.1) 2.3.3 Prepare Final Model Policies, Programs and Implementation Tools Time: Principal (100 hours); Assistant (26 hours) Cost: $11,560 Deliverable: Model Policies, Programs and Implementation Tools Task 1.8 Prepare Community Workshop Handout Materials and "Workshop Kit" An approach to conducting community workshops and a "Workshop Kit" would be prepared for use by each jurisdiction when updating their respective housing elements. Meeting handouts, displays and other presentation materials would be included. Sub -tasks include: 1.7.1 Prepare Community Workshops Approach Memo 1.7.2 Prepare Meeting Handouts and "Workshop Kit" 1.7.3 Prepare Meeting Display/Presentation Materials Time: Principal (65 hours); Assistant (24 hours) Cost: $7,940 Deliverable: Meeting Materials and Approach ("Workshop Kit") Task 1.9 Compile Material into a Draft Marin County Housing Workbook and Set-up Countywide Housing Monitoring Program A Draft and of the Marin County Housing Workbook would be prepared for review by the Marin County Planning Directors Project Management Group. It would compile the technical analysis collected as part of the preceding tasks. In addition, procedures and materials would be reviewed with Marin County Planning Directors to enable ongoing monitoring to occur once the housing elements are adopted. Six (6) specific meetings are proposed between April and October, although the consultant would be available for additional, shorter coordinating meetings—within reason—but as necessary. In addition, consistent formatting with other parts of the jurisdiction's General Plan would be undertaken. It is assumed some staff assistance would be provided in developing quantified housing objectives and in refinement of policies and programs specific to that jurisdiction.
