A RESOLUTION OF THE SAN RAFAEL CITY COUNCIL
AUTHORIZING JOINT POWERS AGREEMENT WITH TF iE
COUNTY OF MARIN AND CITY OF SAN RAFAEL WHEREIN
THE CITY OF SAN RAFAEL AGREES TO PAY $8,000 TO THE
COUNTY OF MARIN FOR REIMBURSEMENT OF
CONSULTANT FEES FOR THE PREPARATION OF THE
COUNTY HOUSING WORKBOOK.
WHEREAS, in February, 2000, the Planning Directors of the cities and towns of Marin and
Marin County initiated a collaborative process for Housing Element updates; and,
WHEREAS, in March, 2000, Baird and Driskell Community Planning Consultants submitted a
"Scope of Services" for this collaborative planning process; and
WHEREAS, in April, 2000, the City of San Rafael's Community Development Department staff
reviewed the "Scope of Services"; and
WHEREAS, in May, 2000, the City of San Rafael's Community Development Department staff
determined that a contract with Baird and Driskell to prepare a Marin County Housing
Workbook of "best practices" would be beneficial for the update of the City's Housing Element;
and
WHEREAS, in July, 2000, the Marin County Community Development Agency offered to
contract with Baird and Driskell Community Planning Services for the collaborative planning
process, with an agreement with the other towns and cities that reimbursement would occur for
each city's share; and
WHEREAS, in August, 2000, it was determined that the City of San Rafael's portion for the
preparation of the Marin County Housing Workbook is $8,000; and
WHEREAS, in August, 2000, it was determined that the City of San Rafael would enter into an
Agreement with the County of Marin by which the County would pay $8,000 to Baird and
Driskell for the preparation of the County Housing Workbook.
NOW THEREFORE BE IT RESOLVED, that the City Council of the City of San Rafael hereby
approves a Joint Powers Agreement with the County of Marin wherein the City of San Rafael
Agrees to pay $8,000 to the County of Marin for reimbursement of consultant fees for the
preparation of the County Housing Workbook, the concepts of which will be incorporated into
the Housing Element of the City's updated General Plan. The City Council of the City of San
Rafael therefore authorizes the City Manager to sign the Joint Powers Agreement with the
County of Marin.

JOINT POWERS AGREEMENT BETWEEN
COUNTY OF MARIN AND CITY OF SAN RAFAEL
FOR HOUSING ELEMENT CONSULTING SERVICES
This Agreement is made and entered into this 7`h day of September, 2000, by and between
the CITY OF SAN RAFAEL (hereinafter "CITY"), and the COUNTY OF MARIN, (hereinafter
"COUNTY").
RECITALS
WHEREAS, the CITY and the COUNTY have need of consulting services to assist in the
preparation of their respective Housing Elements for the update of their respective General Plans;
and,
WHEREAS, the COUNTY has received a grant from Marin Community Foundation to
retain a planning consultant to assist the COUNTY and the towns and cities within the County to
develop and prepare Housing Elements for their respective General Plans; and,
WHEREAS, the COUNTY has entered an agreement with Baird and Driskell Community
Planning to prepare and develop the Housing Element for the COUNTY and for other towns and
cities; and,
WHEREAS, CITY wants to have COUNTY's consultant prepare a County Housing
Element Workbook of "best practices" to assist CITY's General Plan Housing Element update;
AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
1. PROJECT COORDINATION.
A. CITY. The City Manager shall be the representative of the CITY for all purposes
under this Agreement. The Community Development Director is hereby designated the PROJECT
MANAGER for the CITY, and said PROJECT MANAGER shall supervise all aspects of the
progress and execution of this Agreement.
B. COUNTY. COUNTY shall assign a single PROJECT DIRECTOR to have overall
responsibility for the progress and execution of this Agreement for COUNTY. Alex Hinds is
hereby designated as the PROJECT DIRECTOR for COUNTY.
2. DUTIES OF COUNTY.
COUNTY shall perform the duties and provide services as described in Exhibit "A"
attached and incorporated herein.

CITY shall pay the compensation as provided in Paragraph 4, and perform the duties as
described in Exhibit "A" attached and incorporated herein.
4. COMPENSATION.
For the full performance of the services described herein by CONTRACTOR, CITY shall
pay CONTRACTOR as described in Exhibit "A. " attached and incorporated herein. COUNTY
shall allow CITY to apply for all State reimbursable items associated with the preparation of the
County Housing Workbook and shall provide to CITY a detailed accounting of consultant costs for
reimbursable items, as it pertains to the CITY.
5. TERM OF AGREEMENT.
The term of this Agreement shall commence on September 7, 2000 and shall end upon
completion of the COUNTY's duties and services described in section 2.
6. TERMINATION.
Either party may terminate this Agreement without cause upon thirty (30) days written
notice mailed or personally delivered to the other party. Upon receipt of notice of termination,
neither party shall incur additional obligations under any provision of this Agreement without the
prior written consent of the other. Any and all CITY documents or materials provided to
COUNTY or COUNTY's consultant and any and all of COUNTY's or COUNTY consultant's
documents and materials prepared for or relating to the performance of its duties under this
Agreement, shall be delivered to CITY as soon as possible, but not later than thirty (30) days after
termination.
7. OWNERSHIP OF DOCUMENTS.
The written documents and materials prepared by the COUNTY or COUNTY's consultant
in connection with the performance of specific duties for CITY under this Agreement, shall be the
sole property of CITY. CITY may use said property for any purpose, including projects not
contemplated by this Agreement.
8. INSPECTION AND AUDIT.
Upon reasonable notice, COUNTY shall make available to CITY, or its agent, for
inspection and audit, all documents and materials maintained by COUNTY in connection with its,
or its consultant's performance of duties under this Agreement. COUNTY shall fully cooperate
with CITY or its agent in any such audit or inspection.

9. ASSIGNABILITY.
The parties agree that they shall not assign or transfer any interest in this Agreement nor the
performance of any of their respective obligations hereunder, without the prior written consent of
the other party, and any attempt to so assign this Agreement or any rights, duties or obligations
arising hereunder shall be void and of no effect.
10. INSURANCE.
A. During the term of this Agreement, COUNTY shall require its consultant to
maintain, at no expense to CITY, the following insurance policies:
1. A comprehensive general liability insurance policy in the minimum amount
of one million ($1,000,000) dollars per occurrence for death, bodily injury, personal injury, or
property damage;
2. An automobile liability (owned, non -owned, and hired vehicles) insurance
policy in the minimum amount of one million ($1,000,000) dollars per occurrence;
3. If any licensed professional performs any of the services required to be
performed under this Agreement, a professional liability insurance policy in the minimum amount
of one million($ 1,000,000) dollars to cover any claims arising out of the Consultant's performance
of services under this Agreement.
B. COUNTY shall require its Consultant to maintain insurance which shall meet all of
the following requirements:
1. The insurance shall be primary with respect to any insurance or coverage
maintained by CITY and shall not call upon CITY's insurance or coverage for any contribution;
2. Except for professional liability insurance, the insurance policies shall be
endorsed for contractual liability and personal injury;
3. Except for professional liability insurance, the insurance policies shall be
specifically endorsed to include, among others, the CITY, its officers, agents, employees, and
volunteers, as additionally named insureds under the policies.
4. The insurance policies shall provide that the insurance carrier shall not
cancel, terminate or otherwise modify the terms and conditions of said insurance policies except
upon thirty (30) days written notice to CITY.
C. If it employs any person, COUNTY's Consultant shall maintain worker's
compensation and employer's liability insurance, as required by the State Labor Code and other
applicable laws and regulations.

11. INDEMNIFICATION.
COUNTY shall require its Consultant to indemnify, release, defend and hold harmless
CITY, its officers, agents, employees, and volunteers, against any claim, demand, suit, judgment,
loss, liability or expense of any kind, including attorney's fees and administrative costs, arising out
of or resulting in any way, in whole or in part, from any acts or omissions, intentional or negligent,
of COUNTY's Consultant's officers, agents and employees in the performance of their duties and
obligations under this Agreement.
COUNTY shall indemnify, release, defend and hold harmless CITY, its officers, agents,
employees, and volunteers, against any claim, demand, suit, judgment, loss, liability or expense of
any kind, including attorney's fees and administrative costs, arising out of or resulting in any way, in
whole or in part, from any acts or omissions, intentional or negligent, of COUNTY, its officers,
agents and employees in the performance of their duties and obligations under this Agreement.
CITY, shall indemnify, release, defend and hold harmless COUNTY, its officers, agents,
employees, and volunteers, against any claim, demand, suit, judgment, loss, liability or expense of
any kind, including attorney's fees and administrative costs, arising out of or resulting in any way, in
whole or in part, from any acts or omissions, intentional or negligent, of CITY's officers, agents
and employees in the performance of their duties and obligations under this Agreement.
12. NONDISCRIMINATION.
COUNTY shall require that its Consultant not discriminate, in any way, against any person
on the basis of age, sex, race, color, religion, ancestry, national origin or disability in connection
with or related to the performance of its duties and obligations under this Agreement.
13. NOTICES.
All notices and other communications required or permitted to be given under this
Agreement, including any notice of change of address, shall be in writing and given by personal
delivery, or deposited with the United States Postal Service, postage prepaid, addressed to the
parties intended to be notified. Notice shall be deemed given as of the date of personal delivery, or
if mailed, upon the date of deposit with the United States Postal Service. Notice shall be given as

14. INDEPENDENT CONTRACTOR.
For the purposes, and for the duration, of this Agreement, COUNTY, its officers, agents
and employees shall act in the capacity of an Independent Contractor, and not as employees of the
CITY. COUNTY and CITY expressly intend and agree that the status of COUNTY, its officers,
agents and employees be that of an Independent Contractor and not that of an employee of CITY.
15. ENTIRE AGREEMENT -- AMENDMENTS.
The terms and conditions of this Agreement, all exhibits attached, and all documents
expressly incorporated by reference, represent the entire Agreement of the parties with respect to
the subject matter of this Agreement. This written Agreement shall supersede any and all prior
agreements, oral or written, regarding the subject matter between the parties. The terms and
conditions of this Agreement shall not be altered or modified except by a written amendment to this
Agreement signed by the parties. If any conflicts arise between the terms and conditions of this
Agreement, and the terms and conditions of the attached exhibits or the documents expressly
incorporated by reference, the terms and conditions of this Agreement shall control.
16. WAIVERS.
The waiver by either party of any breach or violation of any term, covenant or condition of
this Agreement, or of any ordinance, law or regulation, shall not be deemed to be a waiver of any
other term, covenant, condition, ordinance, law or regulation, or of any subsequent breach or
violation of the same or other term, covenant, condition, ordinance, law or regulation. The
subsequent acceptance by either party of any fee, performance, or other consideration which may
become due or owing under this Agreement, shall not be deemed to be a waiver of any preceding
breach or violation by the other party of any term, condition, covenant of this Agreement or any
applicable law, ordinance or regulation.
17. COSTS AND ATTORNEY'S FEES.
The prevailing party in any action brought to enforce the terms and conditions of this
Agreement, or arising out of the performance of this Agreement, may recover its reasonable costs
(including claims administration) and attorney's fees expended in connection with such action.

18. APPLICABLE LAW.
The laws of the State of California shall govern this Agreement.

Dear Bob,
This letter is to formalize the funding agreement related to the collaborative Housing Element update
effort being undertaken by the cities and towns of Marin and Marin County. There are three components
or `Task Groups' to this project which are:
1. Housing Workbook — a tool kit that examines countywide housing issues, provides more detailed
background analysis, and contains `best practices' (model policies, programs, and implementing
tools) tailored to the County and each of the participating cities.
2. Draft Housing Elements — preparation of a Draft Housing Element for each participating
jurisdiction which will be a `public review ready' document.
3. Final Housing Elements — carrying the Draft Element through the public review and adoption
process.
Task Groups 1 and 2 are an integral package which will be prepared by consultant Baird+Driskell for all
participating jurisdictions. Cities and towns may optionally contract with Baird+Driskell Task Group 3,
the Final Housing Element for an additional $5,000.
The County will coordinate the contract for Task Group 1 by entering into a contract with Baird+Driskell
for $90,000 of which the Marin Community Foundation grant provides $30,000. The County is
contributing up to $20,000 for this effort with the remaining amount being divided between the
participating cities and towns. Each participating jurisdiction will reimburse the County for their share
of Task Group 1. The $73,200 Task Group 2 fee is also being divided among all participating
jurisdictions with the understanding that each jurisdiction will execute a separate agreement with
Baird+Driskell for their share of this amount. This letter serves to commit your jurisdiction to funding
your share of the project as outlined below.

PARTICIPATION AGREEMENT FOR COLLABORATIVE HOUSING ELEMENT UPDATE
By the signature of the authorized representative below, the City of San Rafael is agreeing to the
following:
1. To reimburse the County of Marin in the amount of $8,000.00 for the City of San Rafael's share
of the Housing Workbook.
2. To contract with Baird+Driskell in the amount of $12,000.00 for the City of San Rafael's Draft
Housing Element.
3. The City of San Rafael will be preparing its own Final Housing Element.
Reimbursement to County of Marin for Task Group 1 (Housing Workbook) is due prior to release of the
final version of the Housing Workbook. Payment to Baird+Driskell for Task Groups 2/3 (Draft/Final
Elements) is due in accordance with the contract you enter into with Baird+Driskell.

protection of existing housing, etc. The results of tasks 1.2 and 2.2 (see Preliminary
Draft Housing Element tasks) would be reviewed with Marin County Planning
Directors. Sub -tasks include:

potential sites (vacant and underdeveloped sites, as well as surplus public property),
development of criteria to evaluate sites and to identify the best sites. Sub -tasks
include:

housing conditions and opportunities specific to Marin County. The number and
topics would be determined in coordination with the Planning Directors
Management Group (see Task 2.1 below). The intent of the "Issue Papers" is to
provide more in-depth analysis of specific issues and then to package that
information into an easy-to-use format for community discussions. The budget
allows for the preparation of 12 "Issue Papers". Possible topics include:

Study sessions would be conducted with experts in affordable housing, such as
affordable housing providers as well as developers. The intent would be to develop
and refine possible "best practices" and opportunities for providing affordable
housing. A two-part approach could be used — a first study session involving a
broader audience of participants and a second session involving affordable housing
providerstpractitioners. Sub -tasks include:

affordable housing and addressing housing issues in Marin County. Sub -tasks

Preliminary Draft Housing Element
for Each Participating Jurisdiction
Task 2.1 Coordinate with Marin County Planning Directors
Project Management Group
Meetings will be conducted with Marin County Planning Directors or their
designated staff to coordinate work on the project, including: (1) refinement of
information; (2) development of "best practices"; (3) direction for products; (4)
direction for process approach; and (5) review of products. Six (6) specific meetings
are proposed between April and October, although the consultant would be available
for additional, shorter coordinating meetings—within reason—but as necessary. In
addition, coordination through the Internet, other data management and information
systems practices will be explored for use either during or as a product of this work
effort. Thus, all products will have both hard copy and digital versions. Possible
meeting topics include:

2.1.3 Meeting #3—Discussion of Potential Housing Opportunities.

Task 2.2 Collect and Analyze City/County Housing Data
The focus of this part of the data collection and analysis effort would be on
conditions specific to each jurisdiction. Data would be collected on recent
construction activity, available land, constraints, and the effectiveness of the
jurisdiction's current Housing Element. It is assumed that planning and other staff
will assist in obtaining data specific to the jurisdiction. Sub -tasks include:

Task 2.3 Prepare Preliminary Draft Housing Element for
Each Participating Jurisdiction
Based on the direction provided by each jurisdiction, a Preliminary Draft Housing
Element will be prepared for Marin County and each participating City. The
Preliminary Draft will include all sections as required by State law and would be
tailored to the specific issues, policies and needs of the jurisdiction. In addition,
consistent formatting with other parts of the jurisdiction's General Plan would be
undertaken. It is assumed some staff assistance would be provided in developing
quantified housing objectives and in refinement of policies and programs specific to
that jurisdiction. Sub -tasks include:

Task 2.4 Goals/Issues Identification Workshops
(Workshop Module #1)
Conduct a series of four workshops in different locations throughout the County to
identify important housing issues, goals, constraints, possible strategies and
opportunities. Sub -tasks include:
2.4.1 Pre -Workshop Series Planning. Pre -meeting planning actions include:
(1) refine the workshops approach and agenda with the Project Manage-
ment Group; (2) assist in finding appropriate workshop locations; (3)
assist in the preparation of noticing by County staff; and (4) prepare
workshop handouts (some of which would be prepared as part of task
1.8).
2.4.2 Community Workshops (Module #1). Conduct a series of four (4)
Community Workshops with the assistance and involvement of staff
from participating jurisdictions.
2.4.3 Summary Report (Module #1). Prepare a Community Workshop Sum-
mary Report of all four (4) workshops for review with the Project
Management Group and as a product for future use in the Housing
Element update process.

Task 2.5 Strategies Discussion/Feedback Workshops

Conduct a series of four workshops in different locations throughout the County to
provide opportunity for community review, discussion, refinement and feedback on
possible housing strategies. The workshops will also help to identify other strategies
or considerations that should be part of an overall housing strategy in the County.
Sub -tasks include:
2.5.1 Pre -Workshop Series Planning. Pre -meeting planning actions include:
(1) refine the workshops approach and agenda with the Project Manage-
ment Group; (2) assist in finding appropriate workshop locations; (3)
assist in the preparation of noticing by County staff; and (4) prepare

Adoption of Jurisdiction
Housing Elements
Task Group 3.0 would involve the review, refinement and adoption of the participating
jurisdiction's Housing Element. Task Group 3.0 would be undertaken following
completion of Task Groups 1.0 and 2.0. The estimated costs below are on a per
jurisdiction basis. A separate agreement would need to be signed with those jurisdictions
who wish to have these tasks included in the scope of work. It is assumed that the
consultant will work primarily as an extension of the jurisdiction staff through the review
and adoption phase of the work.
