A RESOLUTION OF THE CITY COUNCIL OF SAN RAFAEL
AUTHORIZING THE CITY MANAGER TO SIGN A PROFESSIONAL
SERVICES AGREEMENT WITH
BARBER AND GONZALES CONSULTING GROUP IN AN AMOUNT
NOT TO EXCEED $40,000 TO PROVIDE CONSULTING SERVICES FOR THE
ST. VINCENT'S/SILVEIRA PLANNING PROJECT
WHEREAS, in June 1998, City Council agreed to a Memorandum of Understanding with
the Marin County Board of Supervisors, wherein the M.O.U. outlined a joint
planning process for the preparation of general plan amendment
recommendations for the San Rafael General Plan and the Marin
Countywide Plan; and
WHEREAS, the firm of Barber and Gonzales Consulting Group, having the experience
and expertise to perform facilitation services for the St. Vincent's/Silveira
planning project, was contracted with to assist the 14 -member Advisory
Task Force with the project; and,
WHEREAS, the work of the Task Force has been extended through the end of the year so
that there may be time to complete the work as outlined, and the City and
Ken Kay Associates desire to jointly extend their contract so that the
services of Barber and Gonzales are available to the Task Force.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of San Rafael
that it hereby authorizes the City Manager to sign a Professional Services
Agreement, with Barber and Gonzales Consulting Group to work with City
staff and provide facilitation and design assistance for the St.
Vincent's/Silveira planning project, for an amount not to exceed $40,000, as
further defined in Attachment A.

AMENDMENT
PROFESSIONAL SERVICES AGREEMENT
This agreement is made and entered into this 6`h day of July, 1999, between the City of
San Rafael, a Municipal Corporation (hereinafter referred to as "CITY") and Barber &
Gonzales Consulting Group, a sole proprietorship (hereinafter referred to as
"CONSULTANT").
WHEREAS, CITY and CONSULTANT entered into a Professional Services
Agreement dated October 19, 1998 to provide process and meeting
facilitation to the St. Vincent's/Silveira Advisory Task Force; and,
WHEREAS, CITY desires an amendment to said Professional Services Agreement to
extend the contract for the expected duration of the work of the Task Force
through the end of December 1999.
NOW, THEREFORE, it is agreed by and between CITY and CONSULTANT as
follows:
CITY shall reimburse CONSULTANT for work to date, including
meetings on March 20`h, April 19`h, April 24`h, May 19`h, and May 24`h.
CONSULTANT shall attend the following Task Force meetings: June
24`h, July 21", August 5`h, August 26`h, September 16`', October 7`h,
November 4`h and December 9`h. In addition, the CONSULTANT shall
attend staff meetings and facilitate small group meetings of Task Force
members as needed in the interest -based decision-making process. The
total to be paid to finish the project is an amount not to exceed $40,000,
for a total contract amount not to exceed $65,000.
