A RESOLUTION OF THE CITY COUNCIL OF SAN RAFAEL
AUTHORIZING THE CITY MANAGER TO SIGN A PROFESSIONAL
SERVICES AGREEMENT WITH KEN KAY ASSOCIATES IN AN AMOUNT
NOT TO EXCEED $25,000 TO PROVIDE CONSULTING SERVICES FOR THE
ST. VINCENT'S/SILVEIRA PLANNING PROJECT
WHEREAS, in June 1998, City Council agreed to a Memorandum of Understanding with
the Marin County Board of Supervisors, wherein the M.O.U. outlined a joint
planning process for the preparation of general plan amendment
recommendations for the San Rafael General Plan and the Marin
Countywide Plan; and
WHEREAS, the firm of Ken Kay Associates, having the experience and expertise to
perform design services for the St. Vincent's/Silveira planning project, was
contracted with to assist the 14 -member Advisory Task Force with the
project; and,
WHEREAS, the work of the Task Force has been extended through the end of the year so
that there may be time to complete the work as outlined, and the City and
Ken Kay Associates desire to jointly extend their contract so that Ken Kay's
services are available to the Task Force.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of San Rafael
that it hereby authorizes the City Manager to sign a Professional Services
Agreement, with Ken Kay Associates to work with City staff and provide
design assistance for the St. Vincent's/Silveira planning project, for an
amount not to exceed $25,000, as further defined in Attachment A, for a
total contract amount not to exceed $50,000.

foregoing resolution was duly and regularly introduced and adopted at a regular meeting of
the Council of said City on the 6"' day of July, by the following vote, to wit:

ATTACHMENT A
AMENDMENT
PROFESSIONAL SERVICES AGREEMENT
This agreement is made and entered into this Oh day of July, 1999, between the City of
San Rafael, a Municipal Corporation (hereinafter referred to as "CITY") and K. Kay
Associates (a corporation) (hereinafter referred to as "CONSULTANT").
WHEREAS, CITY and CONSULTANT entered into a Professional Services
Agreement dated October 15, 1998 to provide process and meeting
facilitation to the St. Vincent's/Silveira Advisory Task Force; and,
WHEREAS, CITY desires an amendment to said Professional Services Agreement to
extend the contract for the expected duration of the work of the Task Force
through the end of December 1999.
NOW, THEREFORE, it is agreed by and between CITY and CONSULTANT that
section 2 (Duties of Contractor) is hereby amended to include additional
duties specified in Exhibit A attached and incorporated herein. For these
additional services CONTRACTOR shall be compensated in an amount
not to exceed an additional $25,000, for a total contract amount not to
exceed $50,000.
