THE SAN RAFAEL CITY COUNCIL DOES HEREBY RESOLVE AS FOLLOWS: The Mayor and City Clerk are authorized to execute, on behalf of the City of San Rafael, a Notice of Compliance to Fair Isaac and Company, Inc., a copy of which is attached hereto and by this reference made a part hereof. Recitals Lease Plan North America, Inc., an Illinois corporation, is the owner of certain real property (the "Property") located in the City of San Rafael, County of Marin, California, which is leased to Fair Isaac and Company, Inc., a Delaware corporation, and is further described in Exhibit A attached hereto and incorporated herein. Fair Isaac and Company, Inc., is developing such property pursuant to, among other things, that certain Development Agreement, recorded April 9, 1998, as instrument No. 98-023245 of the Official Records of Marin County. California Government Code Section 65865.1 requires annual review by the City of compliance with terms of the Development Agreement in accordance with procedures established by the City. The City has received substantial factual evidence of good faith compliance by Fair Isaac and Company Inc. with the terms of the Development Agreement, in accordance with the procedure established by the City for conducting such annual reviews. NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF SAN RAFAEL DOES HEREBY FIND AND DETERMINE AS FOLLOWS: Section 1. Finding. The real property development activities undertaken and described by Fair Isaac and Company, Inc. in a public hearing conducted on July 6, 1999, are hereby found to comply with the terms of the Development Agreement. Section 2. Determination. For the period ending April 26, 1999, Fair Isaac and Company, Inc. has complied with the terms of the Development Agreement.
