RESOLUTION OF THE SAN RAFAEL CITY COUNCIL
AUTHORIZING AN AGREEMENT WITH PELL DEVELOPMENT TO
UNDERWRITE A HEAD START PROGRAM AND TO PROVIDE FUNDING
TO THE MARIN CHILD CARE COUNCIL TO MEET THE REQUIREMENTS
OF THE PRIORITY PROJECTS PROCEDURE.
WHEREAS, Pell Development was granted "priority status" in the 1996 round of the Priority Projects
Procedure based on a proposal to meet neighborhood needs by helping to provide child
care facilities at the Regency II office site; and,
WHEREAS, changed circumstances, including new information on soils conditions and the
unavailability of alternate sites, now make it unfeasible to provide affordable child care in
the configuration originally proposed; and,
WHEREAS, Pell Development has proposed to meet its commitment by partially underwriting a
program in partnership with Marin Head Start and the First Congregational Church.
NOW, THEREFORE, BE IT RESOLVED, that the City Council hereby authorizes the City Manager to
sign the attached Agreement with Pell Development setting the terms for the Head Start
program and funding to the Marin Child Care Council.

was duly and regularly introduced and adopted at a regular meeting of the City Council of

AGREEMENT TO SATISFY PPP95-3 REGENCY H.
The City of San Rafael ("City") and Pell Development, Inc., ("Pell') agree to the following plan
proposed by Pell Development to fulfill the PPP conditions which were originally approved by the
City Council in 1991 and clarified and detailed in PPP95-3 Regency II, approved in May, 1996.
1. Pell Development will make improvements to an existing building and outdoor recreation
area of the First Congregational Church of San Rafael on 8 North San NFO Road to
accommodate a child care facility, meeting state and local requirement128 preschool children.
The improvements to the facility will be the property of the Church in perpetuity.
2. Pell Development will lease the improved facility from the Church for an initial term of
five (5) years with options to enable leasing for another 5 years The term of the child care
facility lease obligation shall be equal to the term of the limited capacity of the Smith Ranch/Lucas
Valley interchange, but not to exceed a term of ten (10) years fi-om the date of the completion of
Regency II. If after the initial term of the Lease, the expected Smith Ranch/ Lucas Valley
interchange improvement is not completed, the term of the Lease shall be extended in one year
increments, at the sole discretion of Pell, for a period not to exceed a total of five (5) additional
years.
3. First Congregational Church will enter into an agreement with Marin Head Start to
operate the child care program at the Church facility, as outlined in Marin Head Start Proposal for
the Site at the First Conereeational Church. San Rafael (Exhibit A). If Marin Head Start
terminates its agreement then the Church will attempt to find another operator for a child care
program at the facility. If the Church cannot find another operator for a child care program
within 90 days, Pell Development may terminate the lease and fund the outstanding lease amount
to Marin Child Care Council.
4. The property owner, First Congregational Church, shall contract with a child care
program operator for a minimum of 5 years and a maximum of 10 years from the date of the
completion of improvements to the facility. The required time for use of the facility for child care
program use is reduced if planned Smith Ranch/Lucas Valley interchange improvements are
constructed earlier than the maximum 10 year period. The use may remain a child care facility
beyond the time frames agreed upon as above.
5. To assure "equivalency" with the original PPP resolution approval, Pell Development will fund
an amount of $10,000 annually for a period of 10 years, or a total fund of $100,000 to the Marin Child
Care Council to address affordable child care needs in North San Rafael.
a. Pell Development will fund to Marin Child Care Council a total of
$10,000 annually for a term of 10 years to be used to make child care affordable to
those who need it.
b. Payment will be made by Pell Development to the Marin Child Care
Council.

C. The funds must be used by Marin Child Care Council for child care for
residents of San Rafael.
d. First priority of the Pell Development funds to assist in child care will
be given to residents of North San Rafael.
e. The annual amount will be disbursed by Marin Child Care Council to enable
affordable child care.
f.. Pell Development may elect at their sole discretion whether to pay
the $10,000 annual amount on a single year basis or in any lump sum. If Pell
Development elects to pay any of the amount in a lump sum, Marin Child Care
Council will earn any income on the amount held.
