A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN
RAFAEL AMENDING RESOLUTION 9533 ADOPTING
AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN THE
CITY OF SAN RAFAEL AND PACIFIC/WEST
COMMUNICATIONS GROUP, INC. NOT TO EXCEED THE
TOTAL OF $362,000.00.
WHEREAS, the Bay Area Stormwater Management Association
Agencies, (hereinafter `BASMAA"), has determined that consulting services are required
to implement the REGIONAL ADVERTISING CAMPAIGN; for stormwater pollution
control in the greater San Francisco Bay Area; and
WHEREAS, CITY, which is a member of BASMAA, has been assigned
the title of Contracting Agent and Treasurer for BASMAA for the purpose of
implementing the REGIONAL ADVERTISING CAMPAIGN; and
WHEREAS, the BASMAA represents the various stormwater programs in
the greater San Francisco Bay Area and other entities contributed funds for the above-
mentioned project; and
WHEREAS, the CONTRACTOR has offered to render certain specialized
professional services in connection with this Project.
NOW, THEREFORE, BE IT RESOLVED the Council of the City of
San Rafael does hereby adopt the amendment to the agreement from PACIFIC/WEST
COMMUNICATIONS GROUP, INC. for professional services between the City of San
Rafael, acting as the contracting agent and treasurer for BASMAA, and PACIFIC/WEST
COMMUNICATIONS GROUP, INC. not to exceed the total of $362,000.00.
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael, hereby certify that
the foregoing resolution was duly and regularly introduced and adopted at a regular meeting of
the Council of said City on the 18`h day of November, 1996, by the following vote, to wit:

AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
BETWEEN THE CITY OF SAN RAFAEL AND PACIFIC/WEST
COMMUNICATIONS GROUP, INC.
CITY OF SAN RAFAEL (hereinafter "CITY"), and Pacific/West
Communications Group, Inc. (hereinafter ("CONTRACTOR"), HEREBY AMEND
THEIR Professional Services Agreement dated December 18, 1995 as follows:
Section (2) — "DUTIES OF CONTRACTOR", is amended as follows:
The scope of duties of CONTRACTOR shall include those duties listed in
Attachment no. 1, attached hereto and incorporated therein.
2. Section (3) — "COMPENSATION" is amended as follows:
The total costs for professional fees and expenses shall not exceed the amount
collected by the City from BASMAA members and shall in no event, exceed the total of
$362,000.00.
3. Section (4) - "TERM OF AGREEMENT", is amended as follows:
The term of this agreement shall be extended for one year to terminate December
31, 1997. This agreement can be extended for (1) additional year, at the option of the
City. All other terms and conditions of the agreement shall remain in full force and
effect.
IN WITNESS WHEREOF, the parties have executed this Amendment on this 18th
day of November , 1996.

SCOPE OF WORK
The CONSULTANT shall work with the regional advertising campaign workgroup of the
Bay Area Stormwater Management Agencies Association's Public Information/
Participation Committee to develop and implement a regional advertising campaign
strategy on stormwater pollution. The CONSULTANT shall include in the strategy the
development of creative materials for regional and local placement, purchase and
placement of advertising space in regional media (i.e. television, radio). The
CONSULTANT shall develop a local media placement plan for any program
participating in the regional advertising campaign that intends to advertise at a local level,
in conjunction with the regional advertising campaign. All other costs associated with
local advertising (i.e. printing, media space) will be paid by the appropriate local entity.
