A RESOLUTION AUTHORIZING THE SIGNING OF A
CONTRACT. LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf of
the City of San Rafael a contract, lease or agreement with :
Memorandum of Understanding between the City of San Rafael and the Canal
Community Alliance for State Grant funds Pickleweed Park Kids Club.
a copy of which is hereby attached and by this reference made a part hereof.

Memorandum of Understandinb
between the City of San Rafael and the Canal Community Alliance
for State Grant Funds for Pickleweed Park Kids Club
This Memorandum of Understanding is made and entered into this
first day of May 1995, by and between the City of San Rafael, herein referred to
as "City" and the Canal Community Alliance, a nonprofit corporation, herein
referred to as "CCA".
RECITALS
The City of San Rafael Recreation Department Youth Services
Division, with significant community and local agency support, manages a
free children's program for canal youth called the Pickleweed Park Kids Club.
The Canal Community Alliance, a supportive partner in providing
local programs and resources, secured a $6,000 State Department of Education
Child Development Grant for supplies and equipment for the Pickleweed
Park Kids Club.
AGREEMENT
Section 1: The Proiect
1. The City manages the Pickleweed Park Kids Club which operates at
Pickleweed Park after school and summers and serves local canal youth 5-12
years old.
2. The program is supported by a collaboration of agencies who refer
children to the program, provide supplies, fund staff costs and training and
contribute program support.
Section 2 Duties and Resvonsibilities of CCA
1. The CCA will administer the State Grant funds awarded to CCA for
the Pickleweed Park Kids Club.
2. The CCA will reimburse the City for expenses outlined in the grant
for the Kids Club.
Section 3 Duties and Resvonsibilities of the City
1. The City will be responsible for the purchase of the necessary
supplies and equipment for the Pickleweed Park Kids Club program as per the
grant budget.
2. The City will submit an accounting of these expenditures to the CCA
for reimbursement.
3. The City will operate the Pickleweed Park Kids club as a "license
exempt" program as per the State Department of Social Services regulations.

Section 4: Ownership of SuvDlies and EauiDment
All supplies and equipment purchased for the Pickleweed Park Kids
Club program pursuant to this Memorandum of Understanding shall be the
property of the City, without any financial obligation of City to CCA.
Section 5: Termination of Agreement
The term of this agreement shall be from May 1, 1995 through
December 31, 1995, inclusive. This agreement may be extended upon written
agreement of both parties.
Either party may terminate this agreement without cause upon
providing the other party written notice of such termination thirty days prior
to the date of termination.
Section 6 Indemnification
City agrees to indemnify, defend, and hold harmless the Canal
Community Alliance, its officers, employees, and agents from any and all
liability arising out of any negligent or intentionally wrongful acts or
omissions of City's officers, employees, and agents in the performance of their
duties and responsibilities under this Memorandum of Understanding.
