A RESOLUTION AUTHORIZING THE SIGNING OF AN
AGREEMENT WITH FORSHER + GUTHRIE FOR THE
DESIGN OF THE DEL GANADO FIRE STATION
RECONSTRUCTION
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES AS
FOLLOWS:
The Mayor and the City Clerk are hereby authorized to
execute, on behalf of the City of San Rafael, an agreement with Forsher
+ Guthrie to provide professional architechural services for the design
of the "Del Ganado Fire Station Reconstruction." A copy of said
agreement is hereby attached and by this reference made a part of this
resolution.

introduced and adopted at a regular meeting of the City Council held on

AGREEMENT FOR PROFESSIONAL SERVICES
WITH FORSHER + GUTHRIE FOR THE DESIGN OF
THE DEL GANADO FIRE STATION RECONSTRUCTION
This Agreement is made and entered into this 6th day of September 1994 by and between the
City of San Rafael (hereinafter called City) and Forsher + Guthrie (hereinafter called Consultant).
A. SCOPE OF WORK
In accordance with this Agreement, the Consultant agrees to provide professional services
as an Architectural Consultant to design the Del Ganado Fire Station Reconstruction, as
outlined in the Proposal from Consultant entitled "Fire Station #6 -Professional Services
Proposal", dated August 30, 1994, marked Exhibit "A", attached hereto, and incorporated
herein by this reference. The Consultant agrees to be available and perform the work
specified in this agreement in the time frame as specified and as shown in Exhibit "A7.
B. INDEPENDENT CONTRACTOR
It is understood and agreed that the Consultant is, and at all times shall be, an independent
contractor and nothing contained herein shall be construed as making the Consultant, or
any individual whose compensation for services is paid by the Consultant, an agent or em-
ployee of the City, or authorizing the Consultant to create or assume an obligation for or on
behalf of the City.
C. PAYMENT
For the payments specified herein, which the City agrees to make, the Consultant will
undertake the above noted work. Payment for Professional Engineering services will be
made as follows:
1. The Consultant shall receive payment on a time and material basis for services rendered in
accordance with the rates shown on his current fee schedule, set out in Exhibit -A7.
2 The total payment made for any individual work task will not exceed the amounts shown on the
Proposal Budget, set out in Exhibit "A", without prior authorization by the City.
* Consultant's professional service fees shall be invoiced on a monthly basis.
4 Payments made by the City shall be made within 15 days of receipt of invoice.
D. TERMS
The terms of this Agreement shall be from the date of execution until January 1, 1996.
Either party may terminate this Agreement by giving other party thirty (30) days written
notice. In the event of termination, City shall pay Consultant all sums then due and unpaid
as of the date of receipt of notice. Payment by City of such compensation shall be
considered full and final settlement for all work performed by the Consultant under this
Agreement. All completed reports and other documents and materials described in Exhibit
"A" shall become the property of the City.
E. ARBITRATION
All claims or disputes between the City and the Consultant relating to this Agreement shall
be decided by arbitration pursuant to the current provisions of the California Code of Civil
Procedure and any successor statutes. The decision of the arbitrator shall be final and
binding on the parties. In interpreting the provisions of this Agreement, the arbitrator may
make an award of costs and fees, including attorney's fees necessitated by arbitration.
Notwithstanding this requirement that disputes arising out of this agreement shall be sub-
ject to arbitration, as a precondition to the filing of any such arbitration, all claims, dis-
putes and other matters in question between the parties of this agreement or breach
thereof, shall be first submitted to non-binding mediation prior to the initiation of any ar-
bitration unless the parties mutually agree otherwise. The cost of said mediation shall be
split equally between the parties. This agreement to mediate shall be specifically enforce-
able under the prevailing law of the jurisdiction in which it was signed.

F. ALTERATIONS
This Agreement may be modified, as necessary, for the successful and timely completion of
the services to be provided. Any alteration shall be expressed in writing, as an amendment
to this Agreement, and shall be executed by both parties. Amendments to Exhibit "A", may
be made by mutual agreement, in writing, signed by Consultant and the Director of Public
Works, or the Director's appointed representative.
G. ASSIGNMENT
No assignment of this Agreement, either in whole or in part, shall be made by Consultant
without the prior written consent of City.
H. NOTICES
Any notice required to be given by the terms of this Agreement shall be deemed to have been
given when the same is sent by certified mail, postage prepaid, addressed to the respective
parties as follows:

I. INSURANCE
During the term of this Agreement, Consultant shall maintain: comprehensive general
liability insurance with a combined single limit of not less than $1,000,000 for bodily or
personal injury or property damage as the result of any single occurrence; Consultant shall
also maintain professional liability insurance with a limit of liability of not less than
$500,000 per claim, and in the aggregate. City shall be added as a named insured on the
general and comprehensive general liability insurance. Prior to beginning work under this
Agreement, Consultant shall provide the City with evidence that the insurance described
above is in place.
J. INDEMNITY
Consultant shall indemnify, defend and hold the City harmless from and against liability
arising from Consultant's negligent acts, errors, or omissions in performance of the work,
or for willful or intentional misconduct relating to activities carried out pursuant to or in
connection with this Agreement.
IN WITNESS WHEREOF, City and Consultant have caused their authorized representatives to
execute this Agreement the day and year first written above.

Professional Services Proposal
This letter will constitute a Proposal -for the provision of Professional Services
between the City of San Rafael, hereinafter referred to as the "Client", and Forsher
+ Guthrie, hereinafter referred to as the "Consultant".
Sc9e of Services: _
In general, the Consultant will assist the Client in the following phases of the above
referenced project located at 650 Del Ganado Road in San Rafael:
-Phase 1: Programming/ Schematic Design/Design Review Approval
-Phase 2: Design Development/Construction Documents
• Phase 2A: Culvert Bridge Feasibility & Cost Analysis/Design Development/
Construction Documents
-Phase 3: Bidding & Negotiations/Construction Contract Administration
The specific tasks included in each of the phases are listed in the attached
Description of Scope of Professional Services. Exclusions to the scope of services are
also identified. If the Client wishes for any of the exclusions to become a part of the
designated Scope of Work, or if any other additional services are requested by the
Client and agreed to by the Consultant, then the Description will be amended and
be included as a part of this Agreement.
Note that Geotechnical investigation, observation and testing during the
construction of the project is excluded from this contract proposal.
A geotechnical investigation was completed by Miller Pacific Engineering Group in
May of 1991 (report dated May 16, 1991, project report #157.07). Forsher + Guthrie
has discussed the project with Gene Miller of Miller Pacific about the probable scope
of services which will be required during construction, and the associated fees.
Fees in the $3000.00 range should be anticipated for plan and specification review;
pre -construction meeting with the Contractor; on site observation at various stages
of grading, subgrade preparation, and foundation excavations; laboratory testing;
and completion of a written summary report.

Professional Fees:
A fixed fee to complete the designated scope of services for each of the four phases,
as indicated in the attached Description of Scope of Professional Services, is as
follows:
• Phase 1: 9000.00
• Phase 2: 39000.00
• Phase 2A: 5800.00
• Phase 3: 12000.00
TOTAL FEE: $65,800.00
To complete any additional services requested, Consultant will charge Client on a
time and materials basis in accordance with the following rate schedule:

All job related costs incurred by the Consultant necessary to complete the
Designated Services including but not limited to printing, photography, long
distance phone calls and travel expenses shall be reimbursed by the Client at a rate
of 1.1 times the actual cost.
Pavmen t:
By the first of each month the Consultant will provide the Client with a invoice for
time and material costs accrued to the 25th day of the preceding month. The
invoice will be due and payable by the 10th day of the month. A finance charge will
be applied to any unpaid balance commencing 30 days after date of original invoice,
computed at 1% per month. Should it be necessary to institute legal action, the
prevailing party, in addition to any relief awarded shall be entitled to recover the
costs for reasonable attorney fees.
Limit of Liability:
The Client agrees to limit the Consultant's liability to the Owner and to all other
consultants or subcontractors on the project, due to the Consultant's negligent acts,
errors or omissions, such that the total aggregate liability of the Consultant to all
those named shall not exceed the Consultant's insurance coverage available at the
time of settlement or judgement.
