A RESOLUTION AUTHORIZING THE SIGNING OF A
CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute on behalf of the City of
San Rafael a contract, lease or agreement with:
the County of Marin for a $2,000 contribution to
Sun Valley Park.
a copy of which is hereby attached and by this reference made a part hereof.
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael, hereby certify that the
foregoing resolution was duly and regularly introduced and adopted at a
meeting of the City Council of said City, held on Monday the 18th day of
Julv , 1994, by the following vote, to wit:

AGREEMENT
THIS AGREEMENT, made and entered into this �-N day of1 �5 1994, by and
between the COUNTY OF MARIN, a political subdivision of the State of California, here' fter referred to as "County", and the
Citv of San Rafael hereinafter referred to as "Contractor",
In consideration of the mutual promises as hereinafter contained, the parties hereto agree as follows:
1. Contractor shall perform those services outlined, during the time specified, in Exhibit "A" attached hereto and by
this reference incorporated herein.
2. Contractor shall perform the services as aforesaid,- in a manner compatible with the standards of Contractor's
profession.
3. The parties hereto agree that Contractor (including Contractor's agent,, servants and employees) is not an agent or
employee of the County of Marin, but an independent contractor solely responsible for Contractor's acts, and this Agreement shall
not be construed as an agreement for employment.
4. County agrees to pay Contractor the sum of Two Thousand Dollars and no cents ($2.000) for the rendering of the
aforesaid services, said sum to be paid as follows:
Within 10 days of annroval of this agreement.
5. If litigation or administrative hearings ensue which pertain to the subject matter of Contractor's services
hereunder, Contractor, upon request, agrees to testify therein at a reasonable and customary fee.
6. It is specifically understood and agreed that Contractor is an independent contractor and is not subject to the
direction and control of County except as to final result. Contractor shall be solely liable and responsible to pay all required taxes
and other obligations, including, but not limited to, withholding and Social Security. Contractor agrees to indemnify and hold the
county harmless from any liability which it may incur to the Federal or State governments as consequence of this contract.
7. Contractor and sub -contractor shall not discriminate against any individual based on race, color, religion,
nationality, sex, age, or handicapped condition.
8. Either party hereto shall have the right to terminate this agreement at any time upon giving the other party hereto
thirty (30) days' written notice prior to the effective date of such termination.
IN WITNESS WHEREOF, the parties hereto have entered into this agreement the day and year first above written.
