BLACKSETH, INTERESTS AS CONSULTANT TO THE CITY ON DISABLED ACCESS REGULATIONS FROM 11/1/93 TO'10/31/94 THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows: The MAYOR and CITY CLERK are authorized to execute, on behalf of the City of San Rafael, an agreernert with Kim R. Blackseth dba Kim R. Blackseth, Interests as Consultant to the City on Disabled Access regulations from November 1, 1993 to October 31, 1994. I, JEANNE M. LEON INI, City Clerk ORIGINAL ��4-53 AGREEMENT This agreement is made and entered into this 1st day of November, 1993, by and between Kim R. Blackseth dba Kim R. Blacicseth, Interests'. hereinafter referred to as "Consultant" and the City of San Rafael, hereinafter referred to as "City". I. Basic Services Consultant shall provide technical direction to City staff on requirements, interpretation and implementation of current Disabled Access regulations. These services include, but are not limited to: • Researching Staff's technical questions and providing solutions • Conducting specific Plan Checks • Site Visits and On-site Consultation • Identifying alternate means of delivery of services or implementation of access solutions • Reviewing required submittals Consultant shall perform the services as aforesaid in a manner compatible with the standard of his profession. 11. Fees Fees for the services described in this Agreement are to be compensated for on a Not To Exceed fee basis of one hour per month retainer, at the rate of $100 per hour ($1200 Total Contract Value per year). If services required exceed the hour per month authorized, Consultant shall notify the City and authorization shall be received before performing services which exceed the monthly retainer. Fees for services which exceed the one hour/month retainer shall be paid at a rate of $100 per hour. Payments for services shall be made by the City as billed, on a monthly basis. III. Term of Agreement This agreement is for a period of one (1) year, cornmencing on November 1, 1993 and ending on October 31, 1994. IV. Additional Conditions A. The parties hereto agree that Consultant (including his agent, servants, and employees) is not an agent or employee of the City, but an Independent Consultant solely responsible for his acts and not subject to the direction and control of the City except as to final results. This agreement shall not be construed as an agreement for employment. B. ' If litigation or administrative hearings ensue which pertain to the subject matter of Consultant's services hereunder, Consultant upon request agrees to testify therein at a reasonable and customary fee. C. Consultant shall be solely liable and responsible to pay all taxes and other obligations required by any Federal, State or other government agency, including, but not limited to, withholding, social security, and unemployment taxes. Consultant agrees to indemnify and hold the City harmless from any liability incurred as a result of any government agency determining that Consultant is a City employee. D. Consultant shall maintain books, records, documents and other evidence directly pertinent to all work under this agreement in accordance with accepted professional practice and accounting procedures. The City, or any of their duly authorized representatives, shall have access to such books, records, documents and other evidence for purposes of inspection, audit and copying. E. Consultant and Subconsultant shall not discriminate against any individual based on race, color, religion, nationality, sex, age or handicapped condition. V. Termination of Agreement Either party shall have the right to terminate this Agreement by notifying the other party of the intent to cancel, in writing and delivered via registered mail, 60 days prior to effective date of requested cancellation, without penalty.
