A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN
RAFAEL APPROVING ASSIGNMENT OF PARTNERSHIP INTEREST BY
MARIN HOUSING DEVELOPMENT CORPORATION, A CALIFORNIA
NONPROFIT PUBLIC BENEFIT CORPORATION, RE: MCINNIS PARK
VENTURE
The CITY COUNCIL of the City of San Rafael hereby approves
Assignment of Partnership Interest by MARIN HOUSING DEVELOPMENT
CORPORATION, a California nonprofit public benefit corporation Re:
McInnis Park Venture, as follows:
1. 79.53260 of the Partnership Interest to John Shalavi.
2. 17.5434% of the Partnership Interest to Saeed Abtahi.
3. 2.9240% of the Partnership Interest to Cyrus Karimi
Shirazia.
a copy of which is hereby attached and by this reference made a
part hereof.
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael, hereby
certify that the foregoing resolution was duly and regularly
introduced and adopted at a Regular meeting of the City Council of
said City held on the 6th day of December, 1993, by the following
vote, to wit:

Corporation, a California _nonprofit public benefit corporation
("w=") . In consideration of the agjwwwmm nt of Rasnnis Housing
Partners (a California Limited Partnership) (the "Partnership") to
agree to extend the Project Period through and including NarCh 22,
2009, pursuant to the terms and provisions of that certain first
Amendment to Below Market Rate Rental Unit Agreement of even date
herewith the undersigned MHDC hereby assigns, transfers and
conveys Its entire limited partnership interest in the partnership
