A RESOLUTION OF
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL
ACCEPTING A PROPOSAL FROM TJKM CONSULTANTS
TO PERFORM TRAFFIC SIGNAL OPTEM17ATION
NOT TO EXCEED $50,000
WHEREAS, "Fuel Efficient Traffic Signal Management" by the City of
San Rafael will provide benefits to the local community in the form of improved
traffic flow, reduced fuel consumption, reduced vehicle operating costs, reduced
air pollutant emissions, and improved safety due to smoother flow; and
WHEREAS, funds have been granted to the City of San Rafael to
implement a "Fuel Efficient Traffic Signal Management Program;" and
WHEREAS, The firm of TJKM Consultants is experienced and
qualified to develop a "FETSIM" program; and
WHEREAS, The firm of TJKM Consultants has submitted a proposal to
the City of San Rafael to develop and implement a "Fuel Efficient Traffic Signal
Management Program" for an amount not to exceed the amount of the State Grant.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the
City of San Rafael does hereby accept the Proposal from the firm of TJKM
Consultants, and authorizes the Director of Public Works to execute an agreement
with the firm of TJKM Consultants to develop and implement a "Fuel Efficient
Traffic Signal Management Program" for an amount not to exceed the amount of
the State Grant: said agreement shall be in a form acceptable to the City Attorney
of the City of San Rafael.

PROPOSAL TO PROVIDE TRAFFIC COUNTS AND SIGNAL COORDINATION
Dear Nader:
TJKM Transportation Consultants is pleased to present this proposal to conduct traffic
counts and provide signal coordination plans for numerous streets in San Rafael's
downtown and Terra Linda areas. This proposal is based on discussions you have had
with Dalene Whitlock and a copy of the FETSIM grant application which was submitted
by the City of San Rafael.
Dalene Whitlock will be the project manager/engineer for this job. She has significant
experience in both the design and operation of traffic signals. During her tenure with the
City of Santa Rosa, she developed traffic signal timing for over 150 intersections,
including preparing coordinated timing for 60 intersections in either the Central Business
District or along one of several highly congested arterials. Dalene has an extremely good
working knowledge of the City of San Rafael's street system as a twelve year resident.
She is registered in both traffic and civil engineering. A copy of her resume is enclosed.
Traffic Counts
Intersection turning movement counts would be conducted from 7:00 to 9:00 a.m., 11:30
a.m. to 1:30 p.m., and from 4:00 to 6:00 p.m. on a week day. Additionally, 24-hour
machine counts would be obtained on up to 20 road segments. The fee for these counts
would be a total of $22,100.
Signal Coordination
The City of San Rafael has indicated that there are plans to upgrade 13 traffic signal
controllers on Fourth and Fifth Streets to solid state controllers, and install interconnect
to those signals on Fourth and Fifth Streets which are not already interconnected.
The following scope of services is suggested to attain coordinated operation of the 50
traffic signals in the downtown and Terra Linda areas.
1. The project engineer will attend a day -long FETSIM orientation meeting and
training session with City staff on March 24, 1993, to obtain information regarding
the State's criteria and expectations.
2. The project engineer will drive through the intersections to be coordinated during

one of the peak periods to observe existing conditions and operation. The project
engineer would also attend a meeting with City staff at this time to discuss the
project and obtain any information which the City may have available, such as
existing timing sheets, lane configurations and widths, distances between
intersections, and volumes. The project engineer will also discuss any problems
which City staff may anticipate and known circulation patterns which most need
to be accommodated.
3. A base network depicting the existing street system and intersection
configurations will be developed using the TRANSYT-7F program. This network
will provide the basis for evaluating different volume inputs and developing timing
schemes for the a.m. peak, noon peak, and p.m. weekday peaks. The project
engineer will work with City of San Rafael staff in their offices during this task,
if desired.
4. The turning movement volumes obtained by TJKM will be input to the TR.ANSYT-
7F program to develop coordinated timing plans for the a.m., noon and p.m. peak
periods. This task can be completed at the City of San Rafaers offices, if desired.
5. The project engineer will provide assistance to City staff in preparing timing
sheets for each intersection reflecting all of the timing plans as well as existing
base timing information.
6. It is understood that City staff will input the timing information into the
controllers. The project engineer will be available when the timing is input to the
controllers to assist with troubleshooting and fine-tuning the new timing.
7. A final report will be prepared which documents all assumptions, base data, and
final computer outputs. Turning movement count information will be provided as
part of this report.
Our services will be conducted on an hourly basis in accordance with our standard fee
schedule, a copy of which is enclosed. The estimated maximum fee for providing the
counts and three coordination plans for the 50 intersections is $50,000. This will remain
a firm offer for 90 days from the date of this letter.

AGREEMENT FOR PROFESSIONAL SERVICES
WITH TJKM CONSULTANTS
FOR A "FUEL EFFICIENT TRAFFIC SIGNAL MANAGEMENT PROGRAM"
This Agreement is made and entered into this 5th day of April 1993 by and between the City of
San Rafael (hereinafter called City) and TJHM Consultants (hereinafter called Consultant).
A. SCOPE OF WORK
In accordance with this Agreement, the Consultant agrees to provide professional services
as an Engineering Consultant to develop and implement a "Fuel Efficient Traffic Signal
Managaement Program". as outlined in the Proposal from Consultant entitled "Proposal to
Provide Traffic Counts and Signal Coordination", dated March 10, 1993. marked Exhibit
"A", attached hereto, and incorporated herein by this reference. The Consultant agrees to be
available and perform the work specified in this agreement in the time frame as specified
and as shown in Exhibit "A".
B. INDEPENDENT CONTRACTOR
It is understood and agreed that the Consultant is, and at all times shall be, an independent
contractor and nothing contained herein shall be construed as making the Consultant. or
any individual whose compensation for services is paid by the Consultant, an agent or em-
ployee of the City, or authorizing the Consultant to create or assume an obligation for or on
behalf of the City.
C. PAYMENT
For the payments specified herein, which the City agrees to make, the Consultant will
undertake the above noted work. Payment for Professional Engineering services will be
made as follows:
L The Consultant shall receive payment on a time and material basis for services rendered in
accordance with the rates shown on his current fee schedule. set out in Exhibit W.
2 The total payment made for any individual work task will not exceed the amounts shown on the
Proposal Budget, set out in Exhibit W, without prior authorization by the City.
a Consultant's professional service fees shall be invoiced on a monthly basis.
4 Payments made by the City shall be made within 15 days of receipt of invoice.
D. TERMS
The terms of this Agreement shall be from the date of execution to until December 1. 1993.
Either party may terminate this Agreement by giving other party thirty (30) days written
notice. In the event of termination, City shall pay Consultant all sums then due and unpaid
as of the date of receipt of notice. Payment by City of such compensation shall be
considered full and final settlement for all work performed by the Consultant under this
Agreement. All completed reports and other documents and materials described in Exhibit
"A" shall become the property of the City.
E. ARBITRATION
All claims or disputes between the City and the Consultant relating to this Agreement shall
be decided by arbitration pursuant to the current provisions of the California Code of Civil
Procedure and any successor statutes. The decision of the arbitrator shall be final and
binding on the parties. In interpreting the provisions of this Agreement, the arbitrator may
make an award of costs and fees, including attorney's fees necessitated by arbitration.
F. ALTERATIONS
This Agreement may be modified, as necessary, for the successful and timely completion of
the services to be provided. Any alteration shall be expressed in writing, as an amendment
to this Agreement, and shall be executed by both parties. Amendments to Exhibit "A", may
be made by mutual agreement. in writing, signed by Consultant and the Director of Public
Works, or the Director's appointed representative.
G. ASSIGNMENT
No assignment of this Agreement, either in whole or in part, shall be made by Consultant
without the prior written consent of City.

H. NOTICES
Any notice required to be given by the terms of this Agreement shall be deemed to have been
given when the same is sent by certified mail, postage prepaid, addressed to the respective
parties as follows:

1. INSURANCE
During the term of this Agreement, Consultant shall maintain: comprehensive general
liability insurance with a combined single limit of not less than $1,000,000 for bodily or
personal injury or property damage as the result of any single occurrence; Consultant shall
also maintain professional liability insurance with a limit of liability of not less than
$500,000 per claim, and in the aggregate. City shall be added as a named insured on the
general and comprehensive general liability insurance. Prior to beginning work under this
Agreement. Consultant shall provide the City with evidence that the insurance described
above is in place.
J. INDEMNITY
Consultant shall indemnify. defend and hold the City harmless from and against liability
arising from Consultant's negligent acts. errors, or omissions in performance of the work,
or for willful or intentional misconduct relating to activities carried out pursuant to or in
connection with this Agreement.
