Exhibit A November 6, 1991 Mr. Brian Gannon Construction Manager Muir Valley Land Company 2228 Union Street - Penthouse San Francisco, CA 94123 Dear Mr. Gannon: Re: Riaht-of-Entry Permit for Muir Vallev Land Combanv Golden Gate Bridge, Highway & Transportation District ("District" or "Permittor") hereby permit Muir Valley Land Company, ("Permittee") to enter upon Permittor.'s property located at or near mile posts 19.77 and 19.96 via San Rafael, County of Marin, State of California in the location described in the attached print of Drawings 5-19.77 and 5-19.96, attached as Exhibit A ("Premises"), which is incorporated by this reference, subject to all licenses, easements, encumbrances and claims of title affecting the Premises and upon the following terms and conditions: 1. No work shall commence on the Premises until Permittee accepts this right of entry permit ("Permit"). The doing of any work•under this Permit shall constitute acceptance of these Permit provisions. 2. This Permit is for Permittee's exclusive use and is not assignable. It is given to Permittee solely for the purposes of constructing 8" reclaimed water and 8" domestic water pipeline crossings ("Structure"). This Permit shall be for the construction of the Structure, storage purposes and all work incidental thereto. 3. This Permit shall be effective for a period of one year from the above date and then shall automatically terminate unless extended by mutual agreement. Permittor reserves the right to revoke or modify this permit at any time prior to the termination date upon forty-eight (48) hours advance notice 29101.1 from Permittor to Permittee. This Permit shall also lapse and become void if the Structure is not commenced within one year of the date of this letter. 4. A copy of this Permit must be kept on the site of the work and shown to any representative of the District upon demand. Work may be suspended if this Permit is not at job site. 5. The work on and adjacent to Permittor's property is to be performed in accordance with plans and specifications submitted subject to Permittor's reasonable approval, and shall conform to applicable Public Utilities Commission requirements. Said Structure shall be installed in accordance with Drawings 5-19.77 and 5-19.96, as shown in Exhibit A and SP Form CS 1741, attached and incorporated as Exhibit B. Approval by Permittor shall not constitute a warranty that such plans conform with applicable federal, state and/or local codes and regulations. 6. All costs related to Permittee's operations upon the Premises shall be at Permittee's expense and all work by Permittee upon the Premises shall be performed in a good and workerlike manner satisfactory to Permittor. Since there is the possibility of the existence of pipelines or other structures beneath the Premises, if Permittee should excavate or drill, then Permittee's forces shall explore such structures with hand tools to a depth of at least eight feet (81) below the surface of the ground or, at Permittee's option, use suitable detection equipment prior to drilling or excavating with mechanized equipment. Absence of markers does not constitute a warranty by Permittor of no subsurface installations. Prior to Permittee's commencement of work on the Structure, Permittor shall notify Permittee of any underground structures located on the Premises provided, Permittor has actual, not constructive, knowledge of the same, without independent investigation. Notwithstanding the foregoing, it shall be Permittee's responsibility to determine the existence of any underground facilities and Permittee shall call Underground Service Alert at 1-800-642- 2444 prior to beginning any work on the Premises. 7. All work upon or in connection with the Structure shall be done to Permittor's reasonable satisfaction at such times and in such manner as not to interfere with Permittor's operations. Permittee shall keep Permittor's Premises in a neat and safe condition failing which Permittor, after 24 hours prior notice to Permittee, may do so at Permittee's expense. 29101.1 8. Any.open holes shall be satisfactorily covered at all times when Permittee's forces are not physically working in the actual vicinity. Upon completion of work, all holes will be filled in to surrounding ground level with clean, compacted, earthen material -and the Premises left in a neat and safe condition reasonably satisfactory to Permittor. 9. Permittee shall not be permitted to cross Permittor's tracks located actDacent to the Premises to gain access to and from the Premises. Access shall be by use only of designated public streets or crossings. 10. No hazardous materials shall be handled at any time upon the Premises. 11. Under no condition shall Permittee be permitted to place or store any mechanized equipment, tools or other materials within twenty-five feet (251) of the center line of Permittor's nearest railroad tracks. 12. The presence of an inspector from Permittor shall be required on the Premises at all times when Permittee or any of Permittee's forces or contractors are working. The reasonable cost to Permittee of such inspector shall be payable to Permittor within thirty (30) days after presentation of a bill. 13. Upon request of Permittor, Permittee shall furnish Permittor, without cost or charge, a copy of finalized data obtained by Permittee from such studies or survey work conducted upon the Premises. 14. With respect to the Structure Permittee shall fully pay for all materials joined or affixed to the Premises, and shall pay in full all persons who perform labor on the Premises. Permittee shall not suffer any mechanics' or materialmen's liens of any kind to be enforced against the Premises for any work done or materials furnished at Permittee's request. If any such liens are filed, Permittee shall immediately remove them at Permittee's own expense, and shall pay any judgment which may be entered. Should Permittee fail, neglect or refuse so to do, Permittor, after 48 hours prior notice to Permittee, shall have the right to pay any amount required to release any such liens, or to defend any action brought, and to pay any judgment entered. Permittee shall be liable to Permittor for all costs, damages, reasonable attorneys' fees, and any amounts expended in defending any proceedings or in the payment of any of said liens or any 29101.1 -3- judgment. Permittor may post and maintain upon the Premises notices of nonresponsibility as provided by law. 15. Permittee shall release, defend (with counsel satisfactory to Permittor) and indemnify Permittor from and against all liability, cost and expense for loss of or damage to property and for injuries to or death of any person (including, but not limited to, the property and employees of each party) when arising or resulting from the use of the Premises by Permittee, its agents, employees, contractors, subcontractors or invitees; or Permittee's breach of these provisions. The duty of Permittee to indemnify and save harmless includes the duties to defend as set forth in Section 2778 of the Civil Code. It is the express intent of the parties under this Section 15, that Permittee will indemnify and hold harmless Permittor, its directors, officers, employees and agents from any and all claims, suits or actions arising from any cause whatsoever as set forth above regardless of the existence or degree of fault or negligence on the part of Permittor, Permittee, or any subcontractor or employee of any of these,, other than the active negligence, wilful misconduct or criminal acts of the Permittor, their respective directors, officers, employees and agents. Permittee waives any and all rights to any type of express or implied indemnity against Permittor, its directors, officers, employees or agents. The term "Permittor" as used here and in Section 16 below includes, in addition to Permittor, the County of Marin, Marin County Transit District, the successors and assigns of any of them, and any railroad company operating upon Permittor's tracks. This indemnity shall survive termination of this Permit. 29101.1 To insure Permittee's contractual liability, Permittee shall provide Permittor satisfactory evidence of Personal Injury and Property Damage Liability Insurance in an amount of not less than FIVE MILLION DOLLARS ($5,000,000.00) combined single limit per occurrence. The insurance policies shall name Permittor, their respective directors, officers, employees and agents as additional insureds and shall include the endorsements described in subparagraphs b(1), (2), and (3) below. Any person, firm or corporation Permittee authorizes to work upon the Premises shall be deemed to be Permittee's agent and shall be subject to all the applicable terms of this Permit. Prior to entry upon the Premises, Permittee shall provide Permittor with satisfactory evidence, in the form of a Certificate of Insurance, that all contractors who obtain access to the Premises pursuant to this Permit are insured -4- 29101.1 in accordance with the following, which insurance shall remain in effect throughout the term of this Permit: a. Workers' Compensation and Emplovers' Liabilitv Insurance. Permittee's Contractor shall procure and maintain Workers' Compensation Insurance and Employers' Liability Insurance in accordance with the laws of the State of California. Employers' Liability Insurance shall have coverage for a minimum liability of Two Million Dollars ($2,000,000.00) covering Contractor's employees engaged in the work. Permittee shall insure the procurement and maintenance of such insurance by all contractors or subcontractors engaged on the work. Prior to commencement of any work hereunder, Permittee shall deliver to Permittor a Certificate of Insurance which shall stipulate that 30 days advance written notice of cancellation, non -renewal or reduction in limits shall be given to Permittor. b. Personal Iniury and Property Damage Liabilitv Insurance. Permittee's Contractor shall also procure and maintain Personal Injury and Property Damage Liability Insurance which shall include as additional insureds the "Golden Gate Bridge, Highway and Transportation District, County of Marin, and Marin County Transit District, and their respective directors, officers, employees and agents" while acting in such capacity, and their successors or assignees, as they now or as they may hereafter be constituted, singly, jointly o'r severally. Said insurance shall include Automobile Bodily Injury and Property Damages coverage, including owned, hired and non -owned vehicles. Said insurance shall be subject to a combined single limit of liability of not less than $5,000,000. A Certificate of Insurance shall be filed with the Secretary of the District prior to the start of any work under this Permit which shall inter alia stipulate: (1) Thirty days advance written notice shall be given the General Manager of the District prior to cancellation, non -renewal or reduction in limits. (2) That the policy is Primary Insurance and the insurance company providing such policy shall be liable thereunder for the full amount of any loss or claim which Permittee is liable for under Sections 15 and 16, up to and including the total limit of liability, without right of -5- contribution from any other insurance effected or which may be effected by the Golden Gate Bridge, Highway and Transportation District, County of Marin, and Marin County Transit District. (3) The policy shall also stipulate: Inclusion of Golden Gate Bridge, Highway and Transportation District, County of Marin, and Marin County Transit District as additional insureds shall not in any way affect its rights either as respects any claim, demand, suit or judgment made, brought or recovered against the Contractor. Said policy shall protect Contractor and Golden Gate Bridge, Highway and Transportation District, County of Marin, and Marin County Transit District in the same manner as though a separate policy had been issued to each, but nothing in said policy shall operate to increase the insurance company's liability as set forth in its policy beyond the amount or amounts shown or to which the insurance company would have been liable if only one interest had been named as an insured. Contractor shall also furnish to Permittor without expense to Permittor, a reliable surety bond in an amount and form reasonably satisfactory to Permittor guaranteeing the faithful performance of all terms, covenants and conditions in this Permit. 16. Permittee shall comply, at Permittee's expense, with all applicable laws, regulations, rules and orders with respect to the use of the Premises, regardless of when they become or became effective, including., without limitation, those relating to construction, grading, signage, health, safety, noise, environmental protection, hazardous materials, waste disposal and water and air quality, and furnish satisfactory evidence of such compliance upon request of Permittor. 29101.1 Should any discharge, leakage, spillage, emission or pollution of any type occur upon or from the Premises due to Permittee's use and occupancy thereof, Permittee, at Permittee's expense, shall clean all affected property to the satisfaction of Permittor and any governmental body having jurisdiction. Permittee shall indemnify, hold harmless and defend Permittor against all liability, cost and expense (including, without limitation, any fines, penalties, judgments, litigation costs, reasonable attorneys fees and consulting, engineering and construction costs) incurred by Permittor as a result of Permittee's breach of this section or as a result of any such discharge, leakage, spillage, CM. emission or pollution by Permittee, regardless of whether such liability, cost or expense arises during or after the term of this Permit. Permittee shall pay all amounts due Permittor under this section within ten (10) business days after Permittor has submitted the same to Permittee for payment. 17. Any person, firm or corporation Permittee authorizes to work upon the Premises shall be deemed to be Permittee's agent and shall be subject to all the applicable terms hereof. 18. In addition to notices required by all other agencies, Permittee is hereby required to give ten (10) days' advance notice of the date Permittee elects to enter upon the Premises. Said notice shall be by telephone to Dan Mohn, District Engineer, at 415-923-2250 and then confirmed by letter to the undersigned at the above address. 19. Upon termination of this Permit, Permittee, at its own expense, shall remove from the Premises all property it owns or controls and restore the ground terrain to a condition reasonably satisfactory to Permittor. Upon Permittee's failure to do this, Permittor, upon 48 hours prior notice to Permittee, may perform such work at Permittee's expense. 20. If any provision of this Permit shall be for any reason unenforceable, in any respect, such unenforceability shall not affect the other provisions of this Permit. 21. If any legal proceeding should be instituted by either of the parties to enforce the terms of this Permit or to determine the rights of the parties under this Permit, the prevailing party in the proceeding shall receive, in addition.to all court costs, reasonable attorneys' fees. 22. Permittee shall pay the costs for review of the permit application, design and construction plans, preparation of the permit and any inspection of construction, including but not limited to, expenses incurred by Permittor or NWP Task Force, which costs Permittee agrees to pay upon demand. 23. Upon completion of the Structure to the reasonable satisfaction of Permittor, Permittee shall dedicate the Structure to the Marin Municipal Water District. 24. The issuance and effectiveness of this Permit is conditioned upon the execution of license agreements by and between the Golden Gate Bridge, Highway and Transportation District as 29101.1 -7- Licensor and the Marin Municipal Water District as Licensee in substantially the form of the License Agreements attached hereto as Exhibit C. If Permittee agrees to the foregoing terms, please have Permittee's authorized officers endorse Permittee's acceptance on the attached copy of this letter and return to the undersignbd. If the endorsed copy is not received within ten (10) days from the date of this letter, this permit shall automatically terminate.
