RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN
RAFAEL APPROVING THE ISSUANCE AND SALE OF NOT TO EXCEED
$19,500,000 AGGREGATE PRINCIPAL AMOUNT OF SAN RAFAEL
REDEVELOPMENT AGENCY, CENTRAL SAN RAFAEL REDEVELOPMENT
PROEJCT TAX ALLOCATION REFUNDING BONDS, SERIES 1992
WHEREAS, the San Rafael Redevelopment Agency, by its
First Supplemental Resolution No. 92-6, adopted on April 20, 1992
(the "Resolution") has authorized the issuance and sale of not to
exceed $19,500,000 aggregate principal amount of its San Rafael
Redevelopment Agency, Central San Rafael Redevelopment Project
Tax Allocation Refunding Bonds, Series 1992 (the "Bonds"), for
the purpose of providing funds to aid in financing and
refinancing the Central San Rafael Redevelopment Project;
NOW THEREFORE, BE IT RESOLVED by the City Council of
the City of San Rafael, as follows:
1. The issuance and sale of not to exceed $19,500,000
aggregate principal amount of the Bonds by the San Rafael
Redevelopment Agency, in accordance with the terms and conditions
set forth in the Resolution, is hereby approved.

2. This Resolution shall take effect from and after
its adoption and approval.
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael,
hereby certify that the foregoing resolution was duly and
regularly introduced and adopted at a special joint meeting of
the Council of the City of San Rafael held on the 20th day of
April, 1992, by the following vote, to wit:
AYES: COUNCILMEMBERS: Breiner, Cohen, Shippey, Thayer & Mayor Boro
NOES: COUNCILMEMBERS: None

CITY CLERK'S CERTIFICATE
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael,
California hereby certify as follows:
The foregoing is a full, true and correct copy of a
resolution duly adopted at a special joint meeting of the City
Council of the City of San Rafael duly and legally held at the
regular meeting place thereof on April 20, 1992, of which meeting
all of the members of said City Council had due notice and at
which a majority thereof were present.
At said meeting said resolution was adopted by the
following vote:
Ayes: Breiner, Cohen, Shippey, Thayer & Mayor Boro
Noes: None
Absent: None
An agenda of said meeting was posted at least 72 hours
before said meeting at 1400 - 5th Avenue, San Rafael, California,
a location freely accessible to members of the public, and a
brief description of said resolution appeared on said agenda.
I have carefully compared the same with the original
minutes of said meeting on file and of record in my office and
the foregoing is a full, true and correct copy of the original
resolution adopted at said meeting and entered in said minutes.

Said resolution has not been amended, modified or
rescinded since the date of its adoption, and the same is now in
full force and effect.
