VINCENTS/SILVEIRA PROPERTY WHEREAS, the City Council approved a work program and funding for the St. Vincent's/Silveira Study on April 20, 1992; and WHEREAS, the work program included funding for a traffic analysis; and WHEREAS, Wilbur Smith Associates is a well established and qualified firm to conduct the analysis; and has performed directly related work on the Northgate Traffic Model update for the City of San Rafael; and WHEREAS, Wilbur Smith Associates can provide the requested traffic analysis in timely fashion within the proposed budget. NOW THEREFORE BE IT RESOLVED, the City Council hereby approves an agreement with Wilbur Smith Associates, copy of which is attached hereto and made a part hereof by reference. BE IT FURTHER RESOLVED that the City Council authorizes the Mayor and City Clerk to execute said agreement on behalf of the City of San Rafael. I, JEA.NNE M. A. RECITALS: City Council has approved $69,500 for completion of the St. Vincents /Silveira Opportunities and Constraints Analysis, of which up to $17,440 has been set aside for needed traffic analyses. These analyses require updated City traffic model information; new, discrete analysis of alternate circulation networks; an order of magnitude cost estimate for a grade - separated railroad crossing north of Smith Ranch Road; and traffic impact analyses of certain land use alternatives. Consultant prepared the original Northgate analysis, the subsequent Northgate traffic analysis for the 1988 General Plan; and has prepared an updated 1991 Northgate traffic model update. City desires to retain Consultant conduct traffic analyses for the St. Vincents/Silveira Study. Consultant represents that it is qualified to perform such services and is willing to perform such professional services as hereinafter defined. NOW, THEREFORE, it is agreed by and between City and Consultant as follows: B. AGREEMENT 1. DEFINITIONS: The following definitions shall apply to the following terms, except where the context of this agreement otherwise requires: (a) Commencement of Services: Consultant agrees to commence work immediately after the date of the signing of this contract. (b) Completion of Services: The St. Vincents/Silveira Study work, will be conducted in two parts. Initial analysis of traffic capacities of alternate road networks is to be prepared for Committee review in early July, 1992. Other analysis of land use alternatives would be prepared in early 1993, when Committee land use recommendations are provided. 2. CONSULTANT AGREES AS FOLLOWS: (a) Consultant shall undertake and perform services as identified in Exhibit A. (b) Consultant shall supply copies of draft documents identified in Exhibit A to Planning staff within the following time frames: Administrative draft, St. Vincent's/Silveira interim constraints report: June 24, 1992 with staff review to occur by June 26. Final interim constraints report due by July 3, 1992 for July 9, 1992 presentation. St. Vincent's land use alternatives report: within 4-6 weeks of being provided land use alternatives by City staff in early 1993. (c) Consultant is expected to attend two St. Vincents/Silveira meetings to present findings. 3. CITY AGREES AS FOLLOWS: (a) In consideration of Consultant's Agreement to perform well and sufficiently and in a skillful and professional manner the services contemplated herein, City agrees to pay Consultant an amount not to exceed $17,440. Of this total, $6,920 shall be due and payable upon completion of the interim constraints report. The remaining $10,520 shall be due upon completion of the final traffic report in early 1993. (b) Invoices: City agrees to pay such bills within a 15 days of receipt of said invoices. 4. CITY AGREES TO PROVIDE TO CONSULTANT Such information as is generally available from City files applicable to the project. 5. OWNERSHIP OF DOCUMENTS: All documents, originals, graphic exhibits, correspondence and other information developed or received during the course of the traffic analysis shall become the property of the City. 6. STATUS: Consultant is an independent contractor and shall not be deemed, directly or indirectly, to be an officer or employee of the City. 7. TERMINATION: (a) The City reserves the right to terminate this Agreement at any time by providing 10 days written notice to the Consultant. Upon receipt of said notice by the Consultant, all work under this Agreement shall terminate, 2 except for what minor work is required to provide the City with a clear understanding of work completed and work remaining. (b) City shall pay Consultant all sums then due and unpaid under this Agreement, including sums for work not completed, but in preparation. Payment by City of such compensation shall be considered full and final settlement for all work performed by the Consultant under this Agreement. (c) Upon receipt of final payment, all materials and documents, whether finished or not, shall become the property of and shall be delivered to the City. (d) It is mutually understood and agreed that this Agreement shall be binding upon the City and upon the Consultant, their successors, executors, or administrators. Neither this Agreement nor any part thereof, nor any monies due or to become due under this Agreement may be assigned by the Consultant without the written consent of the City. 8. NOTICES OF DESIGNATED REPRESENTATIVES: Any and all notices, demands, invoices and written communications between the parties hereto shall be addressed as set forth in this paragraph 8. The below named individuals, furthermore, shall be those persons primarily responsible for the performance by the parties under this Agreement: City: Jean Hasser, City of San Rafael Planning Department, PO Box 151560, San Rafael, CA 94915-1560 Consultant: Mark Wagner, Wilbur Smith Associates, 360 - 22nd Street, Suite 600, Oakland, CA 94612-3026 9. INSURANCE (a) General Liability Insurance: Commercial or Comprehensive General Liability insurance covering bodily injury and property damage utilizing an occurrence policy form, in an amount no less than $1,000,000 combined single limit for each occurrence. Said insurance shall include, but not be limited to: premises and operations liability, property damage liability, and personal injury liability. (b) Automobile Liability Insurance: Insurance covering bodily injury and property damage in an amount no less than $1,000,000 combined single limit for each occurrence. Said insurance shall include coverage for owned, hires and non -owned vehicles. 41 (c) Worker's Compensation Insurance: CONSULTANT and CONSULTANT'S Subcontractors shall be required to maintain full Workers' Compensation Insurance for all persons employed directly in carrying out the work specified herein, in accordance with provisions of the State of California Labor Code. (d) Errors and Omissions Liability Insurance: Errors and Omissions liability insurance appropriate to the consultant's profession in an amount no less than $1,000,000. (e) Endorsements: Each said comprehensive or commercial general liability and automobile liability insurance policy shall be endorsed with the following specific language: 1) The CITY, its officers and employees, is named as additional insured for all liability arising out of the operations by or on behalf of the named insured in the performance of this Agreement. 2) This policy shall not be cancelled without first giving thirty (30) days prior written notice to the CITY. 3) This policy shall not be cancelled or materially changed without first giving thirty (30) days prior written notice by the insurer to the CITY by certified mail. 4) The CITY, its elected officials, officers, employees, and agents are named as additional insureds for all liability arising out of the operations by or on behalf of the named insured in the performance of this Agreement. 5) The policy should be "primary" to any other insurance of CITY. 10. INDEMNIFICATION: CONSULTANT agrees to hold CITY harmless from and against liability arising out of CONSULTANT or CONSULTANT's subcontractor's negligence in connection with the performance of the work described in Exhibit "A" of the Agreement. 11. ASSIGNMENT: No Assignment of this Agreement or of any part or obligation of performance hereunder shall be made, either in whole or in part, by CONSULTANT without the prior written consent of CITY. 12. GOVERNING LAW: 4 This Agreement shall be governed by and construed in accordance with the laws of the State of California. 13. ARBITRATION: All claims or disputes between the CITY and the CONSULTANT relating to this Agreement shall be decided by arbitration in accordance with the rules of the American Arbitration Association, conducted in Marin County under the laws of the State of California. The decision of the arbitrator shall be final and binding on the parties. In interpreting the provisions of this Agreement, the arbitrator may make an award of costs and fees, including attorney's fees necessitated by the arbitration. 14. ALTERATIONS: This Agreement may be modified, as necessary for the successful and timely completion of the services to be provided. Any alteration or variation shall be expressed in writing, as an amendment to this Agreement, and shall be approved by both parties. 15. ENTIRE AGREEMENT: This Agreement supersedes any and all other agreements, either oral or in writing, between the parties with respect to the subject matter herein. Each party to this Agreement acknowledges that no representation by any party which is not embodied herein nor any other agreement, statement, or promise not contained in this Agreement shall be valid and binding. Any modification of this Agreement shall be effective only if it is in writing, and signed by all parties. VINCENT'S/SILVEIRA TRAFFIC ANALYSIS Scope of Work The work plan for this project has been divided into 6 tasks. The study area includes a subset of the Northgate study intersections. The following intersections at the following locations would be addressed (these are also shown on Map Exhibit 1) *Marinwood/101 interchange (two intersections) •Miller Creek/Las Gallinas *Lucas Valley Road/Las Gallinas -Smith Ranch Road/Lucas Valley Road/101 (two intersections) *Smith Ranch Road /N. Redwood •Smith Ranch Road/Silveira Road •Smith Ranch Road/McInnis Parkway *St. Vincent's Drive/N. Redwood extension •Freitas Parkway/Civic Center Drive/101 interchange (two intersections on east side of 101) *Civic Center Drive/McInnis Parkway *Civic Center Drive/Merrydale Overcrossing *Civic Center Drive/North San Pedro Task 1. Existine Conditions An assessment of existing traffic conditions would be included in the study report. This analysis would draw heavily from the Northgate Update and would involve only minor format and wording changes to fit the context of the St. Vincent's/Silveira Study. Products of this task would include: existing intersection levels of service, traffic flow diagrams and a discussion of existing operational deficiencies if any. Task 2. Traffic Forecasts of Alternative Road Networks. General Plan build -out traffic* would then be forecasted with three future road network scenarios (See Map Exhibit 2). *In this stage, traffic from the St. Vincent's/Silveira Study area would not be added to General Plan traffic. The forecasts would be based on *the same number of trips as in the General Plan buildout model as updated to include constructed projects and 1991 traffic volumes; *revised intersection geometry files *trip distributions to reflect the alternative road networks The three road network alternatives are as follows: 1) General Plan network including an improved Marinwood/101 interchange but with McInnis Parkway terminating at its current location just north of the Civic Center 2) General Plan network including an improved Marinwood / 101 interchange; and extensions of North Redwood Drive and Silveira Drive to St. Vincent's Drive with McInnis Parkway terminating at its current location just north of the Civic Center; 3) General Plan network including an improved Marinwood/101 Interchange and extensions of North Redwood Drive and Silveira Drive to St. Vincent's Drive with McInnis Parkway extending to Smith Ranch Road only. In determining how much additional traffic could be accommodated, WSA would identify critical interesections which would be affected by the development of the St. Vincent's/Silveira Study area, quantify the number of additional trips available at these intersections for development at St. Vincent's and Silveira, and estimate how those available trips would translate into potential development scenarios. It is possible that at least one of the future road network alternatives would not be able to accommodate any additional trips and would therefore not be a viable alternative if the St. Vincent's/ Silveira study area project is to be built. If so, this alternative would then be excluded from further analysis. Task 3. Cost estimates An order of magnitude cost estimate would be developed for a grade separated road crossing over the railroad avoiding wetlands (City will provide an alignment map) at approximately the Honor Farm site north of Smith Ranch Road. Consultant will also include a generalized cost per mile figure for a two lane roadway with turn lanes. At this stage, WSA would issue a brief interim report outlining findings for Tasks 1-3. Included in the report would be the results of the four road network alternatives (the General Plan buildout alternative and the three additional alternatives outlined above) with General Plan buildout traffic volumes minus any traffic from St. Vincent's/Silveira. For each of the road network alternatives, additional capacity (if any) would be identified. In order to aid the City's development of land use assumptions for the St. Vincent's/Silveira study, WSA would translate the remaining capacities for the road network alternatives into land use assumptions. For each road network alternative, two land use assumptions would be developed: 100% residential and 50% residential/50% office. This will allow the St. Vincent's/Silveira Committee to see the relationship between land use and trip generation. Cost estimates from Task 3 would be summarized. 2 Task 4. Assessment of Land Use Alternatives and Roadway Options., After the City has selected three land use alternatives, traffic forecasts would be prepared. The forecasts would be based on the standard 3 -step methodology: trip generation, trip distribution, and trip assignment. This task would involve assessing the impacts of a matrix consisting of the 3 land use alternatives and three circulation systems. Task 4.1. Analysis of Option A Roadway Concept: The roadway network of the traffic model would be modified to reflect conditions without a McInnis Parkway connection to Smith Ranch Road. The three land use alternatives would be tested with the modified network. As this scenario would focus traffic impacts of St. Vincent's/Silveira properties on the Marin wood interchange, appropriate improvement options at the interchange would be developed to accommodate projected traffic flows. Task 4.2. Analysis of Option B Roadway Concept. This analysis task would address intersection levels of service and traffic flow impacts of the three land use use alternatives for a second roadway circulation concept. This option would include an extension of Redwood Drive from Smith Ranch Road to the north where it would terminate at St. Vincent's Drive near the Marinwood interchange. It would also include a road connecting St. Vincent's Drive to Silveira Road, providing a second north -south connection between Smith Ranch Road and the Marinwood interchange on the east side of 101. The presentation of this analysis would be comparable in detail to the previous sub -task. Alternatively, if this roadway concept does not provide capacity for development, the consultant will analyze specific impacts of the land use alternatives using the General Plan network with McInnis Parkway to Novato. Task 4.3 Analysis of Option C Roadway Concept. A third option to the roadway network circulation system would also be modelled. In this sub -task, the roadway system of Option B would be modified to include a McInnis Aoad connection between Smith Ranch Road and Civic Center Drive on the southeast side of the NWPRR. Task 5 Analyze Alternative Development Scenarios In this task, WSA would summarize the results of Task 4. This summary would identify capacity constraints and levels of sery ice for each of the future development scenarios. WSA would also make recommendations which road network alternatives would best accommodate each of the three land use 3 alternatives and, where necessary, mitigate identified impacts for the recommended road network alternatives. Task 6. Prepare Draft Report The findings of the above tasks would be incorporated into a draft report that would be presented for review and comment. This report would summarize the findings of the study and would supply tables and graphics to help simplify discussions. This report would serve more as a decision making tool and would be easily adapted to EIR format once a preferred alternative is selected. Three copies of the initial administrative draft would be submitted to the City of San Rafael. After review and incorporation of comments from staff, the draft report would be finalized and submitted in 5 copies. Fee and Schedule. WSA estimates that it can complete the draft report, including staff comments, for a fee not -to -exceed $17,440 (See attached Detailed Cost Estimate). Sixteen professional hours have been allocated to respond to staff comments. The estimate includes one presentation to the Advisory Committee: at the end of task 3. WSA estimates it can present the preliminary report (to and including Task 3) at the July 9, 1992 Advisory Committee meeting, and can complete remaining tasks within 4 weeks of being notified of land use alternatives.
