A RESOLUTION AUTHORIZING THE SIGNING OF A
CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf of the City of
San Rafael a contract, lease or agreement with
Moore, Iacofano and Goltsman, Inc. (MIG) for design services
for Sun Valley Park Renovation
a copy of which is hereby attached and by this reference made a part hereof.
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael, hereby certify that the
foregoing resolution was duly and regularly introduced and adopted at a regular
meeting of the City Council of said City held on Mondav the 17th
day of August 1992 by the following vote, to wit:

DESIGN AND CONSULTING SERVICES AGREEMENT FOR RENOVATIONS TO
SUN VALLEY PARK BETWEEN MOORE IACOFANO GOLTSMAN, INC. AND THE
CITY OF SAN RAFAEL.
The authorized representatives of The City ,of San Rafael (herein referred to as CLI-
ENT) and Moore lacofano Goltsman, Inc. (herein referred to as CONSULTANT), sign
and execute this agreement on the 17th day of Auqus t 1992 for the provision of
professional consulting services rendered by CONSULTANT to the CLIENT according
to the Task Order which is attached to said agreement and thereby made a part thereof.
The CONSULTANT will provide professional design and consulting services to the CLI-
ENT for the following:
A. Task Order and Budget
Overview
MIG will provide design and consulting services for improvements to Sun Valley Park in
San Rafael, consistent with the schematic design developed by neighborhood volun-
teers. Improvements include: Resurfacing the paved sports courts, relocating the bas-
ketball and volleyball posts, drainage and water line improvements, and renovation of
the existing playground circles including fencing, play equipment, safety surfacing and
access improvements.
In addition to the professional time allocated in Tasks 1-4, a MIG staff landscape archi-
tect will donate a minimum of forty (40) hours to the project on a personal, pro bono ba-
sis.
Task 1: Field Verification and Schematic Design Review
MIG will visit the site to record and verify field conditions. MIG will review the
schematic site improvement plan completed by neighborhood volunteers with
City staff. Topographic and locational survey information, utility plans, and
other existing drawings or information will be provided by the City.
MIG will meet with the Client in San Rafael to review the schematic design
plan prior to starting Design Development.

MIG will prepare Design Development documents based on the approved
Schematic Design Plans. Design development will illustrate the design direc-
tion and overall design theme of the site improvements, and will include spe-
cific materials and finishes, site furniture and construction documents at a
point of 35% completion. `
MIG will meet with the City in San Rafael to present the Design Development
plans prior to starting Construction Documents.

Task 3: Construction Documents
MIG will prepare final Construction Documents based on approved Design De-
velopment Documents Construction Documents will consist of the following:
• Overall site plan including:planting, grading, and layout plan, play equip-
ment and site furniture installation details and specifications, irrigation
changes required by new planting, paving details and specs, relocation de-
tails for basketball and volleyball posts
• Detail Sheets

MIG will assist the City in field inspections and the development of a contrac-
tors punchlist.

B. COMPENSATION

For and in consideration of the services provided by the CONSULTANT as described in
Article A of this agreement, the CONSULTANT shall be compensated upon completion
of each task. The CONSULTANT will invoice the CLIENT directly.
CONSULTANT will bill against the Task Order. Total professional time costs shall not
exceed the budget without written agreement by the CLIENT. Payment terms are net
30 days, a finance charge of 1.5% per month will be added to all past due invoices.
10% of the contract will be billed upon execution of the contract. Direct costs such as
reproduction, mailing, fax, etc. will be based on actual costs.
C. TERMINATION
The agreement may be terminated by either party upon the expiration of thirty (30) days
written notice to the other party. If the agreement is terminated by the CLIENT, CLIENT
shall pay for services performed to date of termination according to the rates in this
Task Order.
D. SCHEDULE
All tasks described in the Task Order will be completed within four (4) months after exe-
cution of this agreement.
E. OWNERSHIP OF DRAWINGS
All original drawings and documents prepared by the consultant are the property of the
client and will be delivered to the client on completion of task 3.

Now, therefore, it is expressly agreed by and between the parties hereto that for and
in consideration of the Consulting Services to be furnished by CONSULTANT, the
CLIENT will make payment for the same in accordance with the terms and condi-
tions set forth in this Task Order and in agreement to which this Task Order is at-
tached and hereby made a part thereof.
IN WITNESS WHEREOF, the parties to these understandings have hereunto
