RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL
APPROVING A CONTRACT AMENDMENT WITH C112M HILL TO PREPARE AN
ENVIRONMENTAL IMPACT REPORT FOR THE SHORELINE BUSINESS PARK
(HOME DEPOT) PROJECT
The City Council of the City of San Rafael finds and determines that:
WHEREAS, the California Environmental Quality Act requires environmental
review of the proposed Shoreline Business Park; and
WHEREAS, the City and the consultant, CI -12M Hill, entered into an agreement on
September 3, 1991 for the preparation of an Environmental Impact Report for the
proposed project; and
WHEREAS, the consultant has prepared an administrative draft Environmental
Impact Report which has been reviewed by the City staff; and
WHEREAS, the traffic modeling section of the EIR has been revised to reflect the
same assumptions used in the Priority Project Procedure; and
WHEREAS, the results of the revised traffic modeling need to be analyzed and
mitigations prepared; and
WHEREAS, Section 15 of the contract allows an amendment to incorporate such
changes; and
WHEREAS, the consultant has prepared a summary of cost breakdowns in the
amount of $23,325.00 to cover the additional costs associated with the revised Scope
of Work; and
WHEREAS, the proposal has been reviewed and recommended for approval by City
Staff.
NOW THEREFORE BE IT RESOLVED, that the San Rafael City Council accepts the
proposal from CH2M Hill for the preparation of the revised scope of work.
BE IT FURTHER RESOLVED that the City Manager is authorized to execute, on
behalf of the City of San Rafael, a Professional Services Agreement Amendment,
marked as Attachment "A", with CI -12M HILL for said project.

PROFESSIONAL SERVICES AGREEMENT AMENDMENT
This agreement is made and entered into this 21st day of Sept, 1992, between the
City of San Rafael, a Municipal Corporation (hereinafter referred to as "CITY") and
CH2M Hill, California, Inc. (hereinafter referred to as "CONSULTANT").
A. RECITALS:
(i) WHEREAS CITY AND CONSULTANT entered into an AGREEMENT
for the preparation of an Environmental Impact Report (EIR) for
Shoreline Business Park (Home Depot) on September 3, 1991; and
(ii) WHEREAS, CITY and CONSULTANT entered into a contract
AMENDMENT to revise the scope of work on June 15,1992; and
(iii) WHEREAS, CITY and CONSULTANT entered into a second contract
AMENDMENT to revise the traffic section of the administrative draft
EIR on August 17,1992; and
(iv) WHEREAS, the revised traffic results require analysis and mitigation;
and
(v) WHEREAS, Section 15 of the Contract allows an amendment to
incorporate such changes; and
(vi) WHEREAS, CONSULTANT has prepared a revised Scope of Work for
the analysis and mitigation (Exhibit "A") attached hereto and by
reference made a part hereof.
NOW, THEREFORE, it is agreed by and between CITY and CONSULTANT as
follows:
B. AGREEMENT
1. CONSULTANT AGREES AS FOLLOWS:
(a) CONSULTANT shall forthwith undertake and perform such
services as necessary to complete the analysis and mitigation for
the Shoreline Business Park EIR prepared in accordance with
the provisions of the Consultant's Scope of Work (Exhibit "A")
and in accordance with Federal, State and City statutes,
regulations, ordinances and guidelines, all to the reasonable
satisfaction of CITY.
2. CITY AGREES AS FOLLOWS:
(a) IN consideration of CONSULTANT's Agreement to perform
well and sufficiently and in a skillful and professional manner
the additional services contemplated herein, CITY agrees to pay
and CONSULTANT agrees to accept as full payment for the
preparation of the EIR, a total Sum of $ 23,325.00 payable within
fifteen (15) days upon acceptance by the City of the work outlined
in Exhibit "A".
3. ADDITIONAL COST AGREEMENT:
This Additional Cost Agreement supplements the Original Agreement
entered into on the 3rd day of September, 1991 and the contract
amendments entered into on the 15th day of June and the 17th day of
August, 1992 and these agreements supersede any and all other
agreements, either oral or in writing, between the parties with respect
to the subject matter herein. Each party to this Agreement
acknowledges that no representation by any party which is not
embodied herein nor any other agreement, statement, or promise not
contained in this Agreement shall be valid and binding. Any
modification of this Agreement shall be effective only if it is in writing,
and signed by all parties.

EXHIBIT "A"
Subject: Second Revised Scope of Work for Additional Consulting Services in
Connection with the Shoreline Center Environmental Impact Report
Pursuant to our telephone conversations with CH2M HILL and City Staff during the period
of September 10 through September 16, 1992, we are pleased to submit a second revised
scope of work for the Shoreline Center Environmental Impact Report (EIR). This revised
scope of work is a modification of the original scope prepared in the August 11, 1992 letter
proposal to the City for additional consulting services. The proposed services constitute
Phase 2 of the original traffic study, an air quality analysis, and two additional project
meetings. This second revised scope is detailed in Attachment A. The total cost for these
services is $23,325.00. Based on the City's verbal authorization to proceed during our
Septmeber 16, 1992 telephone conversation, we have commenced work on these tasks and
will complete the Draft Environmental Impact Report by October 5, 1992. Please call if you

Attachment A
Second Revised Scope of Work
Traffic Study
1. Update and re -distribute the project trips for the Shoreline Center Master
Plan (No extra fee).
2. Evaluate traffic impacts of the Shoreline Center Master Plan for the year 2000
(No extra fee).
3. Utifl zing the Highway Capacity level of service methodology, re-evaluate the
traffic impacts of the proposed Shoreline Center Master plan at the study
intersections (No extra fee).
4. Re-evaluate the level of service of unsignalized intersections by considering
the major approaches of the intersections, as requested by the City (No extra
fee).
5. Develop a year 2000 traffic network model assuming Kerner Boulevard extension to
the project site. If the modelling indicates that mitigation measures are necessary,
we will assume that the I-580 freeway improvements as discussed in the City of San
Rafael General Plan and EIR will suffice. No additional mitigation will be evaluated
for the project (New work).
6. prepare a traffic report documenting the level for service analyses based upon the
Highway Capacity Manual methodology (New work).
TOTAL COST: $15,840.00 (Task 5: $7,080.00; Task 6: $8,760)
Air Quality Analysis
7. Using the CALINE4 computer model, CH2M HILL will estimate maximum ambient
carbon monoxide (CO) concentrations from the following four scenarios: background
conditions (1995 and 2000); Home Depot plus back¢�round (1995); and Shoreline
Center Master Plan plus background (2000). It is assumed that the existing
conditions scenario (1991) will not require revision (New work).
In accordance with the original air quality study, maximum CO concentrations at
nonresidential and residential receptors will be estimated near the intersections of
Bellam/Westbound 1-580 Ramps, Bellam/Franciseo, and Bellam/Kerner. It is
assumed that these three intersections will continue to possess the greatest potential
for maximum CO impacts within the project study area. If it is determined that a
different intersection within the project study area may produce maximura CO
concentrations, additional scoping would be necessary because existing conditions
(1991) would also need to be modelled at this location_ Composite vehicle emission
factors for all modelling will be calculated using the most recent publicly available
version of the computer model EMFAC7PC (New work).
8. Using the URBEMIS3 computer program, emissions of total organic gases, nitrogen
oxides, particulate matter (less than 10 microns in aerometric diameter), and sulfur
dioxides resulting from project -generated traffic will be estimated. Estimates for the
Home Depot will be calculated for 1995; estimates for the Shoreline Center Master
Plan will be calculated for 2000 (New work).
9. Determine the significance of the air quality impacts. CO impacts will be compared
to ambient air quality standards. Project -generated emissions of other pollutants will
be compared to BAAQMD significance criteria (New work).
10. Modify the air quality impacts and mitigation section to incorporate the results of this
new modelling and to appropriately reflect the new assumptions. It is assumed that
the existing setting section will not require any modifications (New work).
TOTAL COST: $5,300.00
Additional Project Meetings
H. CH2M HILL has participated in two project meetings on July 21 and August 6, 1992
with City Staff to discuss traffic issues for this project. The costs estimated for these
meetings are based on meeting length and travel time between our Oakland CH2M
HILL office and the City of San Rafael (New work).
TOTAL COST: $2,185.00
Schedule and Fee
Pursuant to our telephone conversation of September 16, 1992, CH2M HILL will initiate this
new work immediately. The engineering aspect of this project can be completed by
Wednesday, September 30, 1992. We will deliver the completed Draft EIR (DEIR),
including the revised traffic and air quality analyses, on Monday, October S. If the City has
any comments on other sections of the revised DEIR previously submitted, please contact
Terry Babich so we can address these concerns before finalizing the document for public
review.
For services outline above, we propose an additional $23,325.00. Our proposed fee has been
computed only for the services outlined above as "new work." Compensation will be based
upon the terms and conditions of our existing Agreement dated September 3, 1991.
