A RESOLUTION OF THE CITY COUNCIL OF
THE CITY OF SAN RAFAEL AUTHORIZING
ISSUANCE OF A CERTIFICATE OF
COMPLIANCE PURSUANT TO GOVERNMENT
CODE SECTION 65865.1 (SMITH RANCH
HOMES DEVELOPMENT AGREEMENT)
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL DOES HEREBY RESOLVE AS
FOLLOWS:
The Mayor and City Clerk are authorized to execute, on behalf
of the City of San Rafael, a Certificate of Compliance to Tishman
Speyer Mediq Marin Limited Partnership, a copy of which is attached
hereto and by this reference made a part hereof.
I, JEANNE M. LEONCINI, City Clerk of the City of San Rafael,
hereby certify that the foregoing resolution was duly and regularly
introduced and adopted at a regular meeting of the City Council of
said City held on the 21st day of September, 1992, by the following

with Development Actreement (the "Compliance Statement")
To The Honorable Mayor and Council Members:
The undersigned, Tishman Speyer Mediq Marin Limited Partnership,
a California Limited Partnership (the "Partnership"), is the owner
and developer of the Smith Ranch Homes (formerly, Smith Ranch
Hills) senior housing project (the "Project"). The Project
includes the development of approximately 400 senior citizen
residential condominium units together with a skilled nursing
facility. We are submitting this Compliance Statement pursuant to
Section 12 of that certain Development Agreement dated June 3,
1985, as amended pursuant to the terms of that certain First
Amendment to Development Agreement, dated September 18, 1989, and
in compliance with the requirements of California Government Code
Sections 65864, et seq., which set forth "legislative standards
for demonstrating compliance with development agreements."
The Development Agreement affects the use and development of
certain real property commonly known as Lots 5A, 5B and 12 of Smith
Ranch. The Partnership is now the owner of Lots 5A and 12 only.
The First Amendment to Development Agreement provides that
compliance with the terms of the Development Agreement with respect
to Lots 5A and 12 is to be determined independently of Lot 5B.
The compliance statements prepared and presented to the City
Council in conjunction with the five earlier Smith Ranch Homes

compliance hearings (held on September 16, 1991, September 17,
1990, September 18, 1989, August 15, 1988 and July 15, 1987,
respectively) set forth the operative requirements of the
Development Agreement imposed upon the developer and described in
great detail the manner in which each of such conditions and
requirements have been satisfied. As emphasized in the 1990 and
1991 Compliance Statements, the Development Agreement requirements
imposed as to Lots 5A and 12 have been fully satisfied and there
are no continuing executory obligations imposed upon the
Partnership as the owner of these two parcels.
As we first advised you last year at this time, on Lot 12,
construction of the First Phase of 226 units, the Club House,
Building 10 (the grounds and maintenance building) and related
common facilities, including a Garden Center, is complete. We
continue to be actively engaged in our marketing and sales program
and to date have closed 60 escrows. Additionally, construction of
the two-story skilled nursing facility containing 80 beds on Lot 5A
is well advanced and is scheduled for completion in the first
quarter of 1993.
The Development Agreement, as amended, and applicable California
law prescribe compliance review procedures to ensure that the
developer has an opportunity to make factual representations
concerning the Project's development to the City Council and to
provide the City Council with a factual basis on which to support
a finding that the developer has complied in good faith with the
terms of the Development Agreement. The effect of such a finding
is that the provisions of the Development Agreement remain in place
for another year. We request you to consider this Compliance

Statement, together with all other pertinent facts, and to make the
finding as set forth in the proposed form of Certificate of
Compliance attached hereto that we have faithfully complied with
the provisions of the Development Agreement.

Tishman Speyer Mediq Marin Limited Partnership, a
California Limited Partnership (the "Partnership"), is the owner
of certain real property (the "Property"), located within the City
of San Rafael, County of Marin, State of California, and further
described in Exhibit "A," attached hereto and incorporated herein
by this reference. The Property is subject to the terms of a
certain Development Agreement (the "Development Agreement")
originally entered into by and among the City, Medical Retirement
Communities, Inc., a California corporation, Sagra, Inc., a
California corporation, an affiliate of Medical Retirement
Communities, Inc., and Marin Housing Development Corporation, a
California public benefit corporation, dated as of June 3, 1985,
and recorded September 10, 1985, as Instrument No. 85039085,
Official Records of Marin County, California, and amended on
September 18, 1989, and recorded on January 5, 1990, as Instrument
No. 9000969, Official Records of Marin County, California.
