A RESOLUTION ACCEPTING A GRANT OF $10,000 FROM THE ANDY WARHOL
FOUNDATION FOR THE VISUAL ARTS, INC. FOR THE FALKIRK CULTURAL
CENTER, CITY OF SAN RAFAEL AND AUTHORIZING EXECUTION OF
AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf of the City
of San Rafael, a resolution accepting a grant of $10,000 from the Andy Warhol
Foundation for the Visual Arts, Inc. for the Falkirk Cultural Center, City of San Rafael
and authorizing execution of agreement, a copy of which is hereby attached and by this
reference made a part hereof.
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael, hereby certify that
the foregoing resolution was duly and regularly introduced and adopted at a
regular meeting of the City Council of said City held on the 6 th
day of Mav , 1991 by the following vote to wit:

Notification of Grant Authorization and Notice
of Exnenditure Resnonsibility - Grant Terms and
conditions and Grantee Commitment
Dear Ms. Adney,
I am pleased to advise you that the Board of Directors of
The Andy Warhol Foundation for the Visual Arts, Inc. (the
"Foundation") has authorized payment of a grant to Falkirk
Cultural Center (the "Grantee") in the amount of $10,000.00 for
the purposes set forth in the enclosed Grant Summary.
On the basis of prior correspondence and discussions and the
material submitted by the Grantee to the Foundation, we have
concluded that the Grantee has the capacity, both managerial and
administrative, to carry out its programs and to utilize the
Foundation's grant in support thereof.
The Foundation is a private foundation for the purposes of
the Internal Revenue Code (the "Code") and, accordingly, it has
been determined that the grant to the Grantee is subject to the
following terms and conditions:
1. The Grantee will repay to the Foundation any portion of the
grant which is not used for the purposes described in the
attached Grant Summary.
2. (a) The Grantee will submit to the Foundation full and
complete annual reports in duplicate, in the form provided with
this letter, regarding the use of the grant funds and the
progress of the Grantee's programs for which grant funds were
used. The Grantee will submit these reports as of the end of the

annual accounting period within which the grant is received, and
as of the end of each successive annual accounting period until
the grant funds are spent in full. In each case, the appropriate
report will be submitted to the Foundation within 75 days after
the close of the applicable accounting period.
(b) Within 75 days after the close of the annual accounting
period during which expenditure of the grant funds is completed,
the Grdntee will submit a final report in duplicate, in the form
enclosed, regarding all expenditures and disbursements made of
the grant funds and describing the progress of the Grantee's
programs for which grant funds were used.
(c) The Grantee will also submit interim statements to the
Foundation at any time upon request by the Foundation regarding
use of grant funds and the progress of the Grantee's programs for
which grant funds were used.
3. The Grantee will prepare and maintain its books and records,
including records of receipts and expenditures, in a manner`
consistent with applicable Treasury Regulations (under Section
4945 and other relevant sections of the Code). The Grantee will
at all times make available to the Foundation or its
representatives all the books of account which are relevant to
the expenditure of the grant funds and will retain copies of all
relevant records of expenditures and all reports made to the
Foundation for at least four years after the completion of the
use of the_ grant funds.
4. The grant funds will, in no way, be used by the Grantee:
(a) to.carry on propaganda, or otherwise to attempt to
influence legislation (within the meaning of Section
4945(d) (1) of the Code;
(b) to influence the outcome of any specific public
election, or to carry on, directly or indirectly, any
voter registration drive (within the meaning of Section
4945(d)(2) of the Code);
(c) to make any grant which does not comply with the
requirements of Section 4945(d)('3) or (4) of the Code;
or
(d) to undertake any activity for any purpose other
than the one specified in Section 170(c)(2)(B) of the
Code.

5. The Grantee agrees that the use of the Warhol name is
expressly forbidden except where the Grantee lists the Foundation
as a contributor to its programs.
Please confirm the Grantee's agreement to adhere to the
foregoing terms and conditions by having an officer, director, or
trustee of the Grantee sign the enclosed copy of this letter and
return it to us. Upon receipt of the signed Acceptance Letter,
properly executed, the Foundation expects to forward its check to
the Grantee in the amount of $10,000.00 in payment of the grant
to you for the purposes described below.
