RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL
AUTHORIZING THE EXPENDITURE OF FALKIRK MEMBERSHIP FUNDS, AND
AUTHORIZING THE CITY MANAGER TO EXTEND AN AGREEMENT (AN
ADDITIONAL $1,920 FOR A TOTAL OF $10,245) WITH KAY SPRINKEL GRACE,
ORGANIZATIONAL CONSULTANT, FOR PROFESSIONAL SERVICES TO
CONDUCT A FUND RAISING FEASIBILITY STUDY FOR FALKIRK CULTURAL
CENTER AND THE BOYD HOUSE FROM 1/1/91 TO 7/31/91.
WHEREAS, Falkirk Cultural Center's Multi -Year Plan adopted by City Council
in 1988 called for a capital campaign to continue with repairs and renovations according
to the priorities of health, safety, liability and preservation; and
WHEREAS, Falkirk Cultural Center and Boyd House have numerous
maintenance needs; and
WHEREAS, Falkirk and Boyd are symbols of the community and a source of
civic pride; and
WHEREAS, extending the Agreement with Kay Sprinkel Grace will allow staff
and consultants to conduct a complete Fund Raising Feasibility Study to determine major
donor interest and increase community support of Falkirk Cultural Center and the Boyd
House; and
WHEREAS, support is needed to maintain the historic city facilities and offset
future capital improvement demands on the City's General Fund.
NOW, THEREFORE, BE IT RESOLVED that the City Manager and the City Clerk are
authorized to extend an Agreement for Professional Services between the City of San
Rafael and Kay Sprinkel Grace, Organizational Consultant.

that the foregoing resolution was duly and regularly introduced and adopted at a
Resular meeting of the City Council of said City held on Mondav the 20th day of
May, 1991, by the following vote to wit:

MAY, 1991 AMENDMENT TO KAY SPRINKEL GRACE AGREEMENT FOR
PROFESSIONAL SERVICES.
The parties to this Amendment are the CITY OF SAN
RAFAEL, a municipal corporation (hereinafter referred to as
"City"), and KAY SPRINKEL GRACE, (hereinafter
"Consultant").
RECITALS
WHEREAS, the parties entered into a written agreement
pursuant to Resolution No. 8303 dated December 3, 1990
related to a feasibility study required to conduct
fundraising for the Boyd House and Falkirk Cultural Center;
and
WHEREAS, Consultant has completed the services related
to the original feasibility study agreement; and
WHEREAS, Consultant has recommended,that additional
interviews be conducted of approximately seventeen
individuals recommended during the study as potential
funders for Boyd House and Falkirk Cultural Center.
NOW, THEREFORE BE IT RESOLVED, that the written
agreement between the parties dated December 3, 1990 shall
be amended and modified pursuant to Paragraph 11 of the
Agreement as follows:
A. SCOPE OF WORK:
Conducting confidential one-on-one interviews
with 32 - 37 individuals representing:
(1) Civic leaders (elected and appointed)
(2) Opinion Leaders (people who influence
others)
(3) Corporation leaders or officers
(4) Foundation leaders or officers
(5) People of wealth
(6) People with close affinity for Falkirk
(artists, people married there, etc.)
(7) Members of Falkirk
(8) People/organizations with interest in
historic issues.
B. TERM:
The term of This Agreement is from January 1, 1991
until July 31, 1991 unless terminated earlier as
provided herein.
C. COMPENSATION:
City agrees to pay consultant a flat fee of $600
per day for 16 days of work or a total
compensation of $9,600. City shall pay an
additional sum not to exceed $645 as reimbursement
of directly related expenses for such items as
tolls, local mileage, Federal Express/postage,
phone, and printing of report. City shall pay
Consultant upon timely presentation of invoices.
Other than as specifically amended and modified by this
Agreement, all other provisions of Kay Grace Professional
Services Agreement between the parties dated December 3,
1990 is confirmed and remains in full force and effect.
IN WITNESS WHEREOF, the parties have executed this
Agreement on this ?nth day of Play , 1991.
