RESOLUTION APPROVING OFFICIAL STATEMENT
CIVIC CENTER - NORTHGATE REFUNDING ASSESSMENT DISTRICT
The City Council of the City of San Rafael resolves:
As a part of the proceedings for the sale of improvement
bonds in Civic Center - Northgate Refunding Assessment District,
City of San Rafael, Marin County, California, this Council hereby
approves the Preliminary Official Statement dated June 17, 1991,
and a Final Official Statement derived substantially therefrom.
Distribution of the Official Statement and the Final Official
Statement is hereby authorized.
This Official Statement is final except for certain
information which will not be known until the time of sale and is
therefore "deemed final" within the meaning of Rule 15c2-12 of
the Securities and Exchange Commission.
The Treasurer is authorized to sign the Preliminary Official
Statement and the Final Official Statement.

California, hereby certify that the foregoing resolution was duly
and regularly introduced and adopted at a regular meeting of the
Council of said City held on the 17th day of June, 1991, by the
following vote, to wit:
