A RESOLUTION AUTHORIZING THE SIGNING
OF A CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The VICE -MAYOR and CITY CLERK are authorized to execute,
on behalf of the City of San Rafael, a contract, lease or agreement
with
AMENDMENT TO THE JOINT EXERCISE OF POWERS AGREEMENT BETWEEN
THE CITY OF SAN RAFAEL AND THE COUNTY OF MARIN FOR THE PLANNING
OF THE SAN RAFAEL/MARIN LIBRARY
a copy of which is hereby attached and by this reference made
a part hereof.

AMENDMENT TO JOINT EXERCISE OF POWERS AGREEMENT
FOR THE PLANNING OF THE
SAN RAFAEL/MARIN RESOURCE LIBRARY
This agreement, made and entered into this. day of ,19 , by and
between the City of San Rafael, a municipal corporation (hereinafter referred to as City), and the County of
Marin, a body corporate and politic of the State of California (hereinafter referred to as County)
WITNESSETH
WHEREAS, the City maintains a municipal library and desires to upgrade this facility and improve library
services; and
WHEREAS, the County desires to relocate the library facility currently located in the Civic Center
Administration Building, and likewise, desires to improve library services; and
WHEREAS, City and County believe that the greatest possible benefit from the use of public funds may be
realized if unnecessary duplication of services and physical facilities is avoided; and
WHEREAS, City and County entered into an Agreement dated December 20, 1988, to prepare a feasibility
and planning study for library services in the San Rafael area, including planning for a joint headquarters
library and northern San Rafael branch library; and
WHEREAS, City and County possess the common powers to build and maintain library facilities and
provide library services; and
WHEREAS, City and County entered into a Joint Powers Agreement dated June 19, 1989, for the planning
of the San Rafael/Marin County Library; and
WHEREAS, this Agreement is authorized under the Joint Exercise of Powers Act, Government Code
Section 6500 et seq.;
WHEREAS, the City and County desire to amend the Agreement in certain particulars hereinafter set forth.
NOW, THEREFORE, in consideration of the mutual promises and agreements hereinafter stated and the
performance thereof, the parties hereto do agree as follows:
1. This agreement is for the purpose of providing for the planning of a new San Rafael/Marin County
Resource Library (SR/MRL) and a North San Rafael Branch Library.
2. On or about June 20, 1989, the parties shall enter into an Agreement with Ray Holt, Library
Consultant, to revise the San Rafael Public Library building program to include the Marin County
headquarters library in the SR/MRL facility and plans for the North San Rafael Branch Library. This
agreement will extend to September 30, 1989 when the revised building program will be submitted to
both parties.

3. On or about June 20, 1989 the City and County will accept the document entitled,
"Recommendations For the Governance and Operation of the San Rafael/Marin County Resource
Library", prepared by Raymond M. Holt & Associates, along with the suggested steps for
implementation.
4. On or about June 20, 1989 the parties shall establish an Oversight Panel, which would provide for
assistance and advise in developing the various actions necessary to proceed with construction of the
facility. The Oversight Panel shall consist of members from the Board of Supervisors; the San Rafael
City Council, the Marin County Library Commission, the City of San Rafael Library Board, the
County Administrator and the San Rafael City Manager and the County and City librarians.
5. The Oversight Panel, with approval of the City and County, will have responsibility for the
following:
a. Assist with the selection of Design Professionals, in accordance with previously established
procedures, to design the San Rafael/Marin County Resource Library.
b. Prepare a series of joint exercise of powers agreements which will include, at least, the
following provisions:
(1) Formulas for apportioning capital and operating expenditures for the San Rafael/Marin
Resource Library and the North San Rafael branch.
(2) Performance standards for measurable levels of service to the County branches and to
the service area.
(3) A basis for establishing the allocation and continuing ownership of collections and
equipment from the City and County Libraries to the San RafaeWarin Resource Library
facility and the North San Rafael Branch.
(4) The administration of central automated services and other technical and support
services for the San Rafael/Marin Resource Library and North San Rafael Branch.
(5) Joint Occupancy of space in the San Rafael/Marin Resource Library facility and the
North San Rafael Branch Library.
(6) A methodology for amending the agreement.
(7) A process for settlement of disputes.
(8) A procedure for dissolution.
6. The parties will establish a committee to explore various funding alternatives.
7. On or about September 30, 1989 the City and County will negotiate and authorize contracts with Design
Professionals to begin Schematic designs and specifications. Conceptual drawings shall be completed in
accordance with the Proposition 85, California Library construction and Renovation Bond Act of 1988
application schedule.
8. Upon completion of the revised Library Building program, the parties shall authorize the Library
Consultant to continue to serve as advisor through the design phases.
9. After completion of the revised Library Building program, site selection and conceptual design, the City
and the County will prepare an application for funds from the California Library Construction and
Renovation Bond Act of 1988.
10. The parties recognize that this is an interim agreement and contemplate that it will be superseded by
one or more comprehensive joint powers agreements.
IN WITNESS WHEREOF, the parties hereto have caused their duly authorized representatives to execute
this agreement the day and year fust above written.
