A RESOLUTION AUTHORIZING THE SIGNING
OF A CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as
follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf of
the City of San Rafael, a contract, lease or agreement with
THE COUN'T'Y OF MAR.IN FOR THE SERVICES OF
ADULT LITERACY'PROJECT COORDINATOR'
FOR THE SAN RAFAEL PUBLIC LIBRARY'S ADULT LITERACY
(RENEWAL OF AGREEMENT THROUGH JUNE 30, 1990)
a copy of which is hereby attached and by this reference make a part hereof.
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael, hereby
certify that the foregoing resolution was duly and regularly introduced and

AGREEMENT BETWEEN THE CITY OF SAN RAFAEL AND THE COUNTY OF
MARIN RE: THE SERVICES OF "PROJECT COORDINATOR" FOR THE
ADULT LITERACY PROJECT
This AGREEMENT is made and entered into this 3rd_______
day of __Jal y , 19_U__ by and between the CITY OF
SAN RAFAEL (hereinafter referred to as CITY) and the COUNTY
OF MARIN, (Hereinafter referred to as COUNTY).
RECITALS
1. The San Rafael Public Library operated by the City of
Sa,n Rafael has received a Grant to operate an Adult Literacy
Project to teach basic English reading and writing skills to
adult non-readers.
2. The Marin County Free Library currently operates an
Adult Literacy Project.
3. It is the intention of the CITY to contract with the
Marin County Free Library to provide for the services of the
County Library Adult Literacy Project Coordinator
(hereinafter referred to as "Project Coordinator") to
supervise, coordinate, and implement the Adult Literacy
Project of the San Rafael Public Library.
AGREEMENT
Section 1. Purposel_Limitations.
This agreement is entered into solely for the purpose
of providing administration of the San Rafael Public
Library's Adult Literacy Project.
Section 2. "Project Coordinator".
The COUNTY agrees to provide the services of "Project
Coordinator" for ten hours a week from July 1, 19gs_, to
June 30, 199o, to supervise, implement and coordinate the
Adult Literacy Project of the San Rafael Public Library.
The "Project Coordinator" will provide services described in
Attachment "A", incorporated herein by reference. The
COUNTY agrees to provide a monthly report of "Project
Coordinator" time devoted to the San Rafael Public Library
Literacy project. Neither party shall discriminate against
any individual based on race, color, religion, nationality,
sex, age, or handicapped condition.

Section 3. Direction.
The "Project Coordinator" in performing services for
the San Rafael Public Library described in Attachment "A"
will work under the direction of the CITY'S Library Director
or the Director's appointed representative.
Section 4. Payment.
The CITY agrees to pay the COUNTY a sum not to exceed
$11,000_00 for performing services enumerated in "Attachment
A". Services to be paid as follows:
Payments shall be made quarterly by the CITY upon
receipt of a written invoice from the COUNTY describing
services rendered and time expended by the "Project
Coordinator". Payments shall be received no later than
the following dates: October 15, 198.9_
January 15, 1990
April 15, 1990
July 15, 199_
Section 5. Terms.
The term of this Agreement shall be through June 30,
199Q_. Either party may terminate this agreement, with or
without cause, by giving the other party thirty (30) days
written notice. In the event of Agreement termination, CITY
shall pay all sums due and unpaid under this agreement.
Payment of such compensation shall be considered full and
final settlement for all work performed by the "Project
Coordinator" under this Agreement. All completed reports
and other documents and materials described in Attachment
"A" shall become the property of the CITY.
Section 6. _Umploymgnt_Relationship.
It is the understanding of the parties hereto that the
"Project Coordinator" is an employee of the COUNTY and this
agreement shall not be construed as creating an employment
relationship between CITY and the "Project Coordinator". In
this connection, COUNTY agrees that it will be solely
responsible for the salary, insurance and fringe benefits
payable to the person selected by it to be "Project
Coordinator" and for the selection of and assignment of
hours devoted to this agreement by said person or persons.
Section 7 . Alterations.
This Agreement may be modified, as necessary, for the
successful and timely completion of the services to be
provided. Any alteration shall be expressed in writing, as
an amendment to this Agreement, and shall be approved by
both parties.

Attachment A
Project coordinator will be responsible for the following:
* coordinate project under the direction of the San
Rafael Public Library Director or his designated
representative
* submit all required reports for the State Library
Literacy Program
* submit copies of all reports to the City
* provide the city with four tutor training
programs on site, as needed
* recruitment of tutors and students and matching of
tutors with appropriate students
* submit bi-weekly or monthly "time -card" of time
spent on City's Literacy Project
* confer with Library Director or his designated
representative about any publicity, flyers,
materials to be distributed to the public or to the
press
