A RESOLUTION AUTHORIZING THE SIGNING
OF A CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as
follows:
The MAYOR and CITY CLERK are authorized to execute, on
behalf of the City of San Rafael, a contract, lease or
agreement with
AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN THE CITY OF
SAN RAFAEL AND CONSULTANT, RAYMOND HOLT, TO PROVIDE
ASSISTANCE IN THE SELECTION OF DESIGN PROFESSIONAL SERVICES
a copy of which is hereby attached and by this reference
made a part hereof.

hereby certify that the foregoing resolution was duly and
regularly introduced and adopted at a REGULAR
meeting of the City Council of said City held on the

AGREEMENT WITH CONSULTANT, RAYMOND HOLT, TO PROVIDE ASSISTANCE TO THE
CITY OF SAN RAFAEL IN THE SELECTION OF DESIGN PROFESSIONAL SERVICES FOR
THE SAN RAFAEUMARIN RESOURCE LIBRARY
The City of San Rafael, hereinafter referred to as "City" and the firm, Raymond M. Holt &
Associates, Library Consultants, hereinafter referred to as "Consultant' do hereby enter into this
agreement on this 18th day of Septeriber, 1989.
WHEREAS, the City has determined that it has need for the services of a Library Consultant to
assist in the selection of design professionals to design the San Rafael/Marin Resource Library,
and
WHEREAS, the City has determined that Raymond M. Holt & Associates, Library Consultants
possess the competence and experience required, and
WHEREAS, the Consultant has Agreed to provide the services hereinafter described, and
WHEREAS, the City and Consultant agree to the terms set forth in the Agreement;
NOW THEREFORE, the parties agree as follows:
I. PURPOSE
The purpose of this Agreement is to engage the professional services of the Consultant to assist
in the selection of design professionals to design the new San Rafael/Marin Resource Library.
II. CONSULATANT SERVICES
The Consultant shall assist in the selection of design professionals by serving as advisors to the
Selection Committee and shall provide the following services:
1. Assist in establishing a methodology for the choice of selecting qualified design
professionals;
2. Provide, and/or review drafts of the RFQ and/or RFP forms to be sent design
professionals;
3. Review and assist in the evaluation of RFQ/RFP responses received from design
professionals;
4. Submit questions for the use of the selection committee during the interviews of
design professionals;
5. Assist in the evaluation of responses from references and from information gathered
by the City from other sources including field visits to projects completed by a candidate
design professional;
6. Participate as non-voting advisors to the Selection Committee during interviews and
subsequent evaluations.
III. SCHEDULE
The Consultant's schedule shall be consistent with that established by the Selection Committee,
based on mutual agreement.
IV. COST OF CONSULTANTS SERVICES
The Consultants shall provide the services indicated in this Agreement for the sum of Three -
thousand five hundred dollars ($3,500.00) including all services and as many as three (3) trips to
San Rafael for a total of not more than four (4) days.
The Consultant shall submit monthly progress invoices indicating work completed and/or
underway; progress payments shall be considered due and payable upon receipt by the City.
Unless otherwise provided herein, compensation for the Consultant includes both the
Consultant's fees and travel expenses.
V. ADDITIONAL SERVICES
The Consultants may provide such additional services as may be mutually agreed upon and at
such fees and reimbursable costs as may be deemed equitable by the City and the Consultants;
unless otherwise agreed to, the Consultant shall be compensated for additional work at the rate
of Seventy-five Dollars ($75.00) per hour or Six Hundred Dollars ($600.00) per day plus
reimbursement for travel, lodging, car rental, meals and miscellaneous items associated with
such additional work.
VI. REPORTS AND REPORTING
No formal reports are required under this Agreement; however, the Consultant will provide such
informal oral and/or written material as may be agreed to.
VII. CONDITIONS
The following conditions shall be applicable to the parties of this Agreement:
A. AMENDMENT
This Agreement may be amended and/or extended in writing to cover additional releated
tasks and/or for other such purposes as may be mutually agreed upon in writing.
B. TERMINATION
This Agreement may be terminated by either party at any time without cause upon giving
of ten (10) days written notice thereof to the other party; in the event of such termination,
the City shall compensate the Consultant for services performed to the date of
termination, including fees and expenses authorized by the City and incurred by the
Consultant in pursuance of this Agreement.
C. ASSIGNMENT
The Consultant shall not assign this Agreement without prior written approval of the City;
D. NON DISCRIMINATION
In perfroming the duties under this Agreement, neither party may discrimiate against any
person on the basis of race, creed, color, age, national origin, religion, handicap, sex or
marital status.
E. NOTICES
Any notice required pertaining to the subject matter of this Agreement shall be delivered
or mailed prepaid first class registered or certified mail to the following addresses:

This Agreement shall be administered by Vaughn Stratford, Library Director, San Rafael Public
Library on behalf of the City. The City shall not supervise or direct the Consultant other than as
provided in this Agreement.
IN WITNESS THEREOF, the parties hereto have executed this Agreement through the
