L NCINI, CITY CLERK ORIP,INAI 8 6 $ AGREEMENT FOR PROFESSIONAL CONSULTATION SERVICES FOR SAN RAFAEL CHILD CARE TASK FORCE This Agreement is made and entered into this 16th day of October , 1989 by and between the City of San Rafael ("City") and The Wyatt Company ("Consultant"). A. SCOPE OF WORK In accordance with this Agreement, the Consultant agrees to provide professional consulting services to prepare the San Rafael Child Care Task Force Needs Assessment Study as outlined and described iii Exhibit "A", Scope of Work/Budget, attached and incorporated herein by reference. The Consultant agrees to be available and perform the work specified in this Agreement in the time frame specified. B. DIRECTION The Consultant, in performance of the Scope of Work referred to above, will work with the Recreation Director of the City. It is understood and agreed that the Consultant is, and at all times shall be an independent contractor and nothing contained herein shall be construed as making the Consultant, or any individual whose compensation for services is paid by the Consultant, an agent or employee of the City of San Rafael, or as authorizing the Consultant to create or assume an obligation for or on behalf of the City. C. PAYMENT For the payments specified herein, which the City agrees to make, the Consultant will undertake the above noted work. Payment for professional consulting services will be made as follows: (1) The Consultant shall provide an invoice to the City of San Rafael on a monthly basis for actual work completed during that month. (2) Invoices shall be paid within thirty days of the City's receipt of the invoice. (3) Consultant's Additional Services In the event that additional services are requested by the Task Force or are necessary for the successful completion of the project, and are beyciid the scope c,i this Agreement, both parties will agree upon the additional scope, appropriate fees, and develop an amendment to this contract before the work is done. cr%py AGREEMENT FOR PROFESSIONAL CONSULTATION SERVICES FOR SAN RAFAEL CHILD CARE TASK FORCE Page 2 D. TERMINATION/CANCELLATION If the City terminates this Agreement before its expiration date, the Consultant shall be compensated for all work completed under Section C, PAYMENT. Scheduled work items not completed but upon which work has been performed, shall be paid for on a pro rated basis, as mutually determined by the Consultant and the City, unless the Agreement is terminated due to a breach of Consultant's obligations under this Agreement. E. WORK STOPPAGE This Agreement is based upon the time schedule established and agreed to by the Consultant and the City (Exhibit "B"). Once the project has commenced, the City may stop work on the project upon five (5) days written notice to the Consultant. The City shall pay Consultant all outstanding payments within 30 days after work stoppage notice has been received. If the City does not request work on the project to commence within sixty (60) days of the date of the work stoppage notice, the Consultant has the right to renegotiate its fee (including start-up costs) for the remaining work to be performed under this Agreement. If the schedule to perform under this Agreement is extended by more than 120 days through no fault of the Consultant, the Consultant may re -negotiate its fees. If the Consultant's actions or failure to act, delay completion of the work hereunder by more than thirty (30) days, at any stage of the schedule, the City may reduce the Consultant's fees accordingly and commensurate with damages incurred by the City. F. TERMS This Agreement shall expire September 30, 1990. Either party may earlier terminate this Agreement, without cause, by giving the other party ten (10) days written notice. In the event of termination of this Agreement, the City shall pay Consultant all sums then due and unpaid under this Agreement in conformance with the terms of Paragraph D above. Payment by City of such compensation shall be considered full and final settlement for all work performed by the Consultant ander. this Agreement. All completed reports and other documents and materials described in Exhibit "A" shall become the property of the City. MODIFICATIONS This Agreement may be modified, as necessary, for the successful and timely completion of the services to be provided. Any alteration of this Agreement shall be in writing and shall be signed by both parties. Amendments to Exhibit A may be made by mutual written agreement of the parties hereto. H. INSURANCE During the term of this Agreement, Consultant shall maintain: general and comprehensive liability insurance with a combined single limit of not less than $1,000,000 for bodily or personal injury or property damage as the result of any single occurrence; and professional malpractice insurance with a limit of liability of not less than $500,000 for any single occurrence, and in the aggregate. Prior to beginning work under this Agreement, Consultant shall provide the City with evidence that the insurance described above is in place. The City of San Rafael shall be named as additional insured on all policies of insurance, except the malpractice policy(ies) Consultant shall provide City with certificates and endorsements evidencing such insurance. I. INDEMNITY Consultant shall indemnify, defend and hold the City of San Rafael harmless from all claims for injury or damage to persons or property arising from Consultant's negligent, willful or intentional acts or omissions, and Consultant's errors or omissions relating to activities carried out pursuant to or in connection with this Agreement. J. ARBITRATION City and Consultant agree to submit any claims arising 'under the agreement, or any dispute concerning the terms or provisions of this Agreement to binding arbitration according to the rules of the American Arbitration Association. The arbitrator is empowered to award attornev's fees to the prevailing party. K. SCOPE OF AGREEMENT This is the entire agreement between the parties and there are no conditions, agreements or representations between the parties except as expressed herein. NON -ASSIGNMENT This agreement contemplates the expert and unique services of Consultant, and it is recognized by the parties hereto that a substantial inducement to City for entering into this agreement was, and is, the professional reputation and competence of Consultant. Neither this agreement nor any interest therein may be assigned by Consultant and Consultant shall not subcontract any portion of the performance contemplated by this agreement. We will then review the current supply of child care providers in the various communities and gain an understanding of the quantity, quality, and diversity of child care services available in and around San Rafael. This particular study will consist of several componants: 1. Written survey(s): In order to gather statistical and demographic information, and gain an understanding of child care trends in the community, we will design and desseminate several different short surveys. We will attempt to gather objective data from parents, employees, employers, providers, non- profit organizations, and government entities. The data will allow us to understand the current and future supply and demand of child care services. Individual interviews and group discussions produce crucial information which car, be used to develop a wor'.cing Plan or Action. We find that we learn a great deal about individual and group needs and solutions through discussions. Development of a Report on Needs Assessment and Review of Suppiy $1,000 Strateac l" -an and Plan of Actign Once we conduct the Needs Assessment and Review of Supply components of This project, we will be in a position to develop and communicate recommendations. The vehicle for these recommendations is this part of the project: 1. The Strategic Plan will identify and detail a pragmatic community response to the supply/demand gap that is in keeping with both the communitv's objectives and the availability of dedicated financai resources. It will con taLl a mission, a prioritized set of objectives and goals, and other supportive information. 2. The Plan of Action will specifically indicate the action steps which will achieve the obiecµives defined in the StrateYc Plan. This will be a ":wing document". We will present the finding s from our Needs Assessment of Review of Supply along with our Strategic Plan and Plan of Action to the Child Care Task Force Steering Committee, The Child Care Task Force in its entirety, and the San Rafael City Council. We will also assist the Task Force with its own presentation to other interested groups or organizations with planning, materials, and trouble -shooting.
