A RESOLUTION AUTHORIZING THE SIGNING
OF A CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as
follows:
The MAYOR and CITY CLERK are authorized to execute, on
behalf of the City of San Rafael, a contract, lease or
agreement with
AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN THE CITY OF SAN
RAFAEL, THE COUNTY OF MARIN AND RAYMOND M. HOLT ASSOCIATES TO
REVISE THE SAN RAFAEL PUBLIC LIBRARY BUILDING PROGRAM TO PROVIDE
FOR A JOINT SAN RAFAEL/MARIN RESOURCE LIBRARY
a copy of which is hereby attached and by this reference
made a part hereof.

AGREEMENT FOR PROFESSIONAL SERVICES
This AGREEMENT is made and entered into this 19th day of
,Tune , 1989, by and between the CITY OF SAN RAFAEL, the
COUNTY OF MARIN (hereinafter referred to as the City and the County)
and RAYMOND M. HOLT AND ASSOCIATES (hereinafter called Consultant).
A. Scope of Work:
In accordance with this Agreement, the Consultant agrees to
revise the San Rafael Public Library building program to provide
for a joint San Rafael/Marin Resource Library that will include
the Headquarters and specified collections and services
of Marin County Free Library. This building program will include
revision of text, functional relationship diagrams, space
estimates, and Area Data Sheets as required to incorporate
various collections and services as well as Headquarters staff
and their operations. These services will be performed according
to the schedule and work tasks outlines in Exhibit "A", titled,
Proposal for Revision of the San Rafael Public Library Building
Proaram to Include the Marin Countv Library Headauarters..
(Exhibit "A" is attached and incorporated herein by reference.)
B. Direction:
The Consultant, in performance of the Scope of Work referred to
above, will work under the direction of the City and the County
Library Directors or their appointed representatives. It is
understood and agreed that the Consultant is, and at all times
shall be, an independent contractor and nothing contained herein
shall be construed as making the Consultant, or any individual
whose compensation for services is paid by the Consultant, an
agent or employee of the City and the County, or authorizing the
Consultant to create or assume any obligation for or on behalf of
the City and the County.
C. Payment of Fees and Expenses:
The cost of all fees and expenses for the work outlined in
Exhibit "A" will not exceed $19,650 to be paid by the County
Library. The County Library will make payments to the Consultant
upon receipt of progress invoices, representing the actual cost
of fees and expenses to the date of the invoice.
D. Terms:
The term of this Agreement shall be through September 30, 1989.
Either party may terminate, with or without cause, by giving the
other party thirty (30) days written notice. In the event of
Agreement termination, the County Library shall pay Consultant
all sums due and unpaid under this Agreement. Payment by the
County Library of such compensation shall be considered full and
final settlement for all work performed by the consultant under
this Agreement. All completed reports and other documents and
materials described in Exhibit "Al' shall become the property of
the City and the County.
F. Hold Harmless:
Consultant agrees to defend, indemnify, protect, and hold the
City and the County and its agents, officers, and employees,
harmless from and against any and all claims asserted or
liability established for damages or injuries to any person or
property, including injury to Consultant's employees, agents or
officers which arise from or are connected with or are caused or
claimed to be caused by the acts or omissions of Consultant and
his agents, officers or employees, in performing the work or
services herein described, and all expenses of investigating and
defending against same; provided, however, that Consultant's duty
to indemnify and hold harmless shall not include any claims or
liability arising from the established sole negligence or willful
misconduct of the City and the County, its agents, officers, or
employees.
G. Alterations:
This Agreement may be modified, as necessary, for the successful
and timely completion of the services to be provided. Additional
Consultant field trips may be provided at the Consultant's daily
rate ($600) plus reimbursement for expenses following written
approval of both Library Directors. Any alteration shall be
expressed in writing, as an amendment to this Agreement, and
shall be approved by all parties. Amendments to Exhibit "A" may
be made by mutual agreement of Consultant and Library Directors.
IN WITNESS WHEREOF, the City, the County and Consultant have
caused their authorized representatives to execute this Agreement
the day and year first written above.

EXHIBIT "A"
PROPOSAL FOR REVISION OF THE
SAN RAFAEL PUBLIC LIBRARY BUILDING PROGRAM
TO INCLUDE THE MARIN COUNTY LIBRARY HEADQUARTERS

In response to your request, we arc pleased to submit the following proposal
regarding the revision of the San Rafael Public Library building program to
include the Headquarters of the Marin County Library. This will include
revision of text, functional relationship diagrams, space estimates and Area
Data Sheets as required to incorporate various collections and services as well
as Headquarters staff and their operations. It is anticipated that the nature of
such revision will require the full participation of the San Rafael Library
Director as well as the County Librarian and her staff.
The Library building resulting from this program is hereby referred to as the
San Rafael/Marin County Resource Library, abbreviated as the SR/MRL.
A. TYPICAL TASKS
1. Review of all decisions relative to the collections and functions to
be incorporated into the SR/MRL
2. Gathering of information from the Marin County Library staff
related to the collections, functions and operations to be housed in the
SR/MRL through individual and group discussions, review of statistical,
data, etc.
3. Evaluation and analysis of data
4. Revision or, as appropriate, preparation of new program
materials including:
• Functional Relationship (bubble) diagrams
• Projected space requirements
• List of new Identifiable Areas to be included
5. Review of Findings and Projections with the County Librarian
and the City Librarian indicating probable impact on the program
6. Revise program information as determined

7. Prepare draft of revised building program and submit to the
County Librarian and City Librarians for review
8. Review draft with the County Librarian and the City Librarian
9. Produce final building program.
B. SCHEDULE
The following schedule is proposed:
• July 1 -July 31
Gather and analyze data including review with Library Staff of
Functional Relationship Diagrams, Space Projections and other program
materials
• August I -September 10
Revise Building Program and submit as a draft for review by the County
Librarian and City Librarian
• September 11-12
Review Building Program Draft with County Librarian and City
Librarian
• September 13 -September 30
Produce final Building Program for the SR/MRL
C. NUMBER OF COPIES
The Consultants will submit review copies of all materials subject to review
to the County Librarian and to the City Librarian; additional copies may be
made by the County Librarian and City Librarian as may be needed for the
review process.
The Consultants will provide a single camera-ready copy of the final building
program to the Client for reproduction and distribution. In addition, the
Consultants will provide a single copy of the final building program to the
County Librarian and to the City Librarian.
D. COST AND PAYMENT SCHEDULE
The work
covered
by this Proposal will be completed for the
lump sum of
Nineteen
Thousand
Six Hundred and Fifty Dollars ($19,650.00)
including all
fees and
expenses.
This includes four field trips to Marin for
the purposes

both parties with the Consultants reimbursed for travel expenses and time
based on the Consultants regular fee of $600.00 per day.
Monthly invoices will be submitted for payment.
