RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF SAN RAFAEL AUTHORIZING THE SIGNING OF THE
SECOND AMENDMENT TO THE JOINT EXERCISE OF POWERS
AGREEMENT CREATING MARIN STREET LIGHT ACQUISITION
JOINT POWERS AUTHORITY (PROVIDING MEMBERSHIP TO
CORTE MADERA AND AUTHORIZING ADDITIONAL APPROVED PROJECTS)
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL HEREBY RESOLVES
as follows:
The Mayor and City Clerk are authorized to execute, on
behalf of the City of San Rafael, the SECOND AMENDMENT TO THE JOINT
EXERCISE OF POWERS AGREEMENT CREATING MARIN STREET LIGHT ACQUISITION
JOINT POWERS AUTHORITY, (providing membership to Corte Madera and author-
izing additional approved projects) which is attached hereto and incorpo-
rated herein by this reference.
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael,
California, hereby certify that the foregoing resolution was duly and
regularly introduced and adopted at a regular meeting of the Council
of said City held on the 6th day of February, 1989, by the following
vote, to wit:

SECOND AMENDMENT TO THE
JOINT EXERCISE OF POWERS AGREEMENT CREATING
THE MARIN STREET LIGHT ACQUISITION JOINT POWERS AGREEMENT
DATED: JANUARY 7, 1986
The present parties to the existing MSLAJPA hereby
agree to amend the Agreement as permitted by existing SECTION
16.
AMENDMENT on , 1989 as follows:
SECTION 1. The Town of Corte Madera is added as a
member agency.
SECTION 2. The following paragraph is added to
SECTION 1. AUTHORITY AND PURPOSE:
"3. Additionally, the separate public
entity may involve itself in other projects
puck as the identification of all masonary
buildings in the County of Marin, the maintenance
of traffic signals, and other projects agreed to
by a 50% plus one vote of its member agencies."
SECTION 3. The following paragraph is added to
SECTION 6. PROJECT OF THE MSLAJPA:
"8. Additionally, the MSLAJPA may involve
itself in other projects as the identification
of all masonary buildings in the County of Marin,
the maintenance of traffic signals and any other
project, not otherwise expressly prohibited by law,
that is authorized by a 50% plus one vote of its
member agencies. Said vote shall be cast in
writing by an individual legally authorized to
represent the agency."
SECTION 4. The following paragraph is added to
SECTION 7. FINANCING:
"The Executive Officer is authorized to expend
existing monies in the MSLAJPA Treasury for the
expenditures authorized by the Governing Board".
Any additional expenditure of funds beyond those
presently in the treasury will be contributed by
member agencies in accordance with the pro-
portionate benefit received by the member agency."

IN WITNESS WHEREOF, the local agencies have executed
this Agreement as of the day and year described above. This
Amendment may be executed on separate signature pages.
