RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF SAN RAFAEL AUTHORIZING THE SIGNING OF
AN AGREEMENT WITH CH2M HILL, CALIFORNIA,
INC. TO PROVIDE ENGINEERING SERVICES FOR
THE DESIGN OF THE LUCAS VALLEY INTERCHANGE
IMPROVEMENT PROJECT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL resolves
as follows:

The/MAYOR and CITY CLERK are authorized to execute on
behalf of the CITY OF SAN RAFAEL, an agreement for professional
engineering services for the preparation of environmental documents
and design of the Lucas Valley Interchange Project with CH2M Hill,
California, Inc., a copy of which is hereby attached and by this
reference made part hereof.

Agreement in the time frame as specified and as shown in the "Fee and
Schedule" of E�:hibit "A" attached hereto.
COMPENSATION! by the CLIENT to CH2M HILL to be on the basis of salary cost multiplied by a
Vfactor of 2.2. The total estimated fee for the proposed scope of work
is provided in Exhibit "A".
When compensation is on a cost -reimbursable basis. a service charge of 10 percentwiil be added to DirecT Expenses.Ali sales, use,
value added, business transfer. gross receipts, or other similar taxes will be added to ENGINEER's compensation when invoicing
CLIENT.
OTHER TERMS The estimated fee included in Exhibit "A" is based on the
CONSUL'TANT'S current understanding of the project. As the nature
and scope of the project and schedule may change during the performance
of the Scope of Work, the estimated fee may need to be revised for some
Tasks, based on information obtained in preceding Tasks.
Additional Terms are provided in Exhibit B.
Services covered by this Agreementwill be performed in accordance with the PROViS!ONS stated on the back of this form and any
ottachment� or schedules. This Agreement supersedes all prior cgreements and understandings and may only be changed by
written amendment executed by both parties.

Exhibit A
SCOPE OF WORK
The following Scope of Work is based on our (Consultant's)
current understanding of the Lucas Valley Road Interchange
Project, as described in the Project Study Report from
Caltrans, Attachment 5, dated August 10, 1988.
TASK 1: ADMINISTRATION AND MANAGEMENT
CH2M HILL will be the prime consultant with the City for the
professional services for the project. Heacox-Crutcher and
Associates will be retained by CH2M HILL to provide land-
scaping design services. We will be responsible for manage-
ment of the project consultant team, coordination with the
City and affected agencies, and production of reports, maps,
right-of-way documents, and the preliminary and final design
drawings.
Task 1.1: Administration
Administer the prime contract with the City and the
contract with the subconsultant. Monitor compliance
with the provisions of the agreements. Provide a sin-
gle point of contact for the City with regard to con-
tractual matters. Monitor progress regarding budget
and schedule. Provide status reports and billings on a
monthlv basis.
Task 1.2: Manaqement
Manage the work efforts and coordinate the activities
of the project team. Provide work plans, schedule4,
budgets, and direction regarding project goals and pol-
icy. Establish standards regarding product quality,
format, presentation, graphics, and content. Become
familiar with the City of San Rafael Northgate Activity
Center Plan and General Plan 2000 as they relate to the
features of this project. Disseminate information,
direct team efforts, and coordinate work tasks and out-
side contracts.
Coordinate with the City by participating in monthly
project coordination and review meetings. These
meetings are included in the coodination meetings
described in Tasks 2.11 and 3.7. Provide draft agenda
items and participate in discussions. Contact the
City, Caltrans, FHWA, and other affected agencies and
organizations to obtain data, review project work, and
determine design requirements.

Assist the City by reviewing the draft Caltrans Memo-
randum of Understanding (MOU). Prepare project work
plans for review by the City. Assist in determining
permit requirements of regulatory agencies. Permit
applications and fees, if required, will be prepared
and submitted by the City.
Manage the assembly and production of project documents,
including the Project Report, Environmental Document,
the Hydrology and Hydraulics Report, the Materials Re-
port, and the final PS&E.
Task 1.3: Quality Control
Review technical work for accuracy and completeness.
Edit written material for grammatical correctness, con-
sistency in format, graphic presentation, and refer-
ences. Review engineering drawings with respect to
conformance with Caltrans standards. Monitor the over-
all process for conformance with Caltrans, FHWA, and
City design requirements.
TASK 2: PROJECT PLANNING AND PRELIMINARY DESIGN
The purpose of this Task is to perform the studies and pro-
cedures to prepare a draft Project Report (PR) for review
and processing by Caltrans. Preparation of the environmental
document and assistance with final environmental certifica-
tion for the project is also included in this Task. Subtasks
are:
Task 2.1: Data Assembly
Obtain and review available past studies and reports
applicable to the project, including conceptual plans,
existing environmental documents, project reports for
adjacent improvements, traffic studies, as -built plans
of existing facilities, right-of-way maps, utility maps,
property maps, topographic maps, aerial photographs,
existing soils reports, and other pertinent data. The
City will provide copies of all available reports and
documents without charge.
Task 2.2: Surveying and Mapping
Obtain available existing topographic base maps and
survey control information from the City and Caltrans.
Define new survey requirements and coordinate with
Caltrans to verify requirements. Obtain field survevs
and prepare base maps for design drawings. Topographic
mapping will be prepared by aerial methods at a scale
of 1 -inch equals 50 feet, with 1 foot contour intervals.

Task 2.3: Right-of-Wav Work
Define additional right-of-way required for the project
construction, including parcel ownership, temporary
construction easements, right-of-way takes, and remain-
ders. Provide information to City for use in obtaining
property parcels. Finalize maps and legal descriptions
for right-of-way or easements. The City will provide
title reports for impacted ownerships. Prepare right-
of-way plats and legal descriptions for each parcel to
be acquired, and deliver to the City for processing and
acquisition. The estimated fee is based on the assump-
tion that a maximum of three property parcels will be
affected on the project.
Task 2.4: Existing Utilities Inventory _
Conduct an inventory of existing utilities in the proj-
ect area. Compare as -built plans and utility location
information assembled from utility companies during the
project planning phase with a surface review of the
project site and report discrepancies to the affected
utility company for their resolution. Plot existing
utilities and other features on a 1 -inch eQuals 50 -foot
scale base map. Submit these utility plans to the af-
fected utility company for their use in designing the
relocation of their facilities. The actual design of
the utilities shall be by the utility company. Pot-
holing or other excavation work to locate existing
utility lines is not included in this task.
Task 2.5: Preliminary Geotechnical Investigation
Review boring logs and foundation reports from record
information for the existing structures in the area.
Include consideration of settlement, seismicity, bear-
ing pressures, compaction, site preparation require-
ments, adjacent slope stability, and pavement structural
sections. Prepare a summary memorandum and submit to
City and Caltrans for review. Incorporate information
from the City or Caltrans regarding structural sections
for roadway pavement. The preliminary pavement struc-
tural section will be based on a Traffic Index provided
by the City. This scope of work and the estimated fee
does not include pavement testing or evaluation for the
existing pavement sections.
Task 2.6: Hydraulics Report
Review available as -built plans of existing improve-
ments near the project and obtain hydrologic data for
the project area from the City, Countv, and Caltrans.

Perform hydraulic analysis to determine runoff volumes,
develop the preliminary location of drainage facil-
ities, and to develop preliminary sizing of pipes to
accommodate surface runoff within the project area.
Prepare Hydrology and Hydraulics Report in conformance
with Caltrans requirements, submit for their review,
and incorporate comments into the final document. The
Final Hydrology and Hydraulics Report will be completed
during the Final Design, Task 3, activities. The
Scope of Work is based on the assumption that the
project does not include a hydraulic analysis of any
nearby creeks or other drainage facilities serving the
surrounding areas.
Task 2.7: Preliminary Geometric Approval Drawings
Prepare an ink on mylar drawing at one -inch equals
50 feet scale on a Caltrans format sheet showing the
principal features of the proposed project. Include
screened base maps where appropriate. Include align-
ment information, profiles, cross-sections, travel
lanes, construction staging, traffic control informa-
tion, and preliminary construction cost estimate to
describe the preliminary design for the project. Pre-
liminary drawing will include the horizontal and
vertical alignment, number of through and turn lanes,
traffic volumes, traffic signal poles, bus lanes,
sidewalks, and bicycle paths. Prepare a brief summary
memorandum and submit with this drawing and estimate.
Respond to review comments and finalize this drawing.
Task 2.8: Draft Project Report
Prepare a Draft Project Report to submit to Caltrans
for review. The draft report will indicate the project
category, provide background information, describe ex-
isting facilities, describe the proposed project and
alternatives, provide current and forecast traffic data
to be provided by the City, provide justification for
the project, indicate funding sources, describe project
reviews, describe the public hearing process from in-
formation to be provided by the City, indicate environ-
mental and right-of-way certification, identify project
personnel, make recommendations and include attachments,
such as maps, drawings, plans, cost estimates, and cor-
respondence. Provide 10 copies of the draft and
revised Project Report. Preparation and distribution
of the Final Project Report is by Caltrans.
Task 2.9: Environmental Document
Prepare an Initial Study/Environmental Assessment
(IS/EA) for the project using existing data provided by

the City, including the EIRs for the Northgate Activity
Center Plan and the San Rafael General Plan 2000.
Using these documents, a checklist and environmental
assessment (formatted according to the Caltrans Envi-
ronmental Handbook) will be prepared. The environmental
assessment will address impact areas as identified by
CEQA guidelines. It is anticipated that the IS/EA will
include discussion of impacts and mitigations for traf-
fic and circulation, noise, air quality, biotics and
growth inducement. CH2M HILL will also set-up and co-
ordinate a field review meeting for representatives of
Caltrans, the City and other effected agencies. It is
assumed that as a result of this meeting, it will be
agreed that the project can proceed with an IS/EA as
the appropriate environmental document. If it is deter-
mined that an EIR/EIS is needed for this.project, the
estimated fee will need to be increased accordingly.
Based on this assumption, no new technical studies
(traffic, air quality, noise, etc.) are anticipated or
included in this subtask. CH2M HILL will prepare one
Administrative Draft, one Draft and one Final IS/EA for
concurrent review by Caltrans and the City of San
Rafael. If a Public Hearing is needed for the environ-
mental document, CH2M HILL will prepare presentation
graphics, using available drawings from previous tasks.
The City will make the necessary arrangements for the
hearing, including public notices and preparation of
the Record of Public Hearing.
Task 2.10: Coordination
Meet with Caltrans, the City, and other members of the
Project Development Team (PDT) at the beginning of the
project to confirm understandings, requirements, and
expectations regarding the design. Monitor progress of
approvals by Caltrans. Provide ongoing review and
quality control monitoring of the overall project and
advise City on progress and design decisions. Coordi-
nate primarily with Caltrans Project Development Branch
but also with other Caltrans District 4 groups such as
Materials, Surveying, and Landscaping. A total of 10
meetings with Caltrans or City staff are included in
this subtask. Additional meetings will necessitate an
increase in the estimated fee.
TASK 3: FINAL DESIGN
The purpose of this task is to perform the detailed design
of the project and produce the construction drawings, spe-
cial provisions, and construction estimate required for the
bid documents. The construction documents will cover the

work necessary to bid, construct, and put into full opera-
tion the ramps and roadway sections included in the project.
Subtasks include:
Task 3.1: Final Geometric Approval Drawings
Prepare ink on mylar drawing at one -inch equals 50 feet
scale on standard Caltrans sheet showing features of
the proposed project. Include same features as Prelim-
inary Geometric Approval Drawing. Prepare preliminary
quantity and cost estimates. Prepare summary memorandum
and submit with drawing and estimate. Respond to review
comments and finalize this drawing.
Task 3.2: Final Design Survevs
Perform additional field surveys for final design.
Develop survey control plans showing monuments, control
points, stationing, and other relationships necessary
for field control during construction.
Task 3.3: Final Geotechnical and Materials Report
Develop a soils testing program for the project site in
conformance with Caltrans requirements, and conduct the
field work. The estimated fee for this subtask is based
on the assumption that 4 borings, with a total depth of
approximately 150 feet will be drilled, and that no
testing of existing pavement is required. Finalize the
Materials Report, including those aspects described in
Task 2.5, and submit to City and Caltrans for review.
Respond to review comments and finalize.
Task 3.4: Construction Drawings
Following approval of Geometrics Approval Drawing, per-
form design calculations regarding alignment, profile,
superelevation, grading, traffic signals, and lighting.
Prepare ink on mylar plans on standard Caltrans sheets
to show the project features, including layout, pro-
files, sections, and details required for construction.

Provide full size sets of plans to City and Caltrans
for review. The estimated fee is based on the use of
standard Caltrans cut slope and/or retaining wall
design.
Task 3.5: Special Provisions
Assemble relevant Special Provisions based on the cur-
rently available version of Caltrans Standard Special
Provisions to the Standard Specifications. Modify the
Special Provisions, draft new Special Provisions, and
discuss requirements with Caltrans. Prepare a "dummy"
set of project Special Provisions for Caltrans formal
review.
Task 3.6: Estimates and Bid Schedule
Perform detailed quantity takeoffs including item de-
scriptions and units in conformance with Caltrans re-
quirements. Develop unit cost information from
Caltrans Contract Cost Data and local sources. Prepare
engineer's estimate showing items, quantities, costs,
and total project construction cost. Develop a bid
schedule for inclusion in the contract documents for
use by contractors in preparing and submitting con-
struction bids.
Task 3.7: Coordination
Continue to coordinate and monitor the project as de-
scribed in Task 2.11. An additional 10 meetings with
Caltrans or City staff are included in this subtask.
Additional meetings will necessitate an increase in the
estimated fee.
Task 3.8: Finalize PS&E
Analyze review comments, make modifications, and incor-
porate review comments in the PS&E set. A series of
check sets is planned to permit each review group at
Caltrans to review responses to their comments without
having to wait for the revision of the entire set.

Provide final camera-ready copy of the PS&E to the City
for printing, advertising, and bidding at the City's
expense.
The following tasks are not included in the scope of work,
but are referenced here for information only.
TASK 4: BIDDING ASSISTANCE (OPTIONAL TASK)
The purpose of this task is to assist the City during the
bidding phase of the project. The work will include the
following tasks:
Task 4.1: Resident Engineer's File and
Encroachment Permit Application
Prepare the Resident Engineer's File and Encroachment
Permit Application, if required, for the construction
phase of this project. Submit to the City and Caltrans
for review and respond to comments in final submittal.
Task 4.2: Pre -Bid Assistance
Respond to bidder questions for design clarification
during the bidding period. Issue written clarifica-
tions or addenda to the bidders if necessary. Attend
the pre-bid meeting and respond to questions or com-
ments by the contractors.
Task 4.3: Pre -construction Assistance
Assist the City in evaluating bids and determining the
low bidder. Participate in the pre -construction con-
ference to respond to questions or comments by the
successful contractor.
TASK 5: CONSTRUCTION SERVICES (OPTIONAL TASK)
The purpose of this task is to assist the City with the ad-
ministration of the construction contract.
Task 5.1: Construction Stakinq
Provide construction staking which will include:
o Demolition markings
o Alignment and grade stakes for relocation of
utilities included in the construction
contract
o Alignment and grade stakes for rough grade
o Alignment and grade stakes for new storm
drain system
o Alignment and grade stakes for curb, gutter,
and sidewalk
o Construction staking cut sheets for contrac-
tor and City inspectors
Monumentation after construction will include monuments
at intersections and other locations as determined by
the City.
Task 5.2: Construction Consultation
Assist the City with revisions to the plans as a result
of changed conditions. Review contractor requests for
material substitutions or modifications to the plans.
Assist the City in preparing project change orders.
Task 5.3: Resident Engineer
Provide a full time resident engineer to observe the
construction activities of the contractor. Review con-
tractor material installation and placement techniques
to assure quality of installed materials and confor-
mance with the contract plans. Interpret the plans and
specifications in relation to requests from the con-
tractor and resolve changes or conflicts in the design.
Review contractor quantity calculations and pay re-
quests, and recommend progress payments. Assist the
Citv in final review and acceptance of the project and
preparation of Record Drawings.

The estimated fee is summarized below. This fee estimate is
based on our current understanding of the project, as pre-
sented in the Project Study Report from Caltrans, Attach-
ment 5, dated August 10, 1988, and on the preceeding Scope

PROJECT SCHEDULE
The proposed schedule is shown on the exhibit which follows.
We have allocated 8 months for completion of the Planning
Phase and 9 months for the Final Design, for a total of
17 months prior to the bid period. The length of this sched-
ule may need to be increased if the approval of documents
and drawings by Caltrans requires more time than originally
anticipated.

EXHIBIT B
1. ENGINEER'S INSURANCE
The ENGINEER will maintain throughout this AGREEMENT the
following insurance:
(a) Worker's compensation and employer's liability insur-
ance as required by the state or province where the
work is performed.
(b) Comprehensive automobile and vehicle liability insur-
ance covering claims for injuries to members of the
public and/or damages to property of others arising
from use of motor vehicles, including onsite and off-
site operations, and owned, nonowned, or hired
vehicles, with $1,000,000 combined single limits.
(c) Commercial general liability insurance covering claims
for injuries to members of the public or damage to
property of others arising out of any covered negli-
gent act or omission of the ENGINEER or of any of its
employees, agents, or subcontractors, with $1,000,000
combined single limits.
(d) Professional liability insurance of $500,000.
(e) OWNER will be named as an additional insured with
respect to ENGINEER'S liabilities hereunder in
insurance coverages identified in items "b" and
"c", and ENGINEER waives subrogation against OWNER
as to said policies.
INDEMNIFICATION
(a) ENGINEER agrees to indemnify and defend OWNER from any
loss, cost, or expense claimed by third parties for
property damage and bodily injury, including death,
caused solely by the negligence or willful miscon-
duct of ENGINEER, its employees, or agents in
connection with the PROJECT.

(b) OWNER agrees to indemnify and defend ENGINEER from any
loss, cost, or expense claimed by third parties for
property damage and bodily injury, including death,
caused solely by the negligence or willful misconduct
of OWNER, its employees, or agents in connection with
the PROJECT.
(c) If the negligence or willful misconduct of both the
ENGINEER and OWNER (or a person identified above for
whom each is liable) is a cause of such damage or in-
jury, the loss, cost, or expense shall be shared
between ENGINEER and OWNER in proportion to their
relative degrees of negligence or willful misconduct
and the right of indemnity shall apply for such
proportion.

RATE SCHEDULE
The following table presents the representative range of hourly
billing rates for the various CH2M HILL employee classifications.
These rates, which include overtime, benefits, administrative
overhead, and profit are a compilation of the firm's 1988 billing
rates and require readjustment yearly.
