HomeMy WebLinkAboutCC Resolution 7879 (East SR Neighborhood Consultant)RESOLUTION NO. 7879 A RESOLUTION OF THE SAN RAFAEL CITY COUNCIL APPROVING A CONTRACT WITH THE FIRM OF MOORE, I ACOFANO, GOLTSMAN (herinafter Consultant) WHEREAS, the City Council approved the Work Program for the East San Rafael Neighborhood Plan on December 5, 1988; and WHEREAS, the Work Program identified the need for consultant assistance on specialized tasks; and WHEREAS, Moore, lacafano, Goltsman previously provided professional services for meeting facilitation and graphics on the San Rafael General Plan 2000 and the Shoreline Parkband Design Plan; and have prepared the Pick]eweed Park Master Plan; and WHEREAS, thei r work has been of consi stent hi gh qual i ty, has been ti mel y, they are knowledgeable about East San Rafael neighborhood development issues; and have agreed to hold charges to the same billing rates as their previous General Plan and Pickleweed Park contracts; NOW, THEREFORE BE IT RESOLVED, effective December 19, 1988, the City Council hereby adopts an agreement with Consultant to facilitate East San Rafael Neighborhood Advisory Committee meetings and a Community Workshop, and to prepare certain graphics at the request of staff for the meetings and Plan as described in Exhibit A, attached hereto. LEONCINY, City Clerk 1 9�'- �� (``td]I{j PI hNi �� L 7r -9 Exhibit A This AGREEMENT is made and entered into this 19th day of December, 1908, by and between the CITY OF SAN RAFAEL (herinafter referred to as City) and MOORE, IACOFANO, GOLTSMAN (herinafter called Consultant). A. Scope of Work: In accordance with this Agreement: the Consultant agrees to provide contract planning services for Meeting Facilitation and Graphics for preparing the East Sen Rafael Neighborhood Plan as outlined in the attached work program (see Attachment A.) The Consultant agrees to be available to perform the work specified in this Agreement in the time frames specified. B. Direction. The Consultant; in performance of the Scope of Work referred to above, will work under the direction of the City's Planning Director or the Directors appointed representative. It is understood and agreed that the Consultant is, and at all times shall be, on independent contractor and nothing contained herein shall be construed as making the Consultant, or any individual whose compensation for services is paid by the Consultant, an agent or employee of the City, or authorizing the Consultant to create or assume an obligation for or on behalf of the City C. Poument For the payments specified herein, which the City agrees to make, the Consultant will undertake the above noted work Payment of contract planning work shall be as follows: (1) The Consulldnt shall receive a total of $3600 (FY 88-89) for four neighborhoald advisory committee meetings. Portions of this total shall be paid after receipt and City staff review (within one week) of each neighborhood advisory committee meeting summary. (2) The Consultant shall receive a total of $2500 (FY 89-90) for two neighborhood advisory committee meetings and a community workshop. Portions of this total shall be paid after receipt and City staff review (within one week) of each neighborhood advisory committee meeting or community workshop summary. (3) The Consultant may receive up to $1500 (Fy 88-89) and $500 (Fy 89-90) for Plan graphics, such as meeting displays or plan maps, prepared at the request of City staff. Payment shall be upon receipt by City staff of final graphics. (4) Payments by the City shall be mode within 15 days of receiving each billing invoice D. Terms. The terms of this Agreement shall be through December 31, 1989. Either party may terminate, with or without cause, by giving the other party thirty (30) days written notice In the event of Agreement termination, City shall pay Consultant all sums then due and unpaid under this Agreement. Payment by City of such sums shall be considered full and final settlement for all work performed by the Consultant under this Agreement. All completed reports and other documents and materials described in Attachment A shall become the property of the City_ E. Arbitration All claims or disputes between the Client and the Consultant relating to this Agreement shall be decided by arbitration in accordance with the rules of the American Arbitration Association, conducted in Morin County under the laws of the State of California The decision of the arbitrator shall be final and binding on the parties. In interpreting the provisions of this Agreement, the arbitrator may make an award of costs and fees, including attorney's fees necessitated by arbi trati on. F. Alterations: This Agreement may be modified, as necessary, for the successful k and timely completion of the services to be provided. Any alteration shall be expressed in writing, as an amendment to this Agreement, and shall be approved by both parties. Amendments to Attachment A may be made by mutual agreement of Consultant and City's Planning Director. iN WITNESS WHEREOF, City and Consultant have caused their authorized representatives to execute this Agreement the day and year first written above. JOH63-T 'N, Acting Planning Director 4 Attachment A CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF SAN RAFAEL AND MOORE, IACOFANO, GOLTSMAN FOR THE CITY OF SAN RAFAEL EAST SAN RAFAEL NEIGHBORHOOD PLAN MEETING FACILITATION AND GRAPHICS. A. SCOPE OF SERVICES TASK 1. Neighborhood Advisory Committee Meetings 1.1 Pre -workshop planning. Consultant will be responsible for preparing agendas and meeting packets for each neighborhood advisory committee meeting or community workshop with input from City staff, and chart graphics for use during the workshops to aid discussions. 1.2 Neighborhood Meetings and Community Workshop Facilitation. Five Neighborhood Advisory Committee meetings and one community workshop are anticipated. The workshops will be facilitated and graphically recorded by the Consultant. The budget provides for a total of two (2) MIG staff to attend the neighborhood meetings, including Daniel lacofeno. 1.3 Post -workshop Reporting. A written meeting summary will be prepared by the Consultant summarizing the results of each meeting. A draft of the report for City staff review will be available within two weeks after each meeting. Consultant will furnish City with a camera-ready copy of the meeting summary within one week following receipt of City staff Comments. TASK 2 Graphics 2.1 Plan Graphics. At the request of staff, Consultant will prepare specialized maps such as a community design map or neighborhood services map for inclusion in the Plan. These maps are anticipated to be prepared with the assistance of the Neighborhood Advisory Committee at Committee meetings. 5
