HomeMy WebLinkAboutCC Resolution 7367 (General Plan Consulting)RESOLUTION N0. 7367 A RESOLUTION AUTHORIZING THE SIGNING OF A CONTRACT, LEASE OR AGREEMENT THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows: The MAYOR and CITY CLERK are authorized to execute, on behalf of the City of San Rafael, a contract, lease or agreement with JHK and Associates, General Plan revision traffic consultants, a copy of which is hereby attached and by this reference made a part hereof. LEONCINI, Clerk of the City of San Rafael, hereby certify that the foregoing resolution was duly and regularly intro- duced and adopted at a Regular meeting of the City Council of said City held on Monday the 16th day of June 19 86 , by the following vote, to it,•i t : AYES: COUNCILME_`=RS: Breiner, Nave, Russom & Mayor Mulryan NOES: COUNCIL= -- HERS : None ABSENT: COUNCILMEMBERS: Frugoli f �j • A JEANNCINI, i y Clerk AGREEMENT FOR PROFESSIONAL PLANNING SERVICES This AGREEMENT is made and entered into this 16th day of June, 1986, by and between the CITY OF SAN RAFAEL (hereinafter referred to as City) and JHK AND ASSOCIATES (hereinafter called Consultant). A. Scope of Work: In accordance with this Agreement, the Consultant agrees to provide contract planning services as a Traffic Consultant for revising the City of San Rafael General Plan Circulation Element as outlined in the schedule and work tasks described in the attached Work Program (see Attachment A). The Consultant agrees to be available to perform the work specified in this Agreement in the time frames specified. B. Direction: The Consultant, in performance of the Scope of Work referred to above, will work under the direction of the City's Planning Director or the Director's appointed representative. It is understood and agreed that the Consultant is, and at all times shall be, an independent contractor and nothing contained herein shall be construed as making the Consultant, or any individual whose compensation for services is paid by the Consultant, an agent or employee of the City, or authorizing the Consultant to create or assume an obligation for or on behalf of the City. C. Payment: For the payments specified herein, which the City agrees to make, the Consultant will undertake the above noted work. Payment of contract planning work shall be as follows: (1) The Consultant shall receive $5,750 after receipt and City staff review (within two working days) of updated modeling of a revised East San Rafael land use scenario and assessment of constrained highway ramps. (2) The Consultant shall receive $3,150 after •receipt and City staff review (within two working days) of an East San Rafael Impact Account Program. (3) Consultation (retainer) fees shall be billed on a monthly basis. (4) Payments by the City shall be made within 15 days of receiving each billing invoice. D. Terms: The terms of this Agreement shall be through December 31, 1986. Either party may terminate, with or without cause, by giving the other party thirty (30) days written notice. In the event of Agreement termination, City shall pay Consultant all sums then due and unpaid under this Agreement. Payment by City of such compensation shall be considered full and final settlement for all work performed by the Consultant under this Agreement. All completed reports and other documents and materials described in Attachment A shall become the property of the City. E. Arbitration All claims or disputes between the CITY and the CONSULTANT relating to this Agreement shall be decided by arbitration in accordance with the rules of the American Arbitration Association, conducted in Marin County under the laws of the State of California. The decision of the arbitrator shall be final and binding on the parties. In interpreting the provisions of this Agreement, the arbitrator may make an award of costs and fees, including attorney's fees necessitated by arbritation. F. Alterations: This Agreement may be modified, as necessary, for the successful and timely completion of the services to be provided. Any alteration shall be expressed in writing, as an amendment to this Agreement, and shall he approved by both parties. Amendments to Attachment A may be made by mutual agreement of Consultant and City's Planning Director. MULRYAN, Mayor CONSULTANT JHK AND ASSOCIATES ATTACHMENT A Under -the Scope of Services, the consultant will provide professional consulting services to City for updating the East San Rafael Circulation Element of San Rafael's General Plan Revision Project which are generally described as follows: Analyze the traffic impact of a new land use scenario for the East San Rafael area (Task 1); analyze the effects of highway ramp constraints on the street and highway operation (Task 2); modify JHK and Associates program for operation on an IBMXT computer and transfer the model and data to the City (Task 3); and develop an accounting program to monitor land development and traffic impacts (Task 4). The specific tasks and responsibilities for the Consultant and City in the performance of this Agreement are described below: 1. Revised Land Use Scenario The City will provide the Consultant with a revised land use scenario for the development of the East San Rafael Area in the week of June 16, 1986. The consultant will be responsible for reviewing the land use scenario to assess the need for any revision in the traffic distribution, review and incorporate any appropriate revisions to the modeling in response to the Marin County staff comments on the draft East San Rafael Neighborhood Plan, modeling the impacts of the proposed development on the future street system and presenting a report outlining those conclusions to the City by July 15, 1986. 2. Highway Ramp Constraint The consultant shall be responsible for modeling and analyzing the impacts of a constrained Bellam Boulevard/Highway 17 (I-580)/Highway 101 northbound on- ramp. A report presenting the Consultant's conclusions will be forwarded to the City by July 15, 1986. 3. Transfer the Model to the City The consultant shall modify the "Cat nap" model to allow it to be used on an IBMXT computer and transfer the model to the City for its use. 4. Accounting Program The consultant shall prepare a simple spread sheet showing project -by -project or zone -by -zone turning movements at all affected intersections.
