HomeMy WebLinkAboutCC Resolution 7401 (Tree Trimming)RESOLUTION NO. 7401 RESOLUTION AUTHORIZING THE SIGNING OF AN AGREEMENT WITH MARIN CONSERVATION CORPS FOR TREE TRIMMING IN TERRA LINDA THE CITY COUNCIL OF THE CITY OF SAN RAFAEL HEREBY RESOLVES as follows: The Mayor and City Clerk are authorized to execute, on behalf of the City of San Rafael, an agreement with Marin Conservation Corps for tree trimming services in Terra Linda, a copy of which is attached hereto and incorporated herein by this reference. Box 89, San Rafael, CA 94915 Agreement Between CITY OF SAN RAFAEL and MARIN CONSERVATION CORPS THIS AGREEMENT made and entered into this 24th day of June, 1986, by and between the CITY OF SAN RAFAEL hereinafter referred to as "City" and the MARIN CONSERVATION CORPS, hereinafter referred to as "Corps." WITNESSETH In consideration of the mutual promises and covenants hereinafter contained, the Parties hereto agree as follows: 1. Corps agrees to provide services to as specified in Exhibit A, attached hereto and incorporated herein, in return for which services City agrees to pay Corps the sum of Ten Thousand Dollars ($10,000.00). Such payment will be made as follows: Five Thousand Dollars ($5,000.00) due upon fifty percent completion of work and Five Thousand Dollars ($5,000.00) due upon satisfactory completion of the contract. 2_ The Parties hereto hereby agree that Corps is an independent contractor and neither ;t nor any of its employees as contemplated hereunder shall be deemed for purposes of this Agreement, or for any purpose, as employees of the City. 3. The City and Corps agree that Corps is solely responsible for the recruiting, training, and supervision of its employees in the manner in which they perform the project. The !-;ty is entitled to a functioning and completed project as outlined in Exhibit A. The control and supervision of the day—to—day performance of the work is vested with the Corps as agreed and directed by the City. 4. Corps agrees to indemnify, defend, and hold harmless the City, its agents, officers, and employees, from all claims, alleged liability, damages, suits, losses, costs, or L) r expenses in law and equity (including costs of suit and expenses for legal services) arising out of bodily injury to or death of any person or damage to any property allegedly resulting from the operation of Corps or any of its employees under this agreement. In this connection, and without limitation to the foregoing, Corps maintains on behalf of itself insurance for liability during the term of this agreement in the amount of One Hundred Thousand Dollars ($100,000) bodily injury coverage for each person, and One Hundred Thousand Dollars ($100,000) property damage. Corps will furnish proof of said coverage to the City if requested to do so. Corps further agrees to obtain and maintain in full force and effect during the term of this agreement Worker's Compensation Insurance as is required by law and will furnish proof of said coverage to the City if requested to do so. WerschkulI Executive Director Marin Conservation Corps ATTEST: (lity Clerk APPROVED AS TO FORM: Cary T. agghianti, i y Attorne' Authorized Signature - Mayor City of San Rafael Page 2 Exhibit A to Agreement between and the Marin Conservation Corps The Marin Conservation Corps will supply to the City of San Rafael a supervised crew or crews to perform the following tasks in a timely fashion given the constraints and delays that may be associated with weather and conditions over which the Corps has no control. The Corps will specifically perform the following tasks: 270 1) Raise limbs, trim watersprouts, deadwood, and interfering branches fron-VAstreet trees in Terra Linda (including Devon, Tamarack and Las Colindas). 2) Chip, buck and remove all debris from the job site. Haul to either City of Novato Dump for disposal or a convenient site to be determined. M Any work not specified will be considered over and above this contract. For such work, labor will be charged at a cost of $9.25 per hour and materials will be charged at cost plus 10%. Any charges or additions to this contract must be authorized by an officer of the City of San Rafael and documented on a Change Order agreeing to the work.
