A RESOLUTION AUTHORIZING THE SIGNING OF A
CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf of
the City of San Rafael, a contract, lease or agreement with
Charles Salter and Associates for General Plan update noise
consultant work,
a copy of which is hereby attached and by this reference made a part
hereof.

certify that the foregoing resolution was duly and regularly intro-
duced and adopted at a Regular meeting of the City Council of said

AGREEMENT FOR PROFESSIONAL PLANNING SERVICES
This AGREEMENT is made and entered into this 7th day of April, 1986, by and
between the CITY OF SAN RAFAEL (hereinafter referred to as City) and CHARLES
SALTER AND ASSOCIATES (hereinafter called Consultant).
A. Scope of Work:
In accordance with this Agreement, the Consultant agrees to provide
contract planning services as the Noise Consultant for revising the City
of San Rafael General Plan Noise Element as outlined in the schedule and
work tasks described in the attached Work Program (see Attachment A).
The Consultant agrees to be available to perform the work specified in
this Agreement in the time frames specified.
B. Direction:
The Consultant, in performance of the Scope of Work referred to above,
will work under the direction of the City's Planning Director or the
Director's appointed representative. It is understood and agreed that
the Consultant is, and at all times shall be, an independent contractor
and nothing contained herein shall be construed as making the
Consultant, or any individual whose compensation for services is paid by
the Consultant, an agent or employee of the City, or authorizing the
Consultant to create or assume an obligation for or on behalf of the
City.
C. Payment:
For the payments specified herein, which the City agrees to make, the
Consultant will undertake the above noted work. Payment of contract
planning work shall be as follows:
(1) The Consultant shall receive $4,000 after receipt and City staff
review (within two working days) of all existing noise contours.
(2) The Consultant shall receive $3,500 after receipt and City staff
review (within two working days) of all future mapped noise
contours.
(3) Consultation (retainer) fees shall be billed on a monthly basis.
(4) Payments by the City shall be made within 15 days of receiving each
billing invoice.
D. Terms:
The terms of this Agreement shall be through December 31, 1986. Either
party may terminate, with or without cause, by giving the other party
thirty (30) days written notice. In the event of Agreement termination,
City shall pay Consultant all sums then due and unpaid under this
Agreement. Payment by City of such compensation shall be considered
full and final settlement for all work performed by the Consultant under
this Agreement. All completed reports and other documents and materials
described in Attachment A shall become the property of the City. _

E. Arbitration
All claims or disputes between the CLIENT anc �he CONSULTANT relating to
this Agreement shall be decided by arbitratio- in accordance with the
rules of the American Arbitration Associatior, conducted in Marin County
under the laws of the State of California. Tri: decision of the
arbitrator shall be final and binding on the :,:-ties. In interpreting
the provisions of this Agreement, the arbitrE:::r may make an award of
costs and fees, including attorney's fees ne:_:sitated by arbritation.
F. Alterations:
This Agreement may be modified, as necessary. =or the successful and
timely completion of the services to be provi:_d. Any alteration shall
be expressed in writing, as an amendment to t -4s Agreement, and shall be
approved by both parties. Amendments to AttE:•"ment A may be made by
mutual agreement of Consultant and City's Pte--ing Director.
IN WITNESS WHEREOF, City and Consultant have cause: their authorized
representatives to execute this Agreement the day and v= --r first written above.

ATTACHMENT A
WORK PROGRAM
The work effort to update San Rafael's Noise Element wil, 'all into two
categories. The first is the development of existing anc `uture noise exposure
information for the major sources of noise in the City. 71�e second is to assist
City staff in analyzing planning options, and developing standards and procedures
for the Noise Element and its implementation.
The noise exposure engineering work will consist of the rc'lowing:
1. The Consultant shall take two -24 hour noise le,,_' measurements plus
additional spot measurements as required.
2. City staff will provide, on a map, all road seo-f_nt ADTs, truck
percentages and speeds to the Consultant by App--' 10, 1986. Speed and
ADT charts will also be provided. An aerial pr::o base map of the Smith
Ranch Airport shall also be provided to the coni -1 tant.
3. The Consultant, using a Stamina 2.0 computer m:.==1, will calculate LON
day/night average noise levels for 75-80 road s=zments identified by
City staff. The results will be presented in a tabular form containing
the information requested in City staff's Janua-v 23, 1986, letter.
4. The Consultant will quantify and map noise cont:.rs for the Smith Ranch
airport. A threshold monitor would be placed a: two locations for at
least two days to provide field measurements fl-- the development and
mapping of airport noise contours.
5. The Consultant will complete items 3 and 4 by =:-il 24, 1986.
6. City staff will provide future traffic project-:-, truck percentage and
speed information for the 75-80 identified roar. segments, plus 10-15
additional future road segments envisioned in t-= General Plan by June
1, 1986.
7. The Consultant will then calculate and prepare : table for the future
noise contours. The Consultant will also press-: the contours for the
General Plan year on a base map prepared by th_ ''-ity of San Rafael.
These contours will then form the basis for de:.=rmining the
compatibility of proposed land uses with the C':v's General Plan and
with State Noise Insulation Standards. Item 7 M-)uld be complete by July
1, 1986, or within one month of the City provit�,g the information noted
in item 6, if this is provided later than June 1.
8. Items 1, 3, 4, 5 and 7 will be completed for a -"-nal fee of $7,500.
The second work category will be consultation on a retain=- basis with City staff
regarding analysis of various General Plan alternatives, :,e development of
policies, standards, and procedures for the Noise Elemer, and its implementation;
and attendance at meetings. It is estimated that consult=_=ion on the Noise
Element will take up to 20 hours @ $75/hour, or up to $1,.=�. Attendance at
meetings would be based on time and materials, not to exc==d $375, given that
preparation and attendance at meetings typically takes 4-_ hours.
