A RESOLUTION OF THE SAN RAFAEL CITY COUNCIL AUTHORIZING
THE CITY MANAGER OR THE CITY ATTORNEY, PURSUANT TO
CALIFORNIA GOVERNMENT CODE SECTIONS 54956.8 AND 54956.9
TO GIVE NOTICE OF CLOSED SESSIONS OF THE SAN RAFAEL
CITY COUNCIL TO DISCUSS WITH ITS NEGOTIATORS) THE
CONTEMPLATED ACQUISITION OR DISPOSITION OF REAL
PROPERTY, OR TO DISCUSS POTENTIAL OR PENDING
LITIGATION THAT THE CITY MAY BE A PARTY TO
WHEREAS, the Ralph M. Brown Act (California Government Code
Sections 54950 et seq.) was amended in 1984 to provide that prior to
holding a closed session to discuss with its negotiator(s) the
contemplated acquisition or disposition of real property, or to
discuss potential or pending litigation that the City may be a party
to, the City Council must give notice and recite the statutory
authority for holding the closed session.
WHEREAS, the San Rafael City Council finds it administratively
convenient to delegate the authority to provide the notice and state
the statutory authority just mentioned to the City Manager and/or
the City Attorney of San Rafael.
NOW, THEREFORE, BE IT RESOLVED that the City Manager and/or the
City Attorney are authorized to provide notice of closed sessions
and to state the legal authority for holding closed sessions of the
City Council to discuss with its negotiator(s) the contemplated
acquisition or disposition of real property, or to discuss potential
or pending litigation that the City may be a party to, as provided
on the attached or similar forms.

certify that the foregoing resolution was duly and regularly intro-
duced and adopted at a Regular meeting of the City Council of the
City of San Rafael on Monday , the Seventh , day of

NOTICE OF STATUTORY AUTHORITY
FOR HOLDING CLOSED MEETING
OF THE SAN RAFAEL CITY COUNCIL
Pursuant to California Government Code Section 54956.8 or 54956.9,
the City Council will hold a Closed Session to discuss potential
or pending litigation in which the City could be, or is, a party;
or to discuss with its negotiator the contemplated acquisition or
disposition of real property. More specific information regarding
this meeting is indicated by the checked boxes below:
1. The City is a party to a formal adjudicatory
proceeding (GC Sec. 54956.9(a)), entitled:

provided because to do so would jeopardize the City's
ability to serve another party to the proceeding or to
conclude existing settlement negotiations to its
advantage.
2. Based on existing facts and circumstances, the
City's legal counsel has concluded there is a significant
exposure to litigation against the City (GC Sec.
54956.9(b)(1))

City Council is meeting to decide whether to hold a
Closed Session pursuant to the preceding paragraph 2.
