A RESOLUTION AUTHORIZING THE SIGNING OF A
CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf of
the City of San Rafael, a contract, lease or agreement with
Joint Powers Agreement re Library Services Planning Study
a copy of which is hereby attached and by this reference made a part
hereof.
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael, hereby
certify that the foregoing resolution was duly and regularly intro-
duced and adopted at a regular meeting of the City Council of said
City held on Tuesday the third day of January ,

JOINT POWERS AGREEMENT - LIBRARY SERVICES
PLANNING STUDY
RECITALS
1. The Cities/Towns of Larkspur, Mill Valley, San Anselmo, San Rafael and
Sausalito and the County of Marin have authority to provide public library
service, and operate public libraries which together serve all of Marin
County. _
2. The parties are authorized to contract with each other for the joint exercise
of any common power pursuant to California Government Code Sections 6500-
6514.
3. The parties heretofore have jointly determined the need for a countywide
Library Services Planning Study (Project), through competitive process have
selected J. Matthews & Associates, Inc. (Consultant) to conduct the Project,
and have been awarded a grant to fund the project by the San Francisco Found-
ation (Foundation).
4. To provide for administration of the Project, the parties mutually agree as
follows:
AGREEMENT
Section 1. Purpose; Limitations.
This agreement is entered into solely for the purpose of providing for the
orderly administration of Project. This agreement shall not be construed as
creating an operating entity. This agreement is effective November 15, 1983, and
shall terminate upon completion of Project, unless modified and extended pursuant
to Section 5 hereof.
Section 2. Controlling Documents.
Project shall be conducted as set forth in the April 1983 Request for Proposals,
May 1983 Proposal by Consultant, July and October 1983 submittals to Foundation, and
November 1983 Grant Award, all incorporated herein by reference. In accordance there-
with:
Section 3. Administration.
a. Overall supervision of Project shall be by an Oversight Committee (Committee)
consisting of one representative of each party (City Manager or Library
Director) which shall meet at least monthly for the duration of the Pro-
ject.
b. Lead agency and fiscal agent for Project shall be the City of San Rafael.
c. Professional Services Agreement with Consultant shall be executed by Lead
Agency upon approval of Committee.
d. Payments (progress and final) to Consultant shall be made by Lead Agency

upon authorization of Committee, from Foundation funds requisitioned
by Lead Agency.
e. Day-to-day Liaison with Consultant and Foundation shall be the responsi-
bility of Lead Agency.
Section 4. Entire Aaree-ent.
This agreement constitutes the entire agreement between the parties as to
the subject matter thereof, and may be altered, amended or extended only by an
instrument in writing duly executed by the parties.
