A RESOLUTION OF THE CITY COUNCIL OF SAN RAFAEL
AGREEING TO HOLD HAR11LESS, DEFEND, AND INDEP%TIFY
KAISER FOUNDATION HOSPITALS FROZ,T ANY CITY
NEGLIGENCE OR WILLFUL *MISCONDUCT IN COP?JUNCTIOiQ
WITH THE CITY'S PERFORIMANCE OF ITS OBLIGATIONS
PURSUANT TO THE CITY'S AGREEMENT WITH THE COUNTY
OF MARIN TO PROVIDE EMERGENCY ADVANCED LIFE
SUPPORT AND BASIC LIFE SUPPORT SERVICES TO THE
CITY ADID CERTAIN UNINCORPORATED PARTS OF THE COUNTY
WHEREAS, the City of San Rafael (City) has an Agreement
with the County of Marin to provide Emergency Advanced Life Support
and Basic Life Support services within the City of San Rafael and
certain unincorporated areas within the County of P4arin, dated
January 1, 1980; and
WHEREAS, Kaiser Foundation Hospitals (Kaiser) by separate
agreement with the County of Marin, acts as the Base Station Hospital
and is responsible to direct the Advanced Life Support System staffed
by City of San Rafael Emergency medical Technician Paramedics; and
WHEREAS, representatives of Kaiser have requested that the
City agree to indemnify, defend, and hold harmless Kaiser from any
claims, costs, and losses arising from the negligence or willful
misconduct of the City, its officers, agents, and employees in
conjunction with the performance of the City's obligations pursuant
to its agreement with the County as described above; and
WHEREAS, representatives of Kaiser have provided the City
with an agreement similar in substance to the agreement they have
requested from the City, a copy of which was presented to this Council.
THEREFORE, BE IT RESOLVED as follows:
The City of San Rafael will indemnify, defend, and
hold harmless Kaiser Foundation Hospitals, its
officers, agents and employees from and against
any negligence or willful misconduct of the City,
its officers, agents and employees in conjunction
with the performance of its obligations pursuant
to the City's agreement with the County of Marin
to provide Emergency Advanced Life Support and
Basic Life Support services within the City and
certain unincorporated parts of the County, dated
January 1, 1980.
I, JEANEJE M. LEONCINI, Clerk of the City of San Rafael, hereby
certify that the foregoing resolution was duly and regularly introduced

City held on MONDAY the 4TH day of JUNE ,
1984, by the following vote, to wit:
