RESOLUTION AUTHORIZING EXECUTION OF CONVEYANCE
Smith Ranch Assessment District No. 1
BE IT RESOLVED by the City Council of the City of San
Rafael, Marin County, California, that the Mayor of the City of
San Rafael is authorized to sign, and the City Clerk is authorized
-to attest, that certain Conveyance attached to agreement approved
by the City Council on September 18, 1978, by Resolution No. 5550.

I HEREBY CERTIFY that the foregoing resolution was duly
and regularly adopted by the City Council of the City of San Rafael,
Marin County, California, at a regular meeting thereof, held on the
sixth day of April , 1981.

CONVEYANCE
CITY OF SAN RAFAEL, a municipal corporation of the State
of California, for good and valuable consideration does hereby grant,
bargain, sell, and convey to PACIFIC GAS AND ELECTRIC COMPANY, a
California Corporation, free and clear of all liens and encumbrances,
those certain underground gas and electric distribution facilities
heretofore installed and constructed in Smith Ranch Assessment
District No. 1. pursuant to proceedings conducted by the City Council
of the City of San Rafael under Resolution of Intention No. 5194
adopted October 4, 1976, in the approximate locations shown on the
sketches attached hereto and marked Exhibits "A". "B" and "C" and
composed of the material more particularly described thereon.
