A RESOLUTION AUTHORIZING THE SIGNING OF A
CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf of
the City of San Rafael, a contract, lease or agreement with
HUGHES, HEISS & ASSOCIATES for Police Management
Study
a copy of which is hereby attached and by this reference made a part
hereof.
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael, hereby
certify that the foregoing resolution was duly and regularly intro-
duced and adopted at a regular meeting of the City Council of said
City held on Monday the 18th day of August

THIS AGREEMENT, made as of the 18th day of August ,
1980, is by and between the City of San Rafael, California
(hereinafter called the "City") and located at 1400 Fifth Avenue,
San Rafael, California 94902 and Hughes, Heiss & Associates
(hereinafter called the "Consultant") located at 181 Second Avenue
(P.O. Box 1879), San Mateo, California 94401.
I. RECITALS
The City desires -to undertake studies of its police services
and operations as well as police and fire facilities needs and has
approved the use of a Consultant to conduct these evaluations.
The Consultant is qualified to perform these analyses and agrees to
do so.
II. SCOPE OF WORK
The Consultant shall conduct two phases of work and various
tasks in the studies of the City's police services and operations
and police and -fire facilities needs:
Phase I - Evaluation of Police Services and Operations
Task 1 - Determine existing and future police
service needs and how well the San
Rafael Police Department's programs
and resources meet these requirements.
Task 2 - Assess the adequacy of the San Rafael
Police Department organizational
structure and management staffing
levels.
Task 3 - Determine the adequacy of the depart-
ment's operating and management systmes.
Task 4 - Evaluate how well manpower is being
utilized in the San Rafael Police
Department and what staffing levels are
needed to handle workloads.
Task 5 - Determine the number and types of
vehicles required for police operations
and equipment and systems needed to
provide management and operating
information.
Task 6 - Assess employee turnover and ways to
control it.
Task 7 - Evaluate community involvement programs.
Task 8 - Analyze police training and career
development programs.
Task 9 - Prepare a final report and plan of
implementation.
Phase II - Analyze Space and Facility Needs of Police and
Fire Station No. 1 Functions
Task 1 - Inventory existing police and fire
facilities.
Task 2 - Determine the usable and gross square
feet needed to meet operational needs.
Task 3 - Determine where police and fire func-
tions have less square feet than needed
and more square feet than required.
Task 4 - Identify possible changes which can be
made within existing facilities to
help reduce space efficiencies and cor-
rect layout problems.
Task 5 - Identify the structural feasibility
of making possible changes in existing
facilities and cost implications.
Task 6 - Determine the longer range and gross
square footage needs of police
functions.
Task 7 - Identify the alternativs available for
meeting the longer range space and
facility needs of the police and down-
town fire service functions.
The Consultant also shall address the police service, opera-
tions and facility needs issues set forth in pages 3 through 15 in
the Consultants proposal to the City, dated July 25, 1980.
III. CONSULTANT FEE
Tne City shall pay the Consultant a fixed fee of $26,000 for
services performed in the analysis of police management and opera-
tions and $9,000 for services required in the evaluation of police
and fire facilities needs. Progress payments shall be made to the
Consultant based on a task completion schedule mutually agreed upon
by the City and Consultant.
IV. TERMINATION
This agreement may be terminated by either party after written
notice to that effect has been given to and received by the other
party. In the event that termination of this Agreement occurs, the
Consultant shall be paid for services satisfactorily completed as
mutually determined by the City and Consultant.
V. STUDY TEAM
The Consultant shall assign Richard A. Hughes as the lead
analyst for the police services and operations and facilities plan-
ning studies. He shall be assisted as required by other consulting

personnel approved by the City and in the area of facility planning,
an architectural and engineering firm approved by the City.
VI. ASSIGNMENT
This agreement is not assignable by either party hereto, to
any other party.
VII. TIMING
The study of police services and operations shall take approxi-
mately four calendar months to complete after the analysis begins;
and the analysis of space needs For police and fire functions shall
take approximately another calendar month. Consultant will provide
thirty copies of a draft report in 3h months. Consultant will also
provide 30 copies of the final report.
VIII. CHANGES IN THE PROJECT
Any modifications in the scope, timing and fees for the study
of police services and operations and study of facility needs shall
be mutually agreed to in writing by the City and Consultant.
IX. RESPONSIBILITIES OF THE CITY
The City shall provide the Consultant with space to work in
hile on site in San Rafael. The position with primary responsibility
for the administration of this contract shall be the City Manager.
The City Manager shall designate Ms. Pamela Nicolai as the liaison
between the Consultant and the City and she shall be responsible for
securing the completion of various data collection tasks.
X. CONSULTANT STATUS
The Consultant is an independent contractor and shall not be
deemed, directly or indirectly, to be an officer or employee of the
City. However, City shall assist Consultant by providing timely
response to Consultant's request for municipal data; meeting with
Consultant when necessary at mutually agreeable times; facilitating
necessary meetings with all public agencies and officials, and
neighborhood associations; providing tasks and materials as outlined
in the attached Scope of Work; and in other similar ways assist
Consultant in expeditious progress of the assignment.
In witness thereof, the parties have executed this agreement
as of the first date above written.
