A RESOLUTION AUTHORIZING THE SIGNING OF A
CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf of
the City of San Rafael, a contract, lease or agreement with
CITY OF SAN RAFAEL and ROBERT F. BEYER, City Manager
effective November 1. 198
a copy of which is hereby attached and by this reference made a part
hereof.
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael, hereby
certify that the foregoing resolution was duly and regularly intro-
duced and adopted at a regular meeting of the City Council of said
City held on Monday the 6th day of October
19 80 , by the following vote, to wit:

THIS AGREEMENT, made and entered into this first day of
November, 1980, by and between the CITY OF SAN RAFAEL, a municipal
corporation, hereinafter referred to as "City", and ROBERT F. BEYER,
hereinafter referred to as "City Manager".
WITNESSETH:
In consideration of the mutual covenants and agreements
contained herein, the parties hereby agree as follows:
1. The City hereby employs City Manager to serve in the
position of City Manager for a period of one year commencing on
the date hereof. Continuation of said Agreement will be reviewed
at the same time as the salary review of each succeeding year.
2. City Manager agrees to perform the services required
and as directed by City Council of the City of San Rafael, for the
position of City Manager.
3. In consideration of the City Manager performing those
services as required and directed by the City Council, he shall be
compensated as follows: $47,000.00 per annum, effective November
1, 1980.
4. Prior to January 1st of each succeeding year, begin-
ning in 1982, the City Council shall review the City Manager's
salary and may adjust said salary as they shall see fit. However,
no reduction shall be made unless there is a decrease in the cost of
living index from the preceding year and said reduction shall not be
greater than the percentage decrease as established by said index.
The City Manager shall be entitled to all the fringe benefits given
to other City employees and shall be furnished an automobile. City
Manager shall also be entitled to three weeks' vacation per year.
5. Termination:
By City For Cause: In the event the City Manager is dis-
charged by the City Council of the City of San Rafael for cause, he
shall not be entitled to any severance pay.

By City Other Than For Cause: In the event the City
Manager is discharged by the City Council for any reason other than
for cause, City Manager may be dismissed forthwith, but shall be
entitled to severance pay for three (3) months to be paid at the
time the City Manager ceases working for the City. If the City
Council requests the City Manager's resignation, it shall be treated
as a termination requiring the payment of three months severance.
By City Manager: In the event the City Manager desires to
and does serve notice on the City of his election to terminate his
employment, he shall give the City sixty (60) days notice and shall
not be entitled to any severance pay nor entitled to any pay for
work not performed.
IN WITNESS WHEREOF, the parties hereto have entered into
this Agreement the day and year first above written.
