HomeMy WebLinkAboutResolution No. 6025RESOLUTION NO. 6025 A RESOLUTION AUTHORIZING THE SIGNING OF A CONTRACT, LEASE OR AGREEMENT THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows: The MAYOR and CITY CLERK are authorized to execute, on behalf of the City of San Rafael, a contract, lease or agreement with Pronto Building Maintenance for Custodial Maintenance Services for Don Timoteo and Short Child Care Centers a copy of which is hereby attached and by this reference made a part hereof. I, JEANNE M. LEONCINI, City Clerk E -100 FIFTH AVE, SAN RAFAEL, CALIF 94902/PHONE' [415]456-1112 AGREEMENT THIS AGREEMENT, made and entered into this 3rd day of NOyanbex, 1980, by and between the City of San Rafael, First Party, sometimes herein after called the City, and Pronto Maintenance Company, Second Party, sometimes herein after called the Contractor: W I T N E S S E T H: THAT the parties agree that: 1. The Contract Specification The complete Contract Specifications consist of the following documents: Announcement of Bid 9-15-80, General Specifications 9-80 Custodial Maintenance, Instructions to Bidders, Quotation Sheet Agreement, 2. The Work The Contractor will at his own expense and cost, in a workmanlike manner, faithfully provide Custodial and Maintenance Services to the sites spelled out in the body of the Specifications. The Contractor further agrees that he will perform such work in a manner which will fulfill all provisions set forth in the Specifications, per attached copy. 3. Termination of Contract The City of San Rafael shall have the right to terminate this contract by delivering to the Contractor at the Contractor's address thirty (30) days written notice of cancellation in the event that the performance of the Contractor is unsatisfactory to the City. The City shall be the sole judge of whether such performance is unsatisfactory. MAINTENANCE 9-80 Paqe 1 of 3 CUSTODIAL DUTIES REQUIRED FOR SHORT CHILD CARE CENTER & DON TIMOTEO CHILDRENS CENTER it is the intent of these specifications to describe the scope of custodial ork required to maintain these facilities. These specifications are considered *.c fie wininrum. Cleanliness shall be determined by an official represent - from the City. Such areas shall be kept neat, clean and safe at all rimes consistent with Public Health and Fire Codes. DUALITY OF MATERIALS R LABOR: A17 -materials used in this Contract shall be new and best market quality. All l�:bor used in this contract shall be competent and skilled for the work. �"EYE Contractor and their designated employees will be furnished keys on custody receipt which shall be returned to the Office on demand. S[CUPITY: A -11 - -spaces must be locked, lights turned off, and alarms set when cleaning ir-, each area has accomplished. Building security will be insured by the ,ontractor- at each site at the end of the school day (6:00 p.m.) : UP, COI;TRACTORS : Contractor is responsible for the performance of this Contract to its entirety Contractor shall not subcontract or re -let any part of this Contract to any i,�2rson save for those persons whom he may employ from time to time. Contracto shall be an independent contractor and shall not be considered an employee or Ugent of the City of San Rafael. There will be a hold harmless clause for tl e Ci ty of San Rafael . I rLOYME11T: he hiring of all labor for the work included in this contract shall be in accordance with the applicable directives of the Fair Employment Practices r-"r.mission of the State of California. There shall be no discrimination ecause of race, religious creed, color, national origin, ancestry, physical Handicap, medical condition, marital status, sex, or age in employment ;jractices. FLOOR COVERINGS: City reserves the right to alter or change existing floor coverings if class- rooim needs warrants it. FXCLUSIONS: '..ontr•actor shall not be responsible for major structural damage, electrical repairs, or for payment of the cost of new glass although the labor to replace I,oken windows and glass in doors shall not.be accomplished by the contractor as part of their maintenance services. POND REQUIREMENTS: Before commencing any work under the contract, the Contractor shall furnish a surety bond in an amount at least equal to two times the Contract Price or ,ecurity for the faithful performance of the Contract. The Contractor shall „lso furnish a separate surety bond in an amount at least equal to one hundred (ICO'.') of the Contract Price as security for the payment of all persons r�nrming labor and furnishing materials in connection with this Contract. The insurance ,Policy shall be issued by a company or companies duly and legally licensed to transact business in the State of California. It shall be issued at the expense ,:f the Contractor and shall be maintained by him at his expense durinq the entire life of the contract. (a) Compensation Insurance: The Contractor '.hall take out workers' Compensation Insurance for all employees employed at r -'e site. (b) Public Liability and Property Damage_InsUra nce: The Contractor :!.all take out such Public Liability and Property Damage Insurance as shall r-utect himself and the City from claims which may arise from operations under Lntract, whether such operation by himslef, or by anyone directly or indirectly rr,�lryed by him. This liability insurance shall include, but shall not he +:rriteci to, protection against claims arisi.nq from bodily and personal injury, 'r,cludin(; accidental death and damage to property, resulting from the Contractor ;fiuration. There will be a hold harmless clause and the City of San Rafael ill be listed as also insured. (1) Bodily Injur,Y Insurance: A minimum �_100,e00 in any one accident involving any one person, and $300,000 in any lne accident involving more than one person. (2) Property Damage Insurance: Mini:nurr of 5100,000.00. - TRA.CT: -ne form of contract which the successful bidder will be required to sign is r. file at the Purchasing Department, City of San Rafael and is made a part these General Conditions.
