A RESOLUTION AUTHORIZING THE SIGNING OF A
CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf of the
City of San Rafael a contract, lease or agreement with
CLUB ITALIA OF MARIN (For Use of the San Rafael Community Center
and Kitchen Facilities Renovation)
a copy of which is hereby attached and by this reference made a part hereof.
I, JEANNE M. LEONCINI, City Clerk of the City of San Rafael, hereby
certify that the foregoing resolution was duly and regularly introduced and
adopted at a regular meeting of the City Council of said City held on
Monday
the nineteenth day of March , 19 79 by the

MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding, made and entered into this
nineteenth day of March , 1979, by and
between the City of San Rafael, hereinafter referred to as "City"
and the Club Italia of Marin, hereinafter referred to as "Club".
RECITAL
WHEREAS, City is agreeable to allow Club to rent, on a regular basis,
the San Rafael Community Center, located at 618 "B" Street, San Rafael,
California.
WITNESSETH
FOR AND IN CONSIDERATION of mutual promises, covenants and conditions
hereinafter contained, the parties hereto agree as follows:
A. The City agrees to:
1. Provide Club the use of the San Rafael Community Center,
618 "B" Street, for Club meetings and social events. City
shall also provide some storage space for Club.
2. Allow Club to use Community Center for a minimum of 16
events a year, for a five year period.
3. Credit and subtract from Club remodeling cost all fees and
charges that Club incurs when using facility.
B. The Club agrees to:
1. Follow all Community Center rules and regulations as adopted
by the San Rafael City Council.
2. The rental rate that is in effect at the time their event is
held.
3. Remodel current kitchen facility so that large groups can cook
on premises. Improvements made will meet all City and State
building and health codes.
4. Make the following kitchen improvements: Remove stoves and
counter tops; cut cabinet for new Wolfe Range; remove exhaust
hood and fan; make new doors for lower cabinets and hang;
cabinet work; set new cabinet door and locks on existing
East wall cabinets and one West wall cabinet; install cabinets
over sink with doors and locks; frame .for new exhaust hood
and sheetrock repair to ceiling; install Wolfe Range; install
Ansell Fire System; roofing, flooring and sheetmetal work;
electrical and plumbing, and painting, cleanup and cartage.
5. Pay for the total expense of remodeling project. Cost
shall not exceed $9,000.
It is further agreed:
C. That this agreement is for a five-year period and will terminate
on April 1, 1984. In case of total credit for original kitchen
costs have not been met, agreement will be extended for one year.
D. City shall grant Club a five-year option to continue using facil-
ities upon the termination of the existing agreement, with the
condition that Club has satisfactorily lived up to the terms
of this agreement and that Club will continue paying the City
the rates which are in effect at the time of their use.
E. This agreement, upon two weeks notice, may be amended or termin-
ated by the mutual consent of the parties.
IN WITNESS WHEREOF, the parties have executed this agreement the day
and year first above written.
