HomeMy WebLinkAboutCC Resolution 5217 (RA Maintenance of City Projects)RESOLUTION N0. 5217 A RESOLUTION AUTHORIZING THE SIGNING OF A LEASE OR AGREEMENT THE CITY COUNCIL OF THE CITY OF SAN RAFAEL HEREBY RESOLVES as follows: The MAYOR and CITY CLERK are authorized to execute, on behalf of the City of San Rafael a lease or agreement with the San Rafael Redevelopment Agency regarding assumption of maintenance costs for various City projects. A copy of which is hereby attached and by this reference made a part hereof. I, MARION A. GRADY - City Cler y�ti'��t REPAYMENT CONTRACT Demonstration Projects This is a Repayment Contract dated this 15th day of November , 1976, by and between the CITY OF SAN RAFAEL (hereinafter called "City") and the SAN RAFAEL REDEVELOPMENT AGENCY (hereinafter called "Agency"). RECITALS: 1. By San Rafael City Council Ordinance No. 1079, the Agency is vested with the responsibility for carrying out the Central San Rafael Redevelopment Project. 2. The Agency has stated as one of its primary goals the encouragement of private investment in the improvement of property within the project area the achievement of which may be complimented by public investment in demonstration projects. 3. Three such demonstration projects are now available for Agency consideration; namely, the San Rafael Community Center, Beach Park, and Pickleweed Park. 4. The City and the Agency have had an understanding that the Agency would repay to the City the administrative costs of designated demonstration projects out of tax increment funds. 5. It is found and determined by the Agency and Council that such repayment of costs related to demonstration projects are a benefit to the project area and are in the best interests of the project. O AGREED: 1. Pursuant to Agency Resolution No. , the Agency agrees to reimburse the City for all sums expended by the City in administrative costs including but not limited to exterior maintenance costs and related staff costs associated with the San Rafael Community Center, Beach Park, and Pickleweed Park, which are hereby designated as demonstration projects of the San Rafael Redevelopment Agency. 2. The Agency agrees that the costs and expenses for the projects hereinabove described shall be reimbursed for a five-year period for each project commencing with the date that each project was open for public use. 3. Upon eceipt by the Agency of a cost certification statement bearing the signature of a duly authorized agent of the City and describing in detail all or any part of the costs herein- above enumerated that have been actually accrued and paid by the City, the Agency shall cause to pay the City within ten (10) days the amount called for in the aforesaid statement, provided that if the Agency is unable to pay the amount so called for because of a deficiency in its accumulated tax increment funds, the Agency shall apportion said funds according to the costs then outstanding and due and pay on said apportioned amounts. Those amounts remaining unpaid shall continue to be a debt of the Agency and be paid immediately to the City upon receipt by the Agency. -2- It is understood that in the event such tax increment revenues fail to yield enough revenue to repay the obligations incurred in this agreement, the Agency is under no obligation to the City to make such repayment from any further funds or resources it may acquire. 4. If any provision of this Repayment Contract, or the appli- cation thereof to any person, party transaction or circumstance, is held invalid, the remainder of this Contract, or the application of such provision to other persons, parties, transactions or circum- stances, shall not be affected thereby. IN WITNESS WHEREOF the Mayor of the City of San Rafael by Resolution No. 5217 thereunto duly authorized has caused the name of said City of San Rafael to be affixed hereto and the Executive Director of the San Rafael Redevelopment Agency by Resolution No. of said Agency Hereunto duly authorized has caused the name of said San Rafael Redevelopment Agency to be affixed hereto on the date and year first hereinabove written.
