A RESOLUTION AUTHORIZING THE SIGNING
OF A LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL HEREBY RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf of
the City of San Rafael a lease or agreement with
County Board of Supervisors re City Employees' Retirement Plan
a copy of which is hereby attached and by this reference made a part hereof.
I, MARION A. GRADY, City Clerk of the City of San Rafael, hereby
certify that the foregoing resolution was duly and regularly introduced

AGREEMENT REVISED BY COUNTY OF MARIN.
AGREEMENT
THIS AGREEMENT made and entered into this 10-6 day of
1977, by and between THE CITY OF SAN RAFAEL, hereinafter referred to as "City," and
the BOARD OF SUPERVISORS OF THE COUNTY OF MARIN, hereinafter referred to as
"County", and the MARIN COUNTY EMPLOYEES RETIREMENT ASSOCIATION,
hereinafter referred to as "Association";
WITNESSETH:
WHEREAS, the Board of Directors of City has removed its members from the
Public Employees Retirement System.
NOW, THEREFORE, IN CONSIDERATION of the mutual promises and covenants
hereinafter contained, the parties hereto do hereby agree as follows:
1. County agrees to accept the employees of City into the Association.
2. That an actuarial evaluation shall be performed under the direction and control
of County and Association at the cost of City as soon as possible, to ascertain
the cost to the City, and its employees using the experience of the City and
its employees to determine the cost to be paid by City and its employees.
3. The parties agree that for such time that City and its employees are members
of Association, City and its employees costs will be computed separate and
apart from the County's costs and that of its employees and separate actuarial
reviews will be performed for each group.
4. City agrees to pay those costs as recommended by the actuaries. In no event
shall the County or its Retirement System ever be obligated to fund any obligations
or costs attributable to inclusion of City and its employees.
5. Association shall maintain its books and records in such a manner to make
available information to compute the costs referred to above.
6. City agrees to reimburse the County of Marin for administrative costs on the
basis of $75 per annum for each active member and for each member who retires
from City's service after July 1, 1977.
7. The parties further agree that the $75 amount specified in the preceding. paragraph
is subject to fluctuation in years following fiscal year 1977-78 and for that

reason it is the intent of the parties subject to their mutual agreement that
the actual administrative costs in years subsequent to 1977-78 be paid
depending upon the actual administrative costs including actuarial surveys.
8. County agrees to maintain all necessary records and produce all reports
required to supply all forms necessary for the operation of Association wi th
City's members.
9. City agrees to cooperate through its staff in obtaining all necessary information
from employees and retirees.
10. The liability accounts are to be set up as follows:
a. Establish separate liability accounts equivalent to the established M.C.E.R.A.
liability accounts now in use for each agency to be added to the present Marin
County retirement plan; subject to Marin County Auditor --Controller's approval.
b. Establish separate liability accounts equivalent to any new liability accounts
which may be established for the M.C.E.LA. in the future; subject to Marin
County Auditor -Controller's approval.
11. Each group (Marin County and the City of San Rafael) will be completely independent
for retirement purposes. The funds of the two groups may be merged for investment
purposes but appropriate accounting procedures should be established to be able to
allocate what amount of funds belongs to each group at the time of an actuarial
study.

to as "Agency" and the BOARD OF SUPERVISORS OF THE COUNTY OF MARIN, hereinafter
referred to as "County", and the MARIN COUNTY EMPLOYEES RETIREMENT ASSOCIATION,
hereinafter referred to as "Association";

that the actual administrative costs in years subsequent to 1977-78 be paid
depending upon the actual administrative costs including actuarial surveys.
