RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL
AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AGREE-
MENT WITH THE UNITED STATES OF AMERICA WITH RESPECT TO
CERTAIN DREDGING AT THE SAN RAFAEL CANAL, SAN RAFAEL, MARIN
COUNTY, CALIFORNIA
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL HEREBY RESOLVES
as follows:
The MAYOR and CITY CLERK are authorized to execute,
on behalf of the City of San Rafael an agreement with the
United States of America with respect to certain dredging at
the San Rafael Canal, San Rafael, Marin County, California, a
copy of which is hereby attached and by this reference made
a part hereof.
I, MARION A. GRADY, City Clerk of the City of
San Rafael, hereby certify that the foregoing resolution was
duly and regularly introduced and adopted at a REGULAR meeting
of the City Council of said City held on MONDAY, the 6th day
of JUNE; 1977, by the following vote, to wit:

AGREEMENT BETWEEN
THE UNITED STATES OF AMERICA
AND
THE CITY OF SAN RAFAEL
WITH RESPECT TO CERTAIN DREDGING AT
THE SAN RAFAEL CANAL, SAN RAFAEL, MARIN COUNTY, CALIFORNIA
THIS AGREEMENT is entered into this 23rd
day of August X977,
by and between the UNITED STATES OF AMERICA (hereinafter, "the Government"),
represented by the Contracting Officer executing this Agreement, and the
City of San Rafael acting by and through its City Council (hereinafter,
"the City").
WHEREAS, improvement of the San Rafael Canal, Marin County, California
(hereinafter, "the Project") was authorized by the River and Harbor Act
of 2 March 1919, House Document No. 801, 63rd Congress, 2nd Session; and,
WHEREAS, the project was completed in 1928, with a contemplated
scheduled maintenance program at Government expense, to be undertaken
every two or three years; and
WHEREAS, the City hereby represents that it has the authority and the
capability to comply with the terms and conditions of this Agreement; and,
WHEREAS, pursuant to 33 U.S.C. 560 the City has requested the
Government to perform as part of the Federal navigation maintenance dredging
contract certain additional side and marina dredging at the City's expense:
NOW, THEREFORE, the parties agree as follows:
a. The City agrees to:
(1) Hold and save the Government free from damages to persons or
property that might result from the dredging of non -Federal areas, except

for damages cauFed solely by the fault or negligence of the Government;
(2) Provide, prior to the Government's advertising of the dredging
contract, which includes any non -Federal work which would be reimbursable
to the Government, a check made payable to the Treasurer of the United
States, in an amount sufficient to reimburse the Government for the costs
of performing the non -Federal dredging (presently estimated at $221,000,
plus an additional $29,000 for associated Government costs of the City's
requested dredging;
(3) Before the opening of bids on any Government contracts which
include dredging work-in areas such as private marinas and private property
areas adjacent to the main channel, such additional funds shall be pro-
vided by the City to reimburse the Government for the cost of such dredging;
(4) The portions of the non-federal dredging of the San Rafael Canal,
across the flats, which the Government will dredge pursuant to this Agree-
ment are depicted in the drawing attached hereto as Exhibit A; and the
soundings to the nearest foot and tenth of a foot attached hereto as
Exhibit B. These soundings are based on the datum of mean lower low water
(MLLW), in the non -Federal areas to be dredged;
(5) Insure that riparian owners shall remove all boats, docks, and
other structures from the non-federal areas to be dredged pursuant to this
Agreement not later than 24 hours before said dredging is scheduled to
commence;
(6) Notify the owners of the non -Federal areas of the commencement
of dredging pursuant to this Agreement at least 24 hours before such com-
mencement; and,
■' (7) Provide the Government prior to the Government's final payment
to the dredging contractor such additional funds as may be necessary to

reimburse the Government for the costs of the non-federal dredging in the
event that said costs exceed the amounts paid pursuant to paragraphs a.(2)
or (3) above.
b. The Government agrees to:
(1) Dredge the areas delineated pursuant to paragraph a.(4) above

9 Estimate and submit to the City the pay quantities dredged
based upon the_post-dredging survey; and,
(3) Return to the City after the Government's final payment to its
dredging contractor any funds which were received pursuant to paragraphs
a.(2) or (3) above and which exceed the amounts paid to the Government's
contractor, plus associated Government costs.
The parties to this Agreement further understand that if the City
fails to provide funds as required by paragraphs a.(2) or (3) above, the
Government will not carry out the non-federal dredging and will not be
responsible for any obligations under this contract.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement
as of the day and year first above written.
