A RESOLUTION AUTHORIZING THE SIGNING OF A
MEMORANDUM OF UNDERSTANDING
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL HEREBY RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf
of the City of San Rafael, a Memorandum of Understanding with PILGRIM
PARK (Barcelon -Burger Management Corp.) for cooperative recreation
programs at Pilgrim Park, a copy of which is hereby attached and by
this reference made a part hereof.
I, JEANNE M. LEONCINI, City Clerk of the City of San Rafael, hereby
certify that the foregoing resolution was duly and regularly introduced
and adopted at a regular meeting of the City Council of said City held
on Monday, the third day of October, 1977 by the following vote, to wit:

MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding, made and entered into this 1st
day of October, 1977, by and between the City of San Rafael,
hereinafter referred to as "City" and the Barcelon-Burger Manage-
ment Corporation, hereinafter referred to as "Pilgrim Park".
RECITALS
WHEREAS, City and Pilgrim Park are mutually desirous of providing
recreation programs for the residents of Pilgrim Park and San
Raf ael .
WITNESSETH
For and in consideration of mutual promises, covenants and condi-
tions hereinafter contained, the parties hereto agree as follows:
I..--Pilgrim-Park shall _provide City with facilities_ which
include recreation center, playground area, space for
the purpose of conducting a program of activities and
events for residents.
2. Pilgrim Park shall provide recreation room and adjacent
playground at Pilgrim Park at least 5 days per week
during the hours of 8:30 A.M. and 10:30 P.M., for the
length of this Agreement.
3. City shall have complete control, responsibility and
supervision of the center and programs conducted therein.
All employed personnel and volunteers, assigned to con-
duct the program, shall be under the control and general
direction of the City.

4. City shall assume responsibility for all direct costs of the
program; and these direct costs include recreation supplies,
salaries and associated costs, insurance, telephone cost,
petty cash items, and any other costs which are directly bene-
ficial to the recreation program.
5. Pilgrim Park agrees to replace lights, repair vandalism damage,
respond to emergency repairs, and provide all custodial services.
6. All equipment and supplies purchased during the year would
become the property of the City's upon the termination of the
program.
7. All programs would abide by the policies adopted by the San
Rafael Recreation Department.
8. City shall sign a hold harmless agreement accepting the liability
for City sponsored recreation programs in the Pilgrim Park grounds
and facilities.
9. At the end of 6 months, program should be reevaluated to see if
it should be continued. If the City decides to discontinue its
administration of the program, the program will be transferred
to Pilgrim Park, subject to the approval of the Marin County
Office of Employment and Training and the Marin County Board
of Supervisors, for the balance of the contract period.
10. That it be clarified that City does not have an obligation to
program after the end of the project period.
11. Either party may terminate this Memorandum of Understanding
by giving the other party sixty (60) days written notice.

12. The parties hereto agree that this Memorandum of Understanding
will commence on October 1st, 1977.
