A RESOLUTION AUTHORIZING THE SIGNING
OF A LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL HEREBY RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf
of the City of San Rafael a lease or agreement with
the County of Marin and County Service Area 19 of the County of Marin,
for fire protection services in County Service Area 19 and adjoining areas,
A copy of which is hereby attached and by this reference made a part
hereof.

THIS AGRCCtIENT, made and entered into this day of ,
1576, by anal bet%.,eten the CITY OF SAN RAFAEL, herein::fter referred to as "City",
the. COU14TY OF MAPIN, hereinafter referred to as "County", and COUNTY SERVICE
AREA l; OF THE COUNV OF MARItr, hereinafter referred to as "Service Area",
provides for fire protection services in the territory of County Service Area
19 and adjoining areas. _
A. City agrees to: - -- =
1. Construct a fire station to City specifications at a site -
provided by
ite-provided`_.•y County as defined in this agreement; the City to bear respons i-
bility and cost for architectural services, site preparation, access, land-
scapi:g, outfitting and equipping said stat.ion; the City to diligently
pursue planning and construction of said station upon execution of this -
agreement. City agrees to afford County opportunity'to review the design
and construction plans and specifications for said station. _
2. Utilize the fire station referred to in paragrarit A.I.
above to house such equipment and qualified firemen as will allow the Cir;r,
to provide an adequate and timely first response fire protection to all
areas of Service Area; such manpower and equipment to be located in said
station upon completion of construction and outfitting of that station.
3. Provi_ie the following as first response to any structural
fire within Service Area corraienc i ng on date as designated in paragraph AA_

and a ninimum of 7 to 9 men) all to be dispatched simultaneously.

6. Assure all Other fire protection responsibilities and

of the San Rafael fire station indicated in paragraph M. above; the land

3.- Recognize the City's fire protection authority over all
areas of Service Area, as well as the areas defined in paragraph A.G. above,
commencing on that date designated in paragraph A.11. above.
4,. Send to the City Fire Chief for review of fire protection
features, all proposed development plans for construction of structures

C, Service Area agrees to:
1, Contribute to the construction of the fire station defined
in paragraph A.1. above In the amount of one-half the total cost of design,

in paragraphs A.3 and A.4 (above) the total revenues generated by a 71� tax
rate applied to all property within Service Area; said payment to commence
on an annual fiscal year basis on the date designated in paragraph A.4 above;
the first year amount to be pro -rated if necessary. The amount raised will
be paid to the City in two annual increments, one on December 24 and one on
April 24.
3. Prepare and hold hearings with the intent of presenting to
the voters proposals for provision of adequate fire hydrants and fire pro-
tection water mains in those areas of Service Area where such hydrants and
mains are not now adequate. It is the intent of Service Area -to -present
such proposals to the voters for the election scheduled in June of 1976-
4. Continue to provide first response fire protection ser-
vices in Service Area with the existing level of men and equipment during
the period prior to the date designated in paragraph A.4 above; with the
understanding that City mutual aid assistance on a first response basis Vtlll
be afforded during that period through the existing mutual aid agreement
between the City and the County.
D. This agreement shall be for five years terminating on June 30,
1981. it is understood that it is the present expectation• of the parties
that this agreement will be renewed for a subsequent five-year period on the
same terms and conditions. In the event that a requirement mandated by
statutory decision of the State or Federal government or a court of competent
jurisdiction adds more than 10% per year to the costs incurred by any party
to this contract, then that party may, in writing, seek a renegotiation of
this contract with the understanding that renegotiation, as used here,
includes the possibility of termination.
E. Written notice by any of the parties of intent not to renew
this agreement for another five years must be submitted to the other parties
not later than May 30, 1980. Any termination of this agreement will occur
on June 30th of the year of termination. in the event of non -renewal, County
or Service Area is hereby afforded the option to acquire full title to the

City fora payment of an amount not to exceed $75.000: in the event that
this option is not executed by County or Service Arca, the City shall have
the rights to continue use of the building as a fire station during the
remainder of the leasehold period.
F. Upon completion of this agrecolent and appropriate extensions
to the full extent of a thirty-year lease period, County or Service Area
is hereby afforded the option to acquire full title: to the fire station
improvements for the period of an amount not to exceed $75,000; in the -
event this option is not executed by County or Service Area, full title in
the fire station, as well as the lease property, shall vest with the City.'
IN WITNESS WHEREOF, the parties hereto have entered into this
agreement the day and year first above written.
