RESOLUTION NO. 4996
A RESOLUTION AUTHORIZING THE SIGNING
OF A LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL HEREBY RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf
of the City of San Rafael a lease or agreement with
County of Marin for Renewal of Senior Citizen Agreement
A copy of which is hereby attached and by this reference made a part
hereof.
I, MARION A. GRADY, City Clerk of the City of San Rafael, hereby
certify that the foregoing resolution was duly and regularly introduced
and adopted at a regular meeting of the City Council of said
City held on Monday the 21st _ day of July ,

For Providing of Recreational Program for Senior Citizens.
THIS AGREEMENT, made and entered into this day of ,
1915_9 by and between the COUNTY OF MARIN, a political subdivision of the
State of California, hereinafter referred to as "County," and City of
San Rafael , hereinafter referred to as "City."
W I T N E S S E T H:
In consideration of the mutual promises and covenants hereinafter
contained, the parties hereto do hereby agree as follows:
1. City shall provide the facilities, supplies and staff to pro-
vide a recreational program for all senior citizens of the County of Marin
regardless of their place of residence in said County in accordance with the
detailed recreational plans contained in "Exhibit All (A = Budget) and "Exhi-
bit B" (B = Activity Plan). Attached hereto and incorporated herein, said
detailed recreational plan hereinafter being referred to as "Program,"
2. The implementation of said program shall be as City shall d
termine. Parties hereto agree that this Agreement shall not be construed
creating employment or agency relationship, but that City is an independei:;
contractor. In this connection, all personnel staffing the programs enum-
erated herein shall be employees of City or its delegate agency. It is
understood and agreed that County shall have no direct control of or respcn-
sibility for employees of City or its delegate agencies.
3. County agrees to pay City, in consideration of Cities operatf—
of the aforesaid program, the sum of $ 12.000.00 , said sum to be pay-
able on demand as follows, subject to timely receipt of required reports:

Request for funds must be accompanied by a quarterly financial report.
4. City shall expend the funds as specified in Exhibit A and shall
submit quarterly financial reports showing expenditures of the funds pave'-'
hereunder on behalf of the various programs to County. City shall render a
final accounting not later than July 31, 1976•

5. City shall submit to County such reports of program activities
on all programs funded pursuant to this Agreement as County may require.
6. Should County wish to do so, it may undertake an independent
audit of the expenditures and program activities at its own expense, and City
agrees to furnish all things necessary in County's discretion to complete
said audit, subject to restriction on confidentiality as may be required by
law. Said audit may include but shall not be limited to program quality, the
number and characteristics of Cities' clientele, and the relationship of
Cities' services to services provided by other sources.
7. City agrees that the amount specified in Section 3 shall be
reduced by the amount of any funds, not specified in Exhibit A, received by
City in support of any program funded pursuant to this Agreement, provided,
however, that County may opt not to use this provision at its discretion.
8. City agrees that, should it desire County subsidization during
fiscal year 19_.D- 19_L6, it shall shbmit to County a request for such sub-
sidy, including a proposed budget, not later than January 15, 1976 .
9. City shall indemnify, defend and hold harmless the County of
Marin, its officers, agents and employees, from any and all claims, liabili-
ties or causes of action for injuries or death to persons, or damage to per-
sons or property, arising out of or in connection with the organization,
promotion or operation of any program funded pursuant to this Agreement. In
this connection, City agrees to maintain public liability insurance with
bodily injury limits of $100,000 per person and $300.000 per accident for
personal injury and $25,000 for property damage, naming the County of Marin
as an additional insured during the term of this Agreement. City shall
provide County with evidence of said insurance by filing with County a copy
of the policy or policies, together with duly executed certificates by the
insurer to the effect that the insurance required by this Agreement is ex-
tended in favor of the County, its officers and employees. Said policy
shall further provide that notice of cancellation, termination, or any
material change in coverage shall be delivered to County ten (10) days in
advance of the effective date of such cancellation, termination or change.
10. This Agreement shall not be assigned without the prior ap-
proval of the Board of Supervisors of the County of Marin.
11. This Agreement shall continue from July 1, 19a , to June 30,

1976 , provided, however, that either party hereto may terminate this Agree-
ment by giving the other thirty (30) days' written notice. In the event of
such termination, then County's obligation to City hereunder shall terminate
forthwith. Insofar as this Agreement is concerned, City will no longer be
obligated to operate said programs, provided, however, that the reports and
audits provided for in Sections 4, 5 and 6 hereof still are required to be
performed and that the provisions of Section 7 will still apply for the
period this Agreement is in force.
IN WITNESS WHEREOF, the parties hereto have set their hands the
day and year first above written.

funding of the Terra Linda Seniors Program $ 2,000.00
PROGRAM STATEMENT
The Terra Linda Senior Citizens Program is conducted at the Terra Linda Recreation
Center throughout the year each Tuesday from 10:00 AM to 3:00 PM.
All Seniors are invited to participate in the regular meetings and various program
activities and special events offered. Membership fee is $3.00 per year. A monthly
newsletter is provided all members, informing them of the scheduled activities and
events planned. Examples of program areas listed as follows:
